一个是向市场要钱要到股东怕了的公司;一个是股东提到就摇头叹息的执行长。
本周6日,马航(MAS)就要决定它是否除牌的命运;而在上周,拿督曾文秀静悄悄的脱售他在纳音英达机构(NICORP)和丰升工业(HARVEST)的股票,不再是公司的大股东,黯然离去。
文秀,名字取得好,有前人可鉴,但是,同名未必同命。
2012年时,曾文秀伙同首相公子,高调收购,所相中的公司仿佛沾了金一样,火速上升,飙扬数倍,颇让人有后生可畏之感想。
可是,之后公子与之撇清关系,原来金手指是镀金而已(就算是真金白银,也从两年前的天价一泄不振),其公司业绩也是毫不争气,股价更是因此打回原形。
拿督曾文秀的际遇多舛,他多番打算把手上据说非常赚钱的公司注入其上市臂膀,不过一波三折,始终无法顺利完成。
而其上市公司的企业活动历时经年,其中丰升工业的附加股建议始于2011年7月,却到2013年7月才完成,两年下来,人事全非,注入新的资金也不见对业绩有何裨益。
而今年6月曾氏连任董事失败,时不我予,其留在公司的日子已开始倒数。果然在上周他减持股票到不再是公司大股东。
至于纳音英达机构的削资和附加股计划,从2013年6月建议至今,其顾问M&A证券行于2014年4月突然辞职,由达证券行接手至今未有下文,公司主舵的他却已售罄股票,人去楼空。
应验曾文秀待不久
曾文秀两年前高调进驻,曾发言不应将市场炒作和他联在一起,他是来改造这两家公司的,给他两年的时间,让他做出一些成绩来。
如今两年光阴已过,他还未功成,却已身退,当初坊间批他待不长久的传言,果然很有道理。

(吉隆坡14日讯)纳音英达机构(NICORP,4464,主板贸服股)向马交所报备,拿督曾文秀辞去非独立非执行董事一职。
文告指,前公司总执行长曾文秀因已全售手上公司股权,所以必须辞去职务。
曾文秀在10月28日,因沽清纳音英达机构所有股权,而不再成为大股东。
他是通过场外交易,以总额485万令吉,脱售3883万6600股或5.53%给公司两名董事,拿督萧瑞鑫(译音)和拿汀邱丽华。【南洋网财经】

(吉隆坡9日讯)由于卖家延迟提供相关文件,纳音英达机构(NICORP,4464,主板贸服股)宣布同意中止收购产业发展商Lagenda Erajuta公司所有股的建议。
去年6月,纳音英达机构建议以3900万令吉,向沙巴Sagajuta和Titan Formation购入Lagenda Erajuta。
当时该公司表示,将以每股10仙,发售高达3亿5000万股新股;并以每股1令吉,发售高达400万股新可赎回优先股。
Lagenda Erajuta在巴生有一项联营发展计划,名为1Gateway,预计在5年内完成。
随着双方已同意中止上述收购,因此公司也宣布中止发出优先股、附加股和凭单的建议,因为当时筹资是为了完成收购,以及发展1Gateway项目。

纳英英达多元化业务 获项目管理合约

(吉隆坡11日讯)纳英英达机构(NICORP,4464,主板贸服股)宣布,计划把业务多元化至建筑、產业投资、项目管理及再生能源等4个领域,同时已获得第一份合约,即获Lagenda Erajuta私人有限公司委任为雪州巴生Gateway项目管理顾问(PMC),可从发展成本中抽成4%,料达1800万令吉。
巴生Gateway项目是一项综合商业发展计划,含盖店屋、酒店、戏院等,初步估计的发展成本为4亿5000万令吉,4%抽成即为1800万令吉,料將在2017年5月时竣工后,依据完工证明书入账。纳英英达机构將负责该项目的建设管理、综合管理、控制成本、规划与调度等工作。
由于这项合约料將在28个月內为该公司贡献25%或以上的净利,因此依据上市条例,向股东寻求批准以多元化业务。此外,为了摆脱目前业务范围只涉及伐木和產业发展的局面,该公司决定多元化业务。除了项目管理,该公司也正在物色建筑、產业投资和可再生能源的商机,將召开股东特別大会一併寻求股东批准,进军上述领域。

纳音英达Keloil终止联营

(吉隆坡2日讯)纳音英达机构(NICORP,4464,主板贸服股)宣布,终止与Keloil私人有限公司的联营计划。
根据文告,由于无法达成共识,因此双方同意终止该联营计划,从上周五起生效。
在2012年8月份,纳音英达机构与Keloil私人有限公司签署联营协议,进军油气业,双方将会专注生产家庭及工业煤气桶,及石油气(LPG)装瓶等工作。【南洋网财经】

纳音英达巴生商业项目 独立顾问建议股东赞成

(吉隆坡3日讯)纳音英达机构(NICORP,4464,主板贸服股)独立顾问建议无利害关系股东,在来临的股东特大上,赞成“Gateway Klang”计划。
纳音英达机构将在17日(周五)举行特大,以票决有关提供项目管理服务给“Gateway Klang”计划的建议。
该公司是在2月11日,获拿督曾文秀的相关公司,颁发巴生综合商业产业发展的项目管理顾问合约。
FHMH企业顾问公司表示,合约颁发属公平且合理,对无利害关系股东没有坏处。
该合约的价值是“Gateway Klang”计划发展总值的4%,初步估计为4.5亿令吉。
“Gateway Klang”计划已在2014年5月1日动工,料在2017年5月竣工。
“这对纳音英达机构来说,是个拓展核心业务的机会,因公司拥有相关专业知识的专才。”

(吉隆坡17日讯)纳英英达机构有限公司(NICORP,4464,贸易服务组)正洽商透过一项联营,在缅甸仰光发展一栋楼高32层的办公大楼,总发展值达1亿2000万美元(4亿4000万令吉)。
纳英英达机构董事经理拿督萧瑞鑫今日出席公司特别大会后告诉记者:“一切仍在策划中,我们还没有落实所有细节,我们目前正与一名缅甸伙伴进行洽商。”
评级投资这个政治比区域其他国家更不稳定的国家风险时,萧瑞鑫表示,他已在缅甸拥有18年的投资业务经验。
他补充:“这并非我首次进军缅甸。我有信心可带领纳英英达进入下一阶段。”
他说,他之前曾在缅甸参与发电厂业务和化学贸易。
与此同时,股东们已在今日的特别大会上放行,从而容许纳英英达多元化其业务,至计划管理、产业发展和建筑。
萧瑞鑫指出,蒙受亏损的纳英英达,预料可在2015年扭转局势,主要由来自预期在2017年建竣巴生通道(Geteway Klang)计划的1800万令吉合约所贡献。

NICD is currently dormant and is intended to be principally involved in property management and development.
The acquisition of NICD does not have any material impact on the earnings and the net assets of the NICORP Group for the financial year ending 31 December 2015.
None of the Directors and/or major shareholders of NICORP and/or persons connected to them, have any interest, direct or indirect in the acquisition save for Dato’ Siaw Swee Hin and Mr. Cheang Soon Siang.

(吉隆坡10日讯)纳音英达机构(NICORP,4464,主板贸服股)获得GE产业私人有限公司,总值2400万令吉的项目管理咨询合约。
该公司在昨天的文告中指出,上述合约总值,相等于沙巴亚庇直落里卡士Boulevard Likas项目发展总成本(GDC)4亿8000万令吉的5%,估计约2400万令吉。
Boulevard Likas为一栋30层楼高的综合商业发展项目,将于本月进行打桩工程,预料需耗时5年竣工。
该公司指出,凭着技能、能力和资源,有信心胜任该管理咨询的任务,同时,放眼该项合约在未来捎来盈利贡献。【南洋网财经】

The payable fees shall be based on Certificates of Progress Work done at the site at each calendar month by the Project Consultants or the pro-rate value from the total duration of the award contract period or whichever is higher.
The duration of the said project is over a period of five years and is expected to commence its piling works in June 2015.
The value for the PMC award is 5.0% of the gross development cost (“GDC”) of the Boulevard Likas project. For illustration purposes, based on the preliminary estimated GDC of RM480.0 million, the value of the award is estimated to be RM24.0 million.
None of the directors / major shareholders has any interest, direct or indirectly on the aforesaid project.

(吉隆坡10日訊)納英茵達(NICORP,4464,主要板貿服)獲總值2400萬令吉計劃管理顧問合約,未來獲利靠譜,股項獲投資者青睞,交投熱烈為今日熱門股項。
今早開市時,納英茵達即以熱烈交投盤踞早盤熱門股榜,開市微揚0.5仙,掛11仙,至休市時維持開市11仙水平,半日共873萬7500股易手,為最熱門股項之一;午盤該股仍獲投資者熱烈交投,閉市時,納茵英達起0.5仙,掛11仙水平,成交量963萬6100股。
納英茵達日前向馬證交所報備指出,獲GE房地產私人有限公司委任,為發展成本高達4億8000萬令吉綜合計劃擔任計劃管理顧問。
文告指出,上述位于沙巴州的項目管理合約總值為整項房產計劃總發展成本的5%,初步估計合約總值為2400萬令吉。
該綜合發展計劃包括地下停車場、酒店、公寓、商店、辦公室和相關外部工程,進行項目和建築管理、現場員工管理、成本控制、規劃和調整、採購、品質控制、調試和訓練等工作。

納英茵達今日向馬證交所報備,納英茵達城市發展公司上週六(13日)與United Pacific發展公司簽署備忘錄,雙方組成聯營公司,在緬甸仰光發展一棟32層樓高的大樓。
根據報備文件,該聯營公司繳足資本還未確定,但納英茵達城市發展公司將持有51%股權,其他49%為United Pacific發展公司持有。

DURATION The MOU will be for a periods of three (3) months commencing from the date of MOU, 13 June 2015 thereafter, the parties shall negotiate in good faith and use their best endeavours to enter into definitive agreements in respect of the transactions contemplated to the MOU (“Definitive Agreements”). The MOU shall terminate on earliest of the date on which the Definitive Agreements are signed, the date falling six (6) months after the date of the MOU and a termination date that the Parties have agreed in writing.
SHAREHOLDINGS OF THE JVC The proposed initial paid-up capital of the JVC is as yet to be determined. The Parties will subscribe the initial share capital according to the following shareholding: - (i) NICDSB shall hold an equivalent to fifty one per cent (51%) interest in the JVC. (ii) UPD shall hold an equivalent to forty nine per cent (49%) interest in the JVC.
COMMITTED INVESTMENT AMOUNT The committed investment amount of the JVC is contributed by the parties in proportion to their respective percentage of shareholding. The amount to be contributed by UPD shall be the agreed amount. UPD is to contribute its proportion of the committed investment amount in kind through a lease of the said Land while NICDSB is contribute its proportion of the committed investment amount in case in accordance with a payment scheduled agreed between the Parties.
NICDSB’s UNDERTAKING NICDSB undertakes to UPD to use its best endeavours to manage and complete the development and construction of the Project with all due care and diligence within four (4) years from the date of joint venture agreement.
COSTS Each Party shall bear its own cost incurred in relation thereto.
DIRECTORS' AND MAJOR SHAREHOLDERS' INTEREST None of the Directors nor major shareholders of NICORP or persons connected with them has any interest, direct and indirect, in the MOU.
Directors’ Opinion The Board of Directors of NICORP is of the opinion that the MOU is in the best interest of the Company.
