1) Who are deemed to be a substantial shareholder?
A person can be a substantial shareholder of any public company, whether listed on an exchange or not. A substantial shareholder is a person:

who has an interest of 5% or more of the aggregate (total) voting shares in a company;

who is deemed to have an interest in a share where a body corporate has an interest in a share and a body corporate is, or its directors are accustomed or under obligations whether formally or informally to act in accordance with the directions, instructions or wishes of that person to that share.

  
2) What is the timeframe given for a person who becomes a substantial shareholder to notify the SC?
A person must notify the SC within 7 days of becoming a substantial shareholder (acquiring 5% or more of the aggregate voting shares in a company).

  
3) Can the substantial shareholder obtain an extension of time for reporting?
Yes, refer to Regulation 11 of the Securities Industry (Reporting of Substantial Shareholding) Regulations 1998.

  
4) What is the applicable date for the column on "Date interest acquired" under Form 29A?
For a person who was a substantial shareholder on the date these Regulations came into force, which was 1 May 1998, the "Date interest acquired" is May 1998.

  
5) What if the substantial shareholder acquires or disposes of voting shares? Which form should be used for each notification of change in interest?
Notice has to be given to the SC within a period of 7 days after the change occurred Form 29B may be used for each notification of change in interest.

  
6) How do we fill up the column of "Circumstances by reason of which change has occurred" (Form 29B)
For any subsequent notifications, this column may be filled up by stating how one came into these shares, i.e open market transaction, off market, bonus issues, rights issues, private placement, etc.

  
7) What is the penalty for non-compliance with these regulations?
Section 123 of the Securities Industry Act states the general penalty for failure to comply with this requirement is, upon conviction, a fine not exceeding RM 1,000,000 or imprisonment for a term not exceeding 5 years or both.

如果不需要，买超过５％后，第２天立刻卖出，是不是就不用呈报BURSA曾经拥有５％的股权？

如果拥有至少５％股权，在7天内需要呈报.

如果第２天立刻卖出，变成拥有少过５％股权,仍需要呈报.

印度大兄以为可以像杨董那样用少数的资金控制megan

怎么知道一切都是杨董的计谋。在杨董手上现在虽然没有很多股票。但是亲戚朋友那里却还有不少（少过5%）。更何况还有大量的megan-wa。等待转换。

正当印度大兄在根Megan做生做死后。凭单转换时间到了。杨董一下又有超过印度大兄的股权。

印度大兄预估无泪啊。

是否是让印度大兄上当的机会？呵呵。。我乱掰的表认真
