Company Secretaries Must Play Bigger Roles

KUALA LUMPUR, April 3 (Bernama) -- Malaysian company secretariesacting as advisors to the board of directors on corporate governance,should assume a more pro-active and responsible role in advocatingstrong corporate governance practices for public listed companies.
Making this call, Malaysian Institute of Chartered Secretaries andAdministrators (MAICSA), Vice President, Dr Cheah Foo Seong said theSecurities Commission and Bursa Malaysia viewed company secretaries asadvisors to the board in the Malaysian Code of Corporate Governance,which are the principles and best practices of governance for Malaysiancompanies.
"Although seated among board members, the company secretary, doesnot participate in decision making but the job entails a lot ofrecording of minutes, giving advice on procedures of meeting, rules andregulations encountered by board members in their deliberations," hesaid.
In this respect, Dr. Cheah said the company secretary should actas an effective guardian in keeping an eye on the governance activitiesof the company and be vigilant of any actions that may contravene anylaws and regulation, particularly with regards to the Companies Act,Bursa Malaysia's listing requirements and the Capital Market ServicesAct.
The company secretary is known as an officer in all legislationsconnected with business dealings by companies and therefore in theevent of any company wrongdoing, he or she by law can also beimplicated as an offender, Dr Cheah told Bernama in an interviewrecently.
"The company secretary is also known for his other task inensuring all records of company including decisions made in companymeetings and record of shareholders and directors are updated in linewith compliance with the regulatory requirements," he said.
A company secretary is uniquely placed to observe corporategovernance practice as he sits with board members and assist thechairman of the board in preparing, conducting and reporting theoutcome of the board of directors meetings and general meetings of thecompany.
He stressed that while the professional duties of Malaysiancompany secretaries have grown in leaps and bounds, they cannot enforcetheir advice on directors.
On many occasions, Dr Cheah said company secretaries had beenunaware of the directors not complying with the EPF/Employees ProvidentFund law, Customs and Excise duties, as well as laws related toemployment and income tax.
"Although the company secretary is not involved in managerialtask, yet he is implicated as a defaulter or offender of a law byvirtue of his position as an officer of the company," he said.
Dr Cheah stressed that it was time for those who set the laws toappreciate the functions of company secretaries as mere administratorsand that their work and duties were ministerial in nature, as they donot have the powers to make decisions nor run a business.
However, there are provisions under the Companies Act protecting the interest of a company secretary, Dr Cheah said.
For example, should he be aware of any wrongdoing and alert themto the relevant regulatory authorities, he will be protected fromdismissal, discrimination or interference and harassment.
In terms of disclosures, accountability and transparency issues,the company secretary, Dr Cheah said, should play a pivotal role inadvising the board of directors concerning these issues.

量力而为，不必为了省回两块钱而多花几百块。
例如：2TB硬盘 RM500, 1TB硬盘 RM380，320GB RM220，如果实际上你只需要250GB，你会买哪个？ |
