Description	TIME DOTCOM BERHAD ("TIME" or "the Company")- JOINT INVESTMENT WITH SYMPHONY COMMUNICATION PUBLIC COMPANY LIMITED ("SYMPHONY") TO CONSTRUCT AND OPERATE A DATA CENTRE BUSINESS IN THAILAND
We refer to Symphony, an associate company of TIME, in which its wholly-owned subsidiary company, TIME dotCom International Sdn Bhd, holds 46.84% of its total issued and paid-up share capital. The Board of Directors of TIME (“the Board”) wishes to announce that it has given approval in principle for a proposed joint investment with Symphony, via TIME’s subsidiary, AIMS Data Centre (Thailand) Limited (“ADCTH”), for the construction and operation of a data centre business in Thailand, which, subject to the relevant Symphony shareholders’ and other approvals (if required) being obtained, would involve the following proposed transactions:- (i) A disposal by TIME’s wholly-owned subsidiary, Planet Tapir Sdn. Bhd. to Symphony of 270,039 existing ordinary shares in ADCTH for a consideration of THB27,003,900 (approximately RM3.87 million), and an issuance of 219,961 new ordinary shares in ADCTH to Symphony on a pro rata basis for a subscription price of THB21,996,100 (approximately RM3.15 million). Pursuant to these transactions, the total shareholdings of Symphony in ADCTH of 490,000 shares will represent 49% of the enlarged total issued and paid-up share capital of ADCTH, with the balance 51% being held by TIME and its subsidiaries (collectively “TIME Group”). (ii) Symphony will novate its rights and obligations under certain agreements relating to the office lease and the construction and the development of the data centre to ADCTH for a total value not exceeding THB189,100,000 (approximately RM27.08 million). (iii) Symphony and TIME Group will provide ADCTH with shareholders’ loans pro rata to their respective shareholdings in ADCTH for a total value not exceeding THB306,120,000 (approximately RM43.84 million), of which up to THB150,000,000 (approximately RM21.48 million) will be provided by Symphony and up to THB156,120,000 (approximately RM22.36 million) will be provided by TIME. Definitive agreements for these transactions have not yet been entered into. Definitive agreements will be finalised and entered into after Symphony obtains its shareholders’ approval for the same. Symphony on 5 June 2020 made an announcement to the Stock Exchange of Thailand on the said proposed transactions, a copy of which is attached. The highest percentage ratio applicable to the said transactions pursuant to Chapter 10 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad is 2.94%. The Board will make further announcements as and when there is any development in this matter. The exchange rate used in this announcement is based on THB100 : RM14.32. The Board of Directors of TIME (“the Board”) wishes to announce that on 31 July 2020, Symphony’s shareholders have approved for Symphony to enter into the Joint Investment in ADCTH, thereby satisfying the main outstanding condition precedent for the transaction. Pursuant to the abovementioned, the following definitive agreements have been entered into today:- Share Sale and Purchase Agreement between TIME’s wholly-owned subsidiary Planet Tapir Sdn Bhd (“PT”) and Symphony (“SPA”) for the acquisition by Symphony of 270,039 existing ordinary shares, representing 49% of total shares in ADCTH, for a total cash consideration of THB27,003,900 (approximately RM3,656,000). Novation Agreements between Symphony, ADCTH and the relevant parties (“NVA”) for the novation of Symphony’s rights and obligations relating to the office lease and the construction and the development of the data centre to ADCTH. Loan Agreement for a total value not exceeding THB 306,000,000 (approximately RM41,433,000) between Symphony, TIME and ADCTH (“LA”) whereby Symphony and TIME agree to grant a shareholder loan to ADCTH in proportion to their respective shareholding ratio in ADCTH i.e. up to THB150,000,000 (approximately RM20,310,000) by Symphony and THB156,000,000 (approximately RM21,123,000) by TIME.
