SECTION 3.05 DELIVERY OF VACANT POSSESSON
The Vendor shall deliver vacant possession of the Property to the Purchaser(s) immediately upon payment by the Purchaser the Purchase Price or on the date when the Purchaser is deemed to have paid the Purchase Price (这里说明你必须即时交屋子给买主当买主给清买价). In the event of vacant possession not being delivered to the Purchaser as stipulated herein the Vendor shall without prejudice to any other rights and remedies available to the Purchaser, pay to the Purchaser interest at the rate of ten per cent (10%) per annum calculated on a daily basis on the Purchase Price from the expiry of the aforesaid period until actual delivery of vacant possession. (这里说明如果屋子不在期限内交锁匙,你还必须给买主10%的年利息,以日来记算,从期限的截止直到你交屋子为止)
所以你如果选择不交产业给对方的话,给对方利息就很厉害了。。
SECTION 6.04 TRANSFER NOT REGISTRABLE
(a)If the Property is not registered in favour of the Purchaser or its nominee for any reason whatsoever not due to the fault of the Purchaser then the Purchaser shall be entitled to take such action to enforce this Agreement by specific performance or to claim for any loss or damage incurred or suffered by the Purchaser as a result of the transfer not being registrable. (假设那产业没登记在买主的名下,不管任何的原因,除了因买主引起的原因,买主有权利选择寻求特别方案或向你追讨他因产业没登记在他名下所造成的损失)
这里没有提到(我看完整份也没看到)万一土地局不批准而不能将产业登记在买主名下的特殊情况,所以我觉得因土地局不批准的原因,会被分类在不管任何的原因之内,这条款会对你不公平,因为错不在你。
(不过,我曾问过律师,土地局不批准的几率,是少之又少,只是它的批准可以是附带条件或无)
(b)In the alternative, the Purchaser or its nominee shall be entitled at its option to request the Vendor to refund forthwith the Purchase Price, whereupon the Vendor shall forthwith make such refund with interest at the rate of 10% per annum calculated from the date of payment by the Purchaser to the solicitors or the Vendor, as the case may be, to the date of repayment and thereafter this agreement shall be treated as terminated without prejudice to the Purchaser rights to claim for any loss, damages, expenses and costs incurred or suffered by the Purchaser as result of such termination. (买主可另选择要求终止合约,要求卖主退钱,包括10%的年利息,从买主付款给卖主或律师算起)
SECTION 6.10 SPECIFIC PERFORMANCE
The Purchaser shall be entitled to specific performance of this Agreement and the Vendor shall bear all costs and expenses whatsoever including the Purchaser’ Solicitors’ fees in the event that the aforesaid right of specific performance is enforced by the Purchaser.
这里已经说明买主可以进行特别方案,通指打官司,来履行这合约,而卖主得承担所有的费用,包括的对方的律师费。
Completion Period: 3 months from the date of receipt of the Memorandum of Transfer duly executed by the Developer in favour of the Vendor together with the original issue document of title to the property subject to full payment of all outstanding charges due by Vendor to Developer.
这从后面的TABLE抄的。你的COMPLETION PERIOD还蛮特别的 (因为我不知道有这回事, 我们通常都是从土地局批准文件的日期算起,我觉得比较保险也比较公平,因为拿土地局的CONSENT时间可以长至几个月的,快则几星期)。你的产业打算是DIRECT TRANSFER吗?就是直接从发展商的名字割去买主的名下。。。
