这当中怎样都要看完合约的内容才能给意见的。。单凭几行字做不得准的咯。。。

基本上既然签了合约也打上印花了。。 ANYTHING都是REFER回合约的。。

你的情况, 他确实有权利进CAVEAT, 然后(假设你不买的话),他是可以入法庭申请你必须卖给他的咯。。。


没看完你的文件, 实在抱歉难给于你什么意见。。

if the vendor default or breach any of the condition contained herein the purchaser shall be entitled by 7 days notice in writing to the vendor terminate tis agreement (这里说到买主要书信说同意终止合约,问题是现在他都不打算终止合约,所以另当别论了。)and upon such termination the purchaser shall be entitle to an immediate refund of the sum of monies paid under tis agreement toward the account of the preurchaser price and compensation for the stamp duty, legal cost and other monies properly n resonable incurd by the purchaser for purchase of the property together with a futher sum amounting to ten percent of the purchaser price shall be payable by the vendor as agreed liquidated damage (这个情况就是你得赔偿他的费用,前提是他肯终止合约咯)and thereafter this agreement shall be null and void and be of no effect,anf thereafter neither party hereto shall have any futher claims againts the other for cost ,damage ,compensation or otherwise hereunder...

你得SNP应该有一个条款说到买主有可以寻求特别方案来解决问题"the Purchaser shall be entitled to specific performance of this Agreement"(通常指带上法庭),这CLAUSE通常是UNDER “DEFAULT BY THE VENDOR")

我给你看我的SNP的条款例子, (我是买主):

Default by the Vendor
If for any reason (default by non-compliance by the Purchaser excepted) (不管任何的理由,这里包括如果万一卖主反悔的原因,除了因买主不符合的原因除外)the Vendor does not transfer or fails to transfer the said Property to the Purchaser within the time stipulated herein and in accordance with the provisions of this Agreement or breach any of the terms of this Agreement and without prejudice to such other right or remedies which the Purchaser may have against the Vendor, the Purchaser shall be en tilted to specific performance of this Agreement(寻求特别方案来解决问题). All costs and expenses incurred by the Purchaser in connection therewith (including solicitor's costs on a solicitor and client basis) shall be borne and paid by the Vendor(当中的费用将由卖主负责,所以买主进CAVEAT,FILING进法庭,律师费,还有 赔偿的损失,杂费等等,将在向卖主追讨回).


因为是COMPLETED PROPERTY , 所以 不同律师楼做的SNP 内容都会跟当时的情况有所不同。

我建议你向熟悉的律师帮你看看SNP的内容,看还能寻找漏洞吗。。

谢谢回复,合约上不是明明写了赔10巴仙吗?既然可以逼卖为何还有着条约,上了法庭如土地局不批准那有怎么说?如果超过了snp的3个月有效期是不是还得跟snp跑??请问,你还要看那一条约呢?我可以在这填上。。。。

上了法庭如土地局不批准那有怎么说?
通常LEASEHOLD PROPERTY ,SNP有另外条款说到土地局不批准的情况的,这里没法给你意见, 因为没看到完整的SNP

如果超过了snp的3个月有效期是不是还得跟snp跑??
这个还是回到 “DEFAULT BY VENDOR“

如果你不介意, 可以放上你的SNP完整部分吗?你可以把私人资料全删掉, 我看看内容看能帮你吗。。。

楼主, 我摘了几个觉得你需注意的要点:

SECTION 3.03 EXECUTION OF TRANSFER

Immediately upon the execution of this Agreement, the Vendor shall forthwith execute and deposit with the Solicitors as stakeholders a valid and registrable Memorandum of Transfer in respect of the Property free from all encumbrances in favour of the Purchaser or its nominee(s) (在签SNP时,你应该已经签了割名的文件吧,我们叫MEMORANDUM OF TRANFER). The Solicitors are hereby irrevocably authorised to submit the said memorandum of Transfer to the Collector of Stamp Duty for determining stamp duty payable as soon as practicable pursuant to the terms herein.


SECTION 3.05 DELIVERY OF VACANT POSSESSON

The Vendor shall deliver vacant possession of the Property to the Purchaser(s) immediately upon payment by the Purchaser the Purchase Price or on the date when the Purchaser is deemed to have paid the Purchase Price (这里说明你必须即时交屋子给买主当买主给清买价). In the event of vacant possession not being delivered to the Purchaser as stipulated herein the Vendor shall without prejudice to any other rights and remedies available to the Purchaser, pay to the Purchaser interest at the rate of ten per cent (10%) per annum calculated on a daily basis on the Purchase Price from the expiry of the aforesaid period until actual delivery of vacant possession. (这里说明如果屋子不在期限内交锁匙,你还必须给买主10%的年利息,以日来记算,从期限的截止直到你交屋子为止)

所以你如果选择不交产业给对方的话,给对方利息就很厉害了。。



SECTION 6.04 TRANSFER NOT REGISTRABLE

(a)If the Property is not registered in favour of the Purchaser or its nominee for any reason whatsoever not due to the fault of the Purchaser then the Purchaser shall be entitled  to take such action to enforce this Agreement by specific performance or to claim for any loss or damage incurred or suffered by the Purchaser as a result of the transfer not being registrable. (假设那产业没登记在买主的名下,不管任何的原因,除了因买主引起的原因,买主有权利选择寻求特别方案或向你追讨他因产业没登记在他名下所造成的损失)

       这里没有提到(我看完整份也没看到)万一土地局不批准而不能将产业登记在买主名下的特殊情况,所以我觉得因土地局不批准的原因,会被分类在不管任何的原因之内,这条款会对你不公平,因为错不在你。

     (不过,我曾问过律师,土地局不批准的几率,是少之又少,只是它的批准可以是附带条件或无)


(b)In the alternative, the Purchaser or its nominee shall be entitled at its option to request the Vendor to refund forthwith the Purchase Price, whereupon the Vendor shall forthwith make such refund with interest at the rate of 10% per annum calculated from the date of payment by the Purchaser to the solicitors or the Vendor, as the case may be, to the date of repayment and thereafter this agreement shall be treated as terminated without prejudice to the Purchaser rights to claim for any loss, damages, expenses and costs incurred or suffered by the Purchaser as result of such termination.  (买主可另选择要求终止合约,要求卖主退钱,包括10%的年利息,从买主付款给卖主或律师算起)



SECTION 6.10 SPECIFIC PERFORMANCE

The Purchaser shall be entitled to specific performance of this Agreement and the Vendor shall bear all costs and expenses whatsoever including the Purchaser’ Solicitors’ fees in the event that the aforesaid right of specific performance is enforced by the Purchaser.

这里已经说明买主可以进行特别方案,通指打官司,来履行这合约,而卖主得承担所有的费用,包括的对方的律师费。



Completion Period: 3 months from the date of receipt of the Memorandum of Transfer duly executed by the Developer in favour of the Vendor together with the original issue document of title to the property subject to full payment of all outstanding charges due by Vendor to Developer.

这从后面的TABLE抄的。你的COMPLETION PERIOD还蛮特别的 (因为我不知道有这回事, 我们通常都是从土地局批准文件的日期算起,我觉得比较保险也比较公平,因为拿土地局的CONSENT时间可以长至几个月的,快则几星期)。你的产业打算是DIRECT TRANSFER吗?就是直接从发展商的名字割去买主的名下。。。

对方律师保护买主是当然的事。。。如果没猜错,你应该是没有用自己的律师吧。。。不然可以问他为何没在S&P加上对你有利的条款

如果在经济情况许可下,双方还是有个别的代表律师比较好,可以保护各自的权益

那看来是非卖不可了。。。 漏洞一点都没有, 对卖主一点也不公平,对方律师也保护买主。。 ...

    我看到还有一个机会就是买主在延长期限内无法给清剩下的买价的话,那你有权利在七天内书信通知对方中止合约和没收他的10%咯。

我看到还有一个不公平的一点就是为什么迟交产业年利息是10%,而对方不能在期限内清剩下的买价,然后在延长期限内年利息则只是8% (REFER TABLE :RATE OF INTEREST - 8% per centum per annum)  。。。

还有可以大概说明你遇到的问题吗?什么文件导致你的银行不肯出钱?是什么产业?有INDIVIDUAL TITLE 吗?FREEHOLD LEASEHOLD?


给LZ的话,你可以查看你的SNP STAMP在几时吗?因为你说九月签,现在都十二月了。。你看看发展商签了MEMORANDUM OF TRANSFER 了没 ?签了的话日期是几时?
