DCIB-DELAY IN SUBMISSION OF FINANCIAL STATEMENTS

Contents :

The above Company has failed to submit its Annual Report for the financial year ended 30 June 2006 to Bursa Malaysia Securities Berhad ("Bursa Securities") for public release within the stipulated timeframe pursuant to Paragraph 9.23(a) of Bursa Securities' Listing Requirements ("LR"), which was due on 31 December 2006.

Pursuant to Paragraph 9.26(4) of the LR, if a listed issuer fails to issue the outstanding financial statements within 3 months from the expiry of the timeframes stated in paragraphs 9.22 and 9.23 of the LR ("Relevant Timeframes") (the last day of the 3 months period shall hereinafter be referred to as "Suspension Deadline"), in addition to any enforcement action that the Bursa Securities may take, the Bursa Securities shall suspend trading in the securities of such listed issuer. The suspension shall be effected on the market day following the expiry of the Suspension Deadline.

However, the Company's securities has been suspended from trading since 21 December 2006 pursuant to Section 255 of the Companies Act 1965. Please refer to announcement dated 20 December 2006 made by DCIB.

Further, pursuant to Paragraph 9.26(6) of the LR, if a listed issuer fails to issue the outstanding financial statements within 6 months from the expiry of the Relevant Timeframes, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against such listed issuer.

DCIB-Suspension Pursuant to Paragraph 8.14C of the LR  

LISTING'S CIRCULAR NO. L/Q :  42896 OF  2007
The above Company has failed to submit its regularisation plan to the
Securities Commission and other relevant authorities for approval within the
Submission Timeframe stipulated in paragraph 4.1 of Practice Note No 17/2005
which was due on 30 April 2007.

In view of the above and in accordance with paragraph 8.14C(4) of the Bursa
Malaysia Securities Berhad's Listing Requirements ("LR", a trading suspension
will be imposed on the listed securities of the Company on the 5th market day
after the expiry of the Submission Timeframe ie. on 9 May 2007. However, as the

listed securities of the Company have already been earlier suspended from
trading since 21 December 2006 due to the appointment of Provisional
Liquidators on Dceil Imex Sdn Bhd, a major subsidiary company of DCIB, please
be advised that arising from paragraph 8.14C(4) of the LR, the suspension will
continue and is without prejudice to the suspension which was earlier imposed.

DCIB-De-listing of Securities

Contents :

After due consideration of all facts and circumstances of the matter, Bursa Securities has decided to exercise its powers pursuant to paragraphs 8.14C(1) and 16.17 of the Listing Requirements of Bursa Securities ("LR" to de-list the securities of the Company from the Official List of Bursa Securities as the Company does not have adequate level of financial condition to warrant continued listing on the Official List of Bursa Securities.

Accordingly, please be informed that the securities of the Company will be removed from the Official List of Bursa Securities at 9.00 am on Monday, 18 June 2007.

With respect to the securities of the Company which are currently deposited with Bursa Malaysia Depository Sdn Bhd ("Bursa Depository", the securities may remain deposited with Bursa Depository notwithstanding the de-listing of the securities from the Official List of Bursa Securities. It is not mandatory for the securities of a company which has been de-listed to be withdrawn from Bursa Depository.

Alternatively, shareholders of the Company who intend to hold their securities in the form of physical certificates, can withdraw these securities from their Central Depository System (CDS) accounts maintained with Bursa Depository at anytime after the securities of the Company have been de-listed from the Official List of Bursa Securities. This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by Bursa Depository. These shareholders can contact any Participating Organisation of Bursa Securities and/or Bursa Securities' General Line at 03-2034 7000 for further information on the withdrawal procedures.

Upon the de-listing of the Company, the Company will continue to exist but as an unlisted entity. The Company is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the company's performance. However, the shareholders will be holding shares which are no longer quoted and traded on Bursa Securities.
