Description	MAGMA GROUP BERHAD (FORMERLY KNOWN AS IMPIANA HOTELS BERHAD) ("MAGMA" OR THE "COMPANY")(I)        PROPOSED REDUCTION OF THE ISSUED SHARE CAPITAL OF MAGMA PURSUANT TO SECTION 116 OF THE COMPANIES ACT, 2016; (II)        PROPOSED ACQUISITION OF A PARCEL OF LEASEHOLD LAND FOR A TOTAL PURCHASE CONSIDERATION OF RM80,000,000 ("PROPOSED ACQUISITION"); AND(III)        PROPOSED AMENDMENTS TO THE CONSTITUTION OF MAGMA (COLLECTIVELY REFERRED TO AS "PROPOSALS")
On behalf of the Board of Directors of Magma, RHB Investment Bank Berhad wishes to announce that the Company proposes to undertake the following: (i) a reduction of its issued share capital pursuant to Section 116 of the Companies Act, 2016; (ii) an acquisition of a parcel of leasehold land held under the title no. Pajakan Negeri 53478, Lot No. 81179, Tempat of Persiaran Dutamas, Mukim of Batu, District of  Kuala Lumpur, State of Wilayah Persekutuan Kuala Lumpur, measuring approximately 2.26 acres (equivalent to approximately 9,146 square meters) ("Land") from Skyload Express Sdn Bhd ("Skyload") for a total purchase consideration of RM80,000,000, to be satisfied via a combination of cash payment of RM8,000,000, the issuance of 120,000,000 new ordinary shares in Magma ("Consideration Shares") at an issue price of RM0.2024 per Consideration Share and the issuance of 47,712,000 new redeemable non-convertible preference shares in Magma ("RPS" or "Consideration RPS") at an issue price of RM1.00 per RPS; and (iii) amendments to the Constitution of Magma to facilitate the issuance of the RPS under the Proposed Acquisition.   In conjunction with the Proposed Acquisition, Magma together with Magma Kiara Sdn Bhd, a wholly-owned subsidiary of Magma Property Sdn Bhd (formerly known as Magma Land Sdn Bhd), which in turn is a wholly-owned subsidiary of the Company had on 24 September 2024, entered into a conditional sale and purchase agreement with Skyload for the acquisition of the Land for a total purchase consideration of RM80,000,000.
