Update on Bakun Hydroelectric Project
-Execution of agreements for the settlement of all rights, obligations and liabilities in respect of the undertaking of the CW2 Package (Main Civil Works) for the Bakun Hydroelectric Project | Following the completion of the CW2 Package for the main civil works for the Bakun Hydroelectric Project (“CW2 Contract”) by the Malaysian-China Hydro Joint Venture (MCH JV), the Board of Directors of WCT Holdings Berhad ("WCT" or “the Company”) wishes to announce that WCT Berhad (“WCTB”), which is a wholly-owned subsidiary of the Company had on 11 August 2014 entered into:
(i) a Supplemental Agreement to the Joint Venture Agreement (“Supplemental Agreement”) in respect of the MCH JV dated 12 June 2002 with the other parties to the MCH JV; and
(ii) a Settlement Agreement in respect of the CW2 Contract with some of the parties to the MCH JV, namely Sime Engineering Sdn Bhd (“SESB”), Sinohydro Corporation (“Sinohydro”) and MTD Capital Berhad (“MTD”) (“Settlement Agreement”).
Pursuant to the Supplemental Agreement, each of the parties to the MCH JV has agreed to release, waive, relinquish, withdraw and discharge any and all claims, actions, causes of actions, obligations, liabilities, judgments, orders and demands whatsoever nature whether known or unknown, related to and/or arising out of the MCHJV and/or the CW2 Contract which it had instituted or may now have or may hereafter have against each other in accordance with and subject to the terms under the Supplemental Agreement.
Further, pursuant to the Settlement Agreement, SESB, Sinohydro, WCTB and MTD have collectively agreed to assume, bear and settle all costs in relation to MCH JV’s pre-existing and future rights, obligations and liabilities in relation to the CW2 Contract in accordance with the agreed proportions and on terms and conditions as set out in the Settlement Agreement.
The Company through WCTB, has an effective interest of 7.7% in the MCH JV.

(吉隆坡21日讯)建筑业务入账放缓,加上外汇亏损,导致WCT控股(WCT,9679,主板建筑股)截至6月杪次季净利按年下滑39.49%。
文告显示,次季净利报3429万8000令吉,或每股盈利3.14仙;上财年同期为5667万8000令吉。
当季营业额年挫16.8%,达4亿147万3000令吉,上财年同期达4亿8251万7000令吉。
合计半年,WCT控股净利下滑25.5%,达7439万5000令吉,或每股盈利6.82仙;营业额则下滑10.76%,至8亿6869万4000令吉。
该公司也宣布派发每股共3.53仙的股息,这包括1.25仙的现金股息,以及每100股派发1库存股(以截至8月21日闭市价计算,相等于2.28仙)。【南洋网财经】

房產建築皆看淡‧WCT展望審慎

(吉隆坡3日訊)WCT控股(WCT,9679,主板建筑組)房產和建築業務皆存有利空,分析員審慎看待未來展望。
扣除外匯虧損,WCT控股上半年核心淨利仍跌23%至8千300萬令吉,歸咎於第二季房產業務營運賺幅減至18.9%,不復上財政年的21%,加上建築業務營運賺幅按年下跌23%。
截至6月,未進賬房產銷售為5億3千700萬令吉,對外建築訂單達18億8千萬令吉。
產業銷售轉保守
興業研究出席分析員匯報會後說,該公司重申2014財政年爭取20億令吉建築工程的目標,對於產業銷售則轉為保守。
“WCT並未參與巴生河流域捷運工程,算不上是蓬勃建築業的代表股項。同時,受多項打房措施影響,其房產業務也面對阻礙。”
馬銀行研究也表示,第二季房產銷售按季下跌12%至2億4千500萬令吉,管理層全年賣出12億令吉的目標恐怕不易達成。
不過,馬銀行指出,該公司7月獲頒邊佳蘭煉油及石油化學綜合發展計劃(RAPID)的3億4千200萬令吉基建合約,未來可能爭取更多工程,加上橡膠局房產計劃等其他潛在合約,相信對外建築訂單可進一步增加。
大眾研究認為,雖然該公司兩大業務都存有不確定因素,但爭取更多重複收入、保守資本管理等策略仍讓該行讚賞不已,看好這些舉措可以減輕不景氣的衝擊,也能蓄勢爭取投資商機。

该公司向马交所报备,回债计划为15年期,首批需2年内发行;公司将通过回债计划筹资,充作营运和资本开销,同时再融资现有贷款。
大马评级公司(MARC)认为,公司的回债计划展望“稳定”,足以反映出公司营收多元,且在国内建筑业具有一定地位。

The Sukuk Murabahah Programme shall have tenure of fifteen (15) years from the date of first issue of the Sukuk Murabahah provided that the first issuance of Sukuk Murabahah shall be made no later than two (2) years from the date of the SC’s approval and authorisation of the Sukuk Murabahah Programme. Each Sukuk Murabahah shall be issued for tenures of more than one (1) year and up to fifteen (15) years from the date of issuance, at the option of the Issuer, provided always that no Sukuk Murabahah shall mature beyond the tenure of the Sukuk Murabahah Programme.
The Sukuk Murabahah will be issued via book-building, private placement or bought deal basis.
Proceeds from the issuance of the Sukuk Murabahah will be utilised for the following purposes which are Shariah-compliant: (i) to fund WCT Group’s working capital requirements, capital expenditure and investments specific to WCT Group’s principal activities, excluding the construction or acquisition of hotel(s); (ii) refinancing of WCT Group’s existing borrowings; (iii) to fund the Trustee’s Reimbursement Account; and/or (iv) to defray fees and expenses incurred in relation to the Sukuk Murabahah Programme.

WCT工程向馬證交所報備,旗下Jubilant Courtyard私人有限公司是在今日與Matad私人有限公司簽署買賣協議,以總數1億1538萬令吉購買4塊面永久地契空地,整個活動料將在3個月后完成。
WCT工程料利用該土地展開混合商業開發項目,但依然處于初步計劃。

(吉隆坡29日讯)WCT控股(WCT,9679,主板建筑股)接获莫实得(BSTEAD,2771,主板贸服股)旗下联营公司,颁发总值6亿5162万令吉的商场建筑合约。
WCT控股子公司获得莫实得Ikano颁发合约,负责建设一栋11层楼高的商场,地点在吉隆坡柯克伦路(Jalan Cochrane)。
根据文告,WCT控股将建设4层包含零售商店、食品和娱乐设施,以及6层停车场,可出租面积超过100万平方尺。
工程预计2016下半年竣工。
莫实得Ikano为莫实得与Ikano零售亚洲的联营公司。双方于2012年4月达成联营协议,并向武装部队基金局(LTAT)收购土地,联营发展和管理购物中心。【南洋网财经】

(4) FINANCIAL EFFECTS
The Contract is expected to contribute positively to the Group’s future earnings and net assets.
(5) DIRECTORS' AND/OR MAJOR SHAREHOLDERS’ INTERESTS The Directors and major shareholders of the Company and persons connected with them do not have any interest, direct or indirect, in the award of the Contract.
(6) APPROVALS REQUIRED

獲6.51億合約‧WCT控股財測不變

(吉隆坡30日訊)WCT控股(WCT,9679,主板建筑組)獲取價值6億5千160萬令吉新合約,分析員認為該合約在預期內,無驚喜元素且貢獻不顯著,維持財測不變。
繼獲取價值3億4千200萬令吉邊佳蘭煉油及石油化學綜合發展計劃(RAPID)土木建築工程後,該公司於本財政年再獲取第二項新合約-吉隆坡克可靈宜家(IKEA Cochrane)商場,建設零售中心、停車場、餐飲及娛樂設施,工程料在2016年下半年完成大眾研究預測,新合約累積年度訂單至9億9千400萬令吉,促使未完成訂單超越35億令吉,可忙碌1至2年。
“該合約稅前利潤為6%,建築期間,料可為該公司增約3千萬令吉盈利,不過這已在預期內,合約價值又低於管理層預定的7億至8億令吉,顯示競標比預期劇烈。”
豐隆研究認為,雖然訂單補充如預期強勁,可是對盈利影響不顯著,維持評級不變,主要是考量去年面臨工程短缺、本地競爭加劇、海外競標時間難測及產業銷售放緩影響。
上財政年該公司只獲取6億7千萬令吉訂單,該行為了反映高於預期的工程獲取量,調漲2015及2016財政年盈利預測3.1%及2.5%。
10億建築訂單釋放可期
MIDF研究指出,獲取本地第二項合約料加強投資者對該公司的信心,顯示今年10億令吉建築訂單釋放能力可期。
“雖然訂單補充速度有點緩慢,卻已經比去年杪增加,相信這只是時間問題,一些工程還是有可能在2015財政年釋放。”
競標方面,該公司已競標總值40億令吉海內外工程,當中本地工程價值25億令吉,海外工程以卡塔爾為主,價值約15億令吉。

MARC: 资金雄厚 WCT 逾亿购地不影响信评

(吉隆坡11日讯)大马评级公司(MARC)表示,WCT控股(WCT,9679,主板建筑股)资金雄厚,近期以1亿1540万令吉购入雪州双文丹真(Bandar Serendah)地皮,并不会影响信贷评级。
WCT控股将收购双文丹的89.3公顷土地,毗邻现有地库,将可扩大潜在城镇发展面积。
大马评级公司在文告中指出,WCT控股截至今年6月的现金达4亿2870万令吉,足以应付这项交易。
“该公司财务弹性充足,可应付明年到期的4亿令吉债券。”
目前,WCT控股的3亿令吉7年回教商业票据和回教中期票据计划,获“MARC-1ID/AA-ID/稳定”评级,15亿令吉的15年Murabahah回教债券计划则为“AA-IS/稳定”评级。

WCT第3季净利挫37%

(吉隆坡24日讯)WCT控股(WCT,9679,主板建筑股)截至9月杪第3季,净利年挫37.46%,报2584万9000令吉,上财年同期是4132万9000令吉。
根据财报,当季产业发展业务盈利减少,加上赚幅受压,所以净利随之萎缩。
无论如何,同期营业额年增12.57%,写4亿7110万6000令吉,上财年同期是4亿1850万8000令吉。
当季每股盈利是2.37仙,相较于上财年同期的3.78仙。
合计3季,WCT控股净利挫29%,报1亿24万4000令吉,或每股盈利9.18仙;营业额也跌3.75%,得13亿3980万令吉。

打房恐影响销量 WCT2年盈利下调

(吉隆坡1日讯)WCT控股(WCT,9679,主板建筑股)营运环境挑战重重,分析员担心,打房措施影响公司销量,加上建筑与产业赚幅下滑,决定下修公司财测。
肯纳格投行分析员表示,公司拥有高达35亿令吉的强稳订单,足以驱动公司未来3年营业额。
然而,打房措施造成公司产业销售持平,以及建筑与产业赚幅降低,或影响公司未来盈利。
因此,该分析员调降公司今明两年的盈利预测各19%,分别至1.33亿及1.59亿令吉。
竞标31亿合约
达证券分析员亦针对同样理由,下修WCT控股今明后3个财年的盈利预测,降幅介于18.6%到25.3%。
WCT控股第三季核心净利按年下滑51%,营业额则上扬17%。
同时,公司亦把产业业务的全年销售目标调降49%,至6.17亿令吉。
年初迄今,公司产业销量达到4.97亿令吉,未入账销售为5.89亿令吉。
肯纳格投行分析员点出,WCT控股盈利前景令人忧心,但中短期或有新合约流入,可成为公司动力,目前竞标总值31亿令吉的合约。
兴业研究分析员提到,730亿令吉的巴生谷捷运计划,支撑建筑领域前景,足以让夺标的业者繁忙至2021年。
可是,他认为WCT控股缺乏吸引力,未必可拿到捷运计划的工程。
他维持公司“中和”评级,并调降目标价,从2.31令吉至2.02令吉。【南洋网财经】 |

WCT兩大業務展望欠佳

(吉隆坡23日訊)WCT控股(WCT,9679,主板建筑組)建築及產業業務因市場疲弱情緒影響,表現欠佳,分析員因此下調其財測及目標價。
興業研究指出,因涉及中東業務,投資者對WCT控股興趣缺缺,加上無法達到建築訂單補充目標及產業業務面對打房利空,決定下調目標價及財測。
截至2014財政年杪,該公司只獲取9億9千400萬令吉新工程,無法達到20億令吉及興業研究預測的1億5千萬令吉建築訂單補充目標。
“近期原油價格崩跌負面影響油氣資產,打擊一些中東產油國繼續工程的開銷能力,雖然中東合約僅佔WCT控股11%訂單,該區域依然是重要市場。”
目前該公司正在競標卡塔爾價值10億令吉基建工程,管理層預測每年大馬及中東各可獲取10億令吉工程。
“為反映2014財政年只獲取9億9千400萬令吉新訂單,下調2014至2016財政年盈利預測2%、6%及6%。”
興業研究認為,WCT控股可能面對2015至2016財政年新合約獲取量低於每年的1億5千萬令吉預測、成本上揚及新產業需求疲弱的風險。
“建築領域前景因730億令吉的巴生河流域捷運計劃支撐,前景走俏,領域業者料可忙碌至2021年,可是WCT控股至今未獲取任何捷運工程,產業業務也受打房利空影響。”

WCT放眼20亿新合约

(吉隆坡23日讯)鉴于积极参与建筑竞投活动,WCT控股(WCT,9679,主板建筑股)放眼在2015財政年(12月31日结帐)贏得总值20亿令吉的新合约。同时,该公司冀望產业投资管理业务在未来为整体净利带来15%的贡献。
WCT控股执行董事黄毅凯在周五与NewWorld&Resorts公司签署仪式后,在记者会上表示,该公司一直都积极参与工程竞投活动,希望2015年可在国內及中东市场贏得各10亿令吉的新工程合约。
同时,黄毅凯指出,隨著政府周二宣布的修订预算案,保持国家发展开销的总额,所以建筑领域前景依然正面。
对此,他相信,將会出现更多的建筑工程机会,不管是成为工程的主承包商或子承包商,皆会从中受惠。
另外,对于中东市场,黄毅凯表示,该公司在中东已有12年的建筑记录,在建筑方面的器材及专业人士都非常充足,所以相信可在今年取得10亿令吉的补充合约。
针对兴建中的Newworld八打灵再也酒店,黄毅凯指出,预测可在2016年第3季正式开张,而此酒店也是佰乐泰(Paradigm)综合商业发展项目的其中一部份,整个项目总发展价值为18亿令吉。他补充说,该酒店项目是公司多元化发展策略的一部份,预测產业投资管理业务,在不久的將来將占公司整体盈利的15%比重。
北马寻扩展机会
与此同时,该公司旗下第3项购物中心发展项目,预计將在明年动工,目前正等待相关单位的批准。该购物中心座落在柔佛。
另一方面,黄毅凯披露,该公司在北马將持续寻找扩展机会,目標地点则是檳城。
他说,较高的地皮价格及竞爭激烈的环境,是公司考量的两大因素。
此外,他说,该公司的在万挠(Rawang)的500英亩產业项目,料將明年推出,其发展总值高达40亿令吉。
至于吉隆坡118大楼(KL118)建筑合约,该公司已符合预审竞標资格,目前等待最终的颁发结果。
