(吉隆坡6日讯)继8月份签署初步协议后,文语控股(Sasbadi Holdings Bhd)今日与动画电视节目Chuck Chicken的创作者签订许可协议。
该集团今日向大马交易所报备,与Animasia Studio私人有限公司签订的许可协议有效期为3年。
根据协议,文语控股将把这套受欢迎的动画改编成一系列在全球销售的书籍。
这将让该集团制作和销售动画衍生的印刷品。此外,也可以向任何第三方分发印刷品的出版权。
根据文语控股,该电视连续剧已授权世界各地的主要广播网络,如迪士尼频道、Nickelodeon,甚至是中国的主要卫星和省级电视网络。
该集团说,许可协议预计从截至2018年8月31日止财政年作出盈利贡献。

SSB was incorporated in Malaysia on 3 May 1985 and it is principally involved in, among others, the publishing of printed educational materials.
Animasia Studio was incorporated in Malaysia on 25 July 2005, and it is principally involved in creative content development in the areas of concept artwork, character designs, storyboarding, animation productions, digital comics, audio productions, and character licensing and merchandising. Animasia Studio has created and produced, among others, an animation television series titled “Chuck Chicken” (“Work”).
Under the Licence Agreement, Animasia Studio grants SSB the following rights:
(i) SSB shall have the publishing rights to produce, publish, distribute, market and sell printed materials (with or without embedded digital technology) utilising and exploiting the Work in Malaysia and the rest of the world (“Licensed Products”) and to utilise such aspect of the Work including any character from the Work, its name, likeness and any visual or other representation of the character, in connection with the manufacture, packaging, advertisement, distribution, dealing with and/or sale of the Licensed Products. The Licensed Products shall be developed, produced and exploited by SSB based on the following indicative list of products:
(a) Colouring books (b) Comic books/series (c) Padded hardcover trade books (d) Collectible editions (e) Activity books (f) A combination of any of the above
The list may be expanded from time to time with the prior written mutual agreement of both parties;
(ii) Animasia Studio shall acknowledge SSB as its “Master Publication Licensee” for the Licensed Products throughout Malaysia and the rest of the world;
(iii) SSB shall have the right to sub-license the production/publishing of the Licensed Products to third parties for localisation/sub-publishing of the Licensed Products throughout the rest of the world; and
(iv) SSB shall be given the first right of refusal for the rights to produce and publish printed materials in/for another market before Animasia Studio offers the said rights to a third party,
subject to the terms and conditions in the Licensed Agreement.
The Licence Agreement shall be for a period of three (3) years from 6 October 2017 to 5 October 2020, unless it is terminated earlier in accordance with the relevant provisions in the Licence Agreement.
The Licence Agreement is expected to contribute positively to the earnings and net assets of the Sasbadi Holdings Group (i.e. Sasbadi Holdings and its subsidiaries) for the financial year ending 31 August 2018 onwards, during the duration of the Licence Agreement.
The Company does not foresee any exceptional risks other than the normal operational risks associated with the Licence Agreement. The Company will take the necessary steps to mitigate the risks as and when they occur.
None of the Directors or major shareholders of Sasbadi Holdings or persons connected to them have any interest, direct or indirect, in the Licence Agreement.
The Board of Directors of the Company is of the opinion that the Licence Agreement is in the ordinary course of business and in the best interest of the Company.

文语控股末季转亏423万
2017年11月1日
(吉隆坡31日讯)由于部分子公司因为市况疲弱而导致营业额下跌,文语控股(SASBADI,5252,主板消费产品股)截至8月31日末季,净亏423万1000令吉或每股1.01仙,按年由盈转亏。
营业额则从1538万8000令吉,按年跌15.62%至1298万5000令吉。
全年净利按年减少51.85%至803万8000令吉;营业额微增0.39%,录得9305万6000令吉。
文语控股今日向交易所报备,当季营业额下跌,因为子公司Sasbadi私人有限公司和大马Book Promotions私人有限公司收入减少,但网上业务Sasbadi Online、Mindtech教育私人有限公司和联营出版集团,所带来的营业额,缓冲了部分冲击。
该公司解释,子公司的营业额减少,是因为零售市场疲弱,而线上或电子产品业务营业额增加,归功于公司的直接或网络营销业务。
鉴于零售市场持续疲弱,文语控股将通过精简和利用资源,积极推动非学术业务增长。【e南洋】

文语获MCE书籍经销权

(吉隆坡3日讯)文语控股(SASBADI,5252,主板消费产品股)与Marshall Cavendish Education(简称MCE)签署分销协议,在大马销售后者出版的书籍。
文语控股昨天向交易所报备,独资子公司大马Book Promotions私人有限公司,受委为MCE的独家经销商,把MCE出版的教科书、工作簿、教师资源、一般资料等,推销、宣传、销售和分销给书本零售商、批发商、学校、教育部和其他客户。
合约期限从2017年11月1日开始,至2020年9月30日,若对方同意,可再延长2年。
这项合约料可贡献文语控股截至2018财年的净利和净资产。
MCE在1981年8月31日成立于新加坡,主要提供K-12教育解决方案。至今,其解决方案被改编成多种语言,应用于超过60个国家,包括大马的私人和国际学校。【e南洋】

Subject to the terms and conditions in the Distribution Agreement, MCE grants Malaysian Book Promotions the exclusive right to promote, market, advertise, sell and distribute certain MCE-published titles (i.e. textbooks, workbooks, teacher resources, and supplementary and general materials) as set out in the Distribution Agreement (“Approved Works”) to book retailers, wholesalers, schools, the Ministry of Education and/or by way of direct marketing to consumers in Malaysia, for a term from 1 November 2017 to 30 September 2020. MCE may renew the Distribution Agreement for subsequent periods of two (2) years each at its sole discretion based on terms and conditions to be mutually agreed by both parties. In addition, the parties may at any time add or remove titles from the Approved Works.

最新业绩让我们大跌眼镜,虽然早前我们已经料到公司末季净利表现将非常不济,甚至会蒙受亏损,但亏损的幅度仍然远超预期。
不过,我们依然坚持看好文语控股在2018财年的前景。因公司在近期内有一系列开源节流的动作,我们相信,盈利增长应该会在下财年反弹。
另外,我们认为文语控股将会是2018财案的受益者。政府承诺,将加强大马教育的素质。
其中有不少新政,包括派发250令吉的书券、成立科学、科技、工艺和数学(STEM)中心等,都可让公司从中得益。

(吉隆坡18日讯)文语控股(SASBADI,5252,主板消费产品股)截至去年11月底首季,净利按年升2.56%,录得444万8000令吉,上财年同期报433万7000令吉。
该公司昨日向马交所报备,营业额则滑落5.55%,录得2947万8000令吉。
根据文告,营业额表现稍微逊色,是因为应用学习(ALP)和科学、科技、工艺和数学(STEM)业务营收低于上财年同期。
文语控股解释,2017财年首季公司获得了一个总值385万令吉的单次合约,因此,比较起来2018首季的营收自然会稍低。
展望未来,该公司指出会继续在数字方案和科技多下功夫,并通过市场营销和直销,继续推高市占率。

文語控股獲教育部合約653萬

(吉隆坡9日訊)文語控股(SASBADI,5252,主要板消費)獲教育部頒發三份出版與印刷合約,總值653萬令吉。
文語控股向馬證交所報備,Sasbadi私人有限公司,獲頒其中兩項意向書(LOA),將為全國華小出版和印刷三年級的數學課本,合約總值289萬令吉,及總值72萬2045令吉的美術課本。
同時,間接子公司The Malaya Press私人有限公司則獲頒總值292萬令吉意向書,負責出版和印刷三年級的中文課本。
“合約為期三年,從今年3月9日起至2020年12月31日。”
文語控股指出,合約不會為公司截至8月底2018財年的盈利與淨資產值造成影響,因公司預計在2019財年首兩季才會完成合約的首期交付。

文语控股获653万课本合约

(吉隆坡9日讯)文语控股(SASBADI,5252,主板消费产品股)获教育部颁发3项总值653万1615令吉的合约,出版和印刷华小三年级课本。
文语控股今日向交易所报备,这三项合约是由独资子公司Sasbadi私人有限公司(SSB)和间接子公司The Malaya Press私人有限公司(TMP)获得。
SSB所获颁的2合约,分别是负责出版和印刷小学三年级数学和艺术教育课本,合约总值361万1425令吉;TMP则出版和印刷小学三年级华文课本,总值292万190令吉。
合约今日起生效,至2020年12月31日。
由于首批总值393万8380令吉的课本,将于公司2019财年首季和次季才交付,文语控股估计在2019财年起才贡献净利和净资产。
KADS1M料冲击出版业
另一方面,高等教育部拿督斯里依德利斯祖索宣布,在籍大专生从下周四(15日)起可通过一个马来西亚大专生扣账卡(KADS1M)获得250令吉,可用于购买书籍、电脑设备、科技产品等等。
对此,安联星展研究分析员认为,这对作为国内印刷和出版行业代理的文语控股而言,是有害无利。
政府在2018年财政预算案中宣布发放3亿令吉,这笔资金原计划向在籍大专生派发250令吉一个马来西亚书券。
原本,书券只能用于购买书籍和文具相关用品,这有助推动国内印刷和出版行业的增长,以及成为文语控股净利增长的驱动力之一。
然而,现转以KADS1M形式支付,学生可能会把钱花在其他产品,对国内印刷和出版业无利可图。
财测下调10%
为此,分析员先保守将2018财年的印刷出版业务增长率,从12%,调低至5%,明后两年预估则分别从9%和3%,调降至8%和3%。
同时,这三年的集团财测,也跟着调低9至10%。
分析员维持评级,相信近期股价疲软已充分反映出负面消息,下调目标价至95仙。【e南洋】

It is to be noted that the 2018 contracts are for “publish and print” only while the 2017 contracts are for “publish, print and supply”.
2. Financial Effects
The Science Textbook Contract and the Chinese Language Textbook Contract (collectively, the “Contracts”) will not have any material effect on the earnings and net assets of the Sasbadi Holdings Group for the financial year ending 31 August 2018 as SSB and TMP are only expected to deliver the first tranche of the Contracts worth approximately RM5,184,000.00 in total to the national schools throughout Malaysia in the first and second quarters of the financial year ending 31 August 2019. The Board of Directors of Sasbadi Holdings wishes to inform that Penerbitan Pelangi Sdn Bhd ("PPSB”), Majlis Peperiksaan Malaysia and SSB (collectively, the “Parties”) have, today, entered into a settlement agreement dated 16 April 2018 whereby it has been agreed between the Parties that PPSB will withdraw its claim in the Suit with no liberty to file afresh and no order as to costs and, simultaneously, SSB will withdraw its counterclaim in the Suit with no liberty to file afresh and no order as to costs.
Any further material development of the above matter will be announced in due course.

The Board of Directors of Sasbadi Holdings is pleased to announce that, the Company’s directly-owned subsidiary, Sasbadi Sdn Bhd (“SSB”), has today signed and accepted three (3) Letters of Acceptance from the MoE for additional scope of work, i.e. to include supply/delivery of books for the following subjects :-
- Mathematics for Year 3 at the Chinese national-type primary schools throughout Malaysia, for the period from 13 September 2018 to 31 December 2020 at a total estimated additional contract value of RM333,065.00 (“Mathematics Additional Contract”);
- Arts Education for Year 3 at the Chinese national-type primary schools throughout Malaysia, for the period from 13 September 2018 to 31 December 2020 at a total estimated additional contract value of RM82,607.50 (“Arts Education Additional Contract”); and
- Science for Form 3 at the national schools throughout Malaysia, for the period from 13 September 2018 to 31 December 2020 at a total estimated additional contract value of RM506,940.00 (“Science Additional Contract”).
The Board of Directors of Sasbadi Holdings is also pleased to announce that, the Company’s indirectly-owned subsidiary, The Malaya Press Sdn Bhd (“TMP”), has today signed and accepted two (2) Letters of Acceptance from the MoE for additional scope of work, i.e. to include supply/delivery of books for the following subjects :-

2. Financial Effects
SSB and TMP are expected to deliver the first tranche of the Mathematics Additional Contract, the Arts Education Additional Contract, the Science Additional Contract, the Chinese Language Y3 Additional Contract and the Chinese Language F3 Additional Contract (collectively, the “Additional Contracts”) worth approximately RM990,050.00 in the first and second quarters of financial ending 31 August 2019. In this regard, the Additional Contracts are only expected to contribute positively to the earnings and net assets of the Sasbadi Holdings Group for the financial year ending 31 August 2019 onwards, during the duration of the Additional Contracts.
3. Risk Factors
The Company does not foresee any exceptional risk other than the normal operational risks associated with the Additional Contracts. The Company will take the necessary steps to mitigate the risks as when they occur.
4. Directors’ and/or Major Shareholders’ Interest
None of the Directors and/or major shareholders of Sasbadi Holdings or persons connected with them has any interest, whether direct or indirect, in the Contracts.
