Description
SARAWAK CONSOLIDATED INDUSTRIES BERHAD (SCIB OR THE COMPANY) - PROPOSED ACQUISITION OFALL THAT PARCEL OF LAND AND APPURTENANCES THEREOF SITUATED AT BINTULU SIBIU ROAD, BINTULU CONTAINING AN AREA OF 2.49 HECTARES
The Board of Directors (“Board”) of SARAWAK CONSOLIDATED INDUSTRIES BERHAD (“SCIB” or “Company”) wishes to announce that SCIB PROPERTIES SDN. BHD. [Company Registration No.: 200101019135 (554892-V)] (“SCIBP”) (“Purchaser”), an indirect wholly-owned subsidiary of SCIB, had on 18 September 2024 entered into a Sale & Purchase Agreement (“SPA” or “Agreement”) to purchase all that parcel of land and appurtenances thereof situated at Bintulu Sibiu Road, Bintulu containing an area of 2.49 hectares, more or less, and described as Lot 1673 Block 32 Kemena Land District (“Property”) from GINTECK SDN. BHD. [Company Registration No.198801009207 (176564-H)] (“GINTECK” or “Vendor”) for a Purchase Price of Ringgit Malaysia Nine Million Two Hundred and Twenty-Five Thousand (RM9,225,000.00) only (“Purchase Consideration”) (“Proposed Acquisition”).

Query Letter Contents
We refer to your Company’s announcement dated18 September 2024, in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1) The information on the land pursuant to item 4, Part C of Appendix 10A of the Main Market Listing Requirements.
2) The details of the appurtenances attached to the land.
3) The detailed basis and justification to arrive at the purchase consideration, including but not limited to, the details of the condition of the land and the basis to determine the potential profitability from the proposed development on the land taking into consideration that no development plan has been determined todate.
4) The rationale to acquire the agricultural land when the intention of the Group is to develop the land into residential development.
5) The estimated financial commitment required for the conversion of the agricultural land into mixed development and the source of funds.
Reference is made to the letter dated 19 September 2024 from Bursa Malaysia Securities Berhad (“Bursa Securities”) pertaining to announcement made by the Company on 18 September 2024.
