Description	HEADS OF TERMS BETWEEN SIB VENTURES SDN BHD, A WHOLLY OWNED SUBSIDIARY OF SAPURA INDUSTRIAL BERHAD AND ZHEJIANG ZHONGZE PRECISION TECHNOLOGY CO., LTD.
Reference is made to Sapura Industrial Berhad's ("SIB" or " Company") announcement dated 6 March 2025 relating to Memorandum of Understanding made between SIB VENTURES SDN BHD [Company Registration No.: 202401044576 (1590422-M)] (“SIBV”), a wholly owned subsidiary of SIB, and ZHEJIANG ZHONGZE PRECISION TECHNOLOGY CO., LTD. (“ZZ Tech”). The Board of Directors of SIB wishes to announce that SIBV and ZZ Tech had on 20 May 2025 executed the Heads of Terms (“HOT”) which sets out the salient terms of the joint venture agreement to be entered between SIBV and ZZ Tech.  Both SIBV and ZZ Tech have agreed to establish a joint venture company to be incorporated under the laws of Malaysia, for the purpose of setting up a lithium battery precision structural component manufacturing facility in Malaysia; with products to be exported to international markets. Please refer to the attachment for the details of the announcement. This announcement is dated 20 May 2025.
