CBHB is pleased to announce that on 31 July 2015, the Company has acquired 2 Ordinary Shares of RM1.00 each, representing 100% of the total issued and paid up share capital of Jalue Elit Sdn Bhd (“Jalur Elit”) for a cash consideration of RM2.00.
2. Information on Jalur Elit
Jalur Elit was incorporated in Malaysia on 28 March 2014 under the Companies Act, 1965. The authorised share capital of Jalur Elit is RM100,000.00 consisting of 100,000 Ordinary Shares of RM1.00 each. The issued and paid-up share capital is RM2.00 divided into 2 Ordinary Shares of RM1.00 each.
Jalur Elit has not commenced operation.
3. Effects of the Acquisition
The Acquisition will not have any material impact on the earnings and net tangible assets of the Company for the financial year ending 31 December 2010. The Acquisition will not have any effect on the share capital and shareholders’ shareholdings as the Acquisition is by cash.
4. Approvals Required
No approval from any authorities or shareholders of the Company is required for the Acquisition.
5. Directors’ and Substantial Shareholders’ Interest
None of the directors and substantial shareholders of CBHB or persons connected to them have any interest, direct or indirect, in the Acquisition.
6. Directors’ Statement
The Board of Directors of CBHB is of the opinion that the Acquisition is in the best interest of the Company.

克立斯创办人杨全周逝世 儿子杨昌铭接棒董事经理

(吉隆坡3日讯)克立斯建筑(CRESBLD,8591,主板建筑股)创办人兼董事经理杨全周逝世,由儿子杨昌铭调任为董事经理。
文告指出,杨全周在周二(1日)以63岁之龄与世长辞,他在1983年创办克立斯建筑私人有限公司,多年来累积了资深经验,是公司增长的主要推手。
他的女儿杨卓琴(译音),在公司担任副执行董事。
杨全周间接持有公司的35.88%股权,以及19.92%的B凭单。
根据文告,杨昌铭将从执行董事,调任为董事经理,即日起生效。
杨昌铭拥有土木工程背景,他在2003年加入克立斯建筑,担任董事经理的特别助理,随后在2008年进驻董事部。

(吉隆坡20日讯)克立斯建筑(CRESBLD,8591,主板建筑股)考虑了目前的市况后,决定取消配售活动。
去年11月11日,克立斯建筑建议配售2097万7718股,或最多10%的缴足资本,最高筹资2979万令吉。
当时,该公司向马交所报备,筹资所得将用作金马(Dang Wangi)轻快铁站计划的发展资金。【南洋网财经】

(吉隆坡10日讯)Crest建筑控股有限公司(CRESBLD,8591,建筑组)公布,在截至2015年9月30日止第3财季,所取得的税前利润按年从963万令吉跳升至2033万令吉。
该建筑商致函马交所表示,至于营业额则由前期的4830万令吉猛涨至9503万令吉。
它说:“今次的营业额和税前利润较多,主要是在该季度中完成了Alam Sanjung服务式公寓项目所致。”【光华日报财经】

產业业务支撑盈利 格立斯望双位数成长

(吉隆坡19日讯)在產业业务的支撑之下,格立斯建筑(CRESBLD,8591,主板建筑股)预计,该公司2016財政年(12月31日结账)盈利將按年取得双位数成长。
格立斯建筑董事经理杨昌铭指出,该公司2015財政年净利按年下滑49.84%,至1041万令吉,归咎于较高的减值拨备及內务管理;无论如何,他看好该公司今年可以扭转去年负成长的趋势。
「儘管市况不佳,莎阿南剩余楼房销售和即將推出的峇都知甲AlamHijau第3阶段项目,都將推高格立斯建筑盈利成长。」
他补充,该公司莎阿南剩余楼房销售约达1亿至2亿令吉,AlamHijau则將于今年年中推出。
杨昌铭是在Latitud8动土仪式后的记者会上,发表以上谈话。同场出席的还有联邦直辖区部长拿督斯里东故安南和国家基建公司主席丹斯里依斯迈阿当等。
格立斯建筑將通过持股51%的Intan Sekitar私人有限公司和国家基建公司,联手于金马轻快铁站建设发展总值(GDV)达11亿令吉的公交为导向(TOD)之综合產业项目,佔地2.72英亩。
商討零售商场买卖
上述项目主要客户群为高收入群体,以及新加坡和香港买家。同时,格立斯建筑也正和投资者商討有关零售商场的买卖事宜,预计需时4至6个月。
针对盈利分配问题,杨昌铭表示,国家基建公司將享有该项目21.2%的发展总值,剩余的盈利归Intan Sekitar公司拥有。
「Latitud8发展项目毛利佔GDV的20%,按照股权比例,我们將从中获得10%的毛利。」
他续称,该项目將于今年年杪全面动工,于2021年竣工,预计在明年起为该公司建筑业务带来贡献。
格立斯建筑的建筑业务订单达4亿令吉,加上內部订单则共为11亿令吉。
该公司原欲通过私下配售,从中筹集Latitud8项目的发展成本,但后因市况欠佳而取消,对此,杨昌铭表示,该公司內部资金,足以支撑16至18个月的建筑成本。
他也相信,隨著市场转佳,银行对业者的信心將恢復,届时將可以较容易的获得融资,所以不担心建筑成本的问题。
至於接下来將竞標的合约,杨昌铭预计,该公司今年竞標合约价值料达45亿令吉,他们也將积极地在每年爭取总值约3亿至4亿令吉的订单。【东方网财经】 |

克立斯与偕大马橡胶局 隆发展13.3亿综合产业

(吉隆坡20日讯)克立斯建筑(CRESBLD,8591,主板建筑股)持股51%的子公司与大马橡胶局(LGM)合作,在吉隆坡推出发展总值13亿3267万7650令吉的综合商业发展项目。
克立斯建筑在文告中指出,子公司Landasan Bayu私人有限公司,今日与大马橡胶局签署联合发展协议。
双方将在吉隆坡安邦路的4.75英亩地皮,展开包括零售、高档住宅和办公室的综合商业发展项目。
根据协议,大马橡胶局将持有项目发展总值的22.5%,相等于2亿9985万2486令吉的数额。
为了获得该项目的股权,大马橡胶局将支付2071万7600令吉的现金,以及总值2亿7913万4886令吉的企业办公楼及公寓,来换取这批股权。
克立斯建筑董事经理杨昌铭表示,继Latitud8项目之后,这项联合发展协议为公司带来第二项发展总值达10亿令吉的综合产业发展项目。
“能够与大马橡胶局合作,是对公司的肯定,展望未来,我们看好该项目将进一步推高公司的净利表现。”
末季推Latitud8项目
克立斯建筑将在今年第4季,推介发展总值11.6亿令吉的Latitud8项目。
公司董事经理杨昌铭,昨天在该项目动土仪式结束后指出,初步建筑工程已在上月展开,因此,公司设定目标在今年底推介,但还是要取决于市况。
“若产业市场在今年底重拾动力,我们届时就会推出Latitud8项目,预计该项目在推介数年后,将开始为公司捎来贡献。”
杨昌铭续称,公司也要致力在Latitud8推介后的首6个月内,售出当中210间或50%的住宅单位。
手持11亿订单
另一方面,杨昌铭也相信,旗下莎阿南与峇都知甲(Batu Tiga)产业发展项目所带来的销售,可推高今年净利。
“同时,公司已竞得总值4亿令吉的外部建筑工作订单,加上内部订单,我们目前的手持订单总共是11亿令吉,而且,公司还在竞标45亿令吉的新订单。”
此外,克立斯建筑正寻找投资者,来投资公司位于吉隆坡的发展项目。
杨昌铭说:“公司目标在未来4至6个月内,为这些项目取得融资。我们正与数方人马洽谈,但我不能透露太多。最终,我们将探讨脱售商场或办公空间。”【南洋网财经】

The risk factors for the Joint Development will include but not limited to those associated with changes in the economic and regulatory conditions such as changes to cost of funding and taxes.
None of the Directors and/or major shareholders of the Company, or persons connected with them have any interest, direct or indirect, in the Proposed Joint Development.

克立斯建筑 首季净利跌35%

(吉隆坡24日讯)基于产业销售放缓,克立斯建筑(CRESBLD,8591,主板建筑股)截至3月杪,首季净利按年跌35%至254万5000令吉,或每股净利1.5仙。
首季营业额则按年跌15.7%,从6142万8000令吉减少至5176万9000令吉。
董事部指出,集团将会积极竞标第10大马计划或经济转型计划旗下潜在的建筑项目。
此外,随着打巴的玛拉工艺大学(UiTM)项目完成,集团净利有望增长。【南洋网财经】

12億訂單支撐‧克立斯可雙位數增長

(吉隆坡31日訊)克立斯建築(CRESBLD,8591,主板建筑組)希望在強勁訂單支撐下,2016財政年營業額及淨利將取得雙位數增長。
該公司董事經理楊昌銘在股東大會後表示,該公司目前手握12億令吉建築訂單,可供忙碌至2018年年初。
他說,該公司每年固定競標25億至30億令吉的項目,今年也不例外,根據以往經驗,可以爭取到4億至5億令吉的合約。
楊昌銘說,建築業務貢獻60%營業額,剩餘則來自產業業務。
“公司希望在今年能夠達到50:50的營業額貢獻。”
他說,產業發展業務則是以爭取政府釋放的私營化項目為主,希望每年至少爭取到一項工程。
他說,該公司目前的發展計劃主要集中在巴生河流域及雪蘭莪並計劃拓展至檳城及新山。

楊昌銘指出,該公司首季業績遜色主要是因為首季碰上農曆新年,業績普遍放緩,惟該公司相信第二季業績將取得比首季好的表現。

Crest建筑获4.38亿合约 文良港发展商住项目

(吉隆坡15日讯)Crest建筑控股有限公司(CRESBLD,8591,建筑组)已经敲定了一份总值4亿3830万令吉的合约,兴建位于文良港的森那美产业吉隆坡东部商业及住宅发展项目。
它致函大马交易所表示:“随着夺得上述合约后,我们已经达到今年目标的87%,并且可以补充其建筑订单数量。”
该建筑兼产业发展商获森那美美拉华蒂发展私人有限公司颁发决标信,拟兴建上述综合发展项目。
Crest建筑说,上述工程涉及2幢37层高的服务式公寓大楼的上层建筑工程,当中的6层作为停车场,一层用作文娱康乐设施,另外4层作为商业用途,以及地窖作为停车场。
它预计该项目需要大约30个月来完成,目标在2019年第一季度竣工。
该建筑集团称,若包括该项最新合约,目前的建筑订单总值企于7亿5000万令吉,至于产业发展订单的总发展值高达41亿令吉。
在新闻发布会上,Crest建筑集团董事经理杨全周指出,管理层已经设定内部目标为每年5亿令吉,以补充集团的建筑订单为指标,及保持其建筑部门的盈利表现。
他透露:“我们有信心,目前手头上的订单,能够在未来财政年度维持集团的积极盈利表现。”【光华日报财经】

克立斯建筑获8427万合约

(吉隆坡12日讯)克立斯建筑(CRESBLD,8591,主板建筑股)今日宣布,获得Asianmax Corporation私人有限公司总值8427万令吉,多层停车场建筑合约。
该公司向马交所报备,独资子公司克立斯建筑私人有限公司将执行该项合约,负责5项人民组屋的多层停车场建筑工程。
该项项目分别是斯里哥打(Seri Kota)、斯里沙巴(Seri Sabah)、迪沙敦拉萨(Desa Tun Razak)、慕里亚花园(Taman Mulia),及迪沙八打灵(Desa Petaling)的人民组屋计划。
有关合约的时效将从施工日期开始,为期12个月。
克立斯建筑指出,纳入该工程,目前手握建筑订单约12亿令吉,外加发展总值共41亿令吉的产业发展。
