On behalf of the Board of Directors of ARK, M&A Securities is pleased to announce that Bursa Securities had, vide its letter dated 2 April 2018 approved the following: withdrawal of ARK, ARK Shares and ARK Warrants from the Official List of Bursa Securities and the admission of ARK Holdings and the listing of and quotation for the entire enlarged issued share capital of ARK Holdings of up to 69,149,368 ARK Holdings shares and up to 20,475,725 ARK Holdings Warrants to the Official List of Bursa Securities in place of ARK; and listing of and quotation for up to 20,475,725 new ARK Holdings Shares to be issued pursuant to the exercise of ARK Holdings Warrants. ARK Holdings’ Stock Code, Stock Short Name and ISIN Code and tentative listing date are as follows: Stock Code : 7007 Stock Short Name : ARK ISIN Code : MYL7007OO007 Tentative listing date : 15 August 2018 ARK, ARK Holdings and M&A Securities are required to comply with the following: make the relevant announcements pursuant to paragraph 8.2 of Practice Note 21 of the Main Market LR; furnish Bursa Securities with a letter confirming that all approvals of the relevant authorities have been obtained together with a copy of each of all the said letters; furnish Bursa Securities with a confirmation that the requirements stipulated under Paragraph 15.02 and 15.09 of the Main Market LR have been duly complied together with the relevant document supporting the same; furnish Bursa Securities with a letter of compliance pursuant to Paragraph 2.12 of the Main Market LR together with the finalised Constitution of ARK Holdings; furnish Bursa Securities a copy of the schedule of distribution showing compliance to the public share spread requirements based on the entire enlarged issued share capital of ARK Holdings on the first day of listing; payment of outstanding initial and annual listing fees to be calculated based on the last traded price on the first day of listing, if any. In this respect, ARK Holdings is required to furnish Bursa Securities a cheque drawn to the order of Bursa Malaysia Securities Berhad for the initial and annual listing fees together with a copy of the details of the computation of the amount of listing fees payable; and to incorporate the comments made in the draft circular to shareholders. ARK and ARK Holdings are required to ensure full compliance of all the requirements as provided under the Main Market LR at all times. This announcement is dated 3 April 2018.
