一个大骗局,大股东两天就卖完,先托高母股再丢孩子,把转换价从RM0.92 调高到RM1.30,再引大家进局。

家盟吉迅速成長

(吉隆坡16日訊)家盟吉(GBGAQRS,5226,主板建築組)預料2014年杪前的建築工程合約將增至20億令吉,而產業發展業務的發展值則達約值9億令吉,預期這兩大核心業務,將是該公司業務迅速成長的“雙引擎”。

馬銀行研究指出,截至2013年4月30日為止,家盟吉持有12億令吉建築工程合約,以及持續推行中的產業發展計劃總值8億9千200萬令吉。2013年首季,建築業務占營業額62%及淨利47%,而產業發展則分別佔53%及38%。

該行指出,市場預測家盟吉2013財政年淨利為5千920萬令吉,2014年為7千910萬令吉,或等於3年复合平均成長率達57.5%。這使2014年預測本益比低至6.3倍,比較中小資本同儕平均為10.1倍。它的股本回酬率則達到22%。

家盟吉持有約值9億令吉的產業發展計劃,截至2013年4月止未入賬銷售額為2億零300萬令吉,料在未來2年入賬。今年杪前料推介兩項計劃,總發展值為3億9千200萬令吉。

該行認為,家盟吉全面沖淡的綜合價值估值為9億7千400萬令吉,或等於每股1令吉89仙,主要是將2014年建築業務的淨利預測為4千600萬令吉(8倍本益比),以及產業調整淨資產值折價20%計。(星洲日報/財經)

家盟吉表现亮丽

(吉隆坡17日讯)综合工程和建筑服务供应商家盟吉有限公司(GBGAQRS,5226,建筑组)公布,在截至2013年6月30日止第2季度,所取得的税前利润按年从1290万令吉飙升至3370万令吉。

至于营业额方面,亦由前期的6160万令吉攀升至1亿330万令吉,主要是建筑和产业发展业务贡献较高所致。

我们很高兴,建造部门的正在进行中的项目继续保持稳步推进,尤其是巴生谷的捷运工程和森美兰的道路改造工程等。

该集团首席执行员黄振贵在一份声明中说:“我们也在高增长地区的黄金地段加强产业发展项目,如柔佛州的依斯干达地区和雪兰莪州的蒲种。”

他称,集团首个名叫‘山顶’的多层项目是位于依斯干达经济走廊,截至6月底止已取得50%的认购率,而在蒲种的‘金銮住宅区’项目,也在该季度从进度付款中确认较高的收入。

展望未来,家盟吉打算通过积极招标承包工程,以及推出新的产业项目,来延续其增长动力。

鉴于目前马来西亚采取多项措施,在竞标中将公共基础设施发展成最发达的,因此在国内的建筑领域里有庞大的商机。

黄氏说:“我们有信心集团在建筑领域的令人称赞业务记录,可以参与国家的发展。”

他表示,由于市场需求较高,因此集团还将继续推介利基产业产品。[光华日报财经]

APPLICATION FOR A WAIVER FROM COMPLYING WITH THE CONDITION IMPOSED BY THE SECURITIES COMMISSION (“SC”) PURSUANT TO THE LISTING OF GBGAQRS ON THE MAIN MARKET OF BURSA MALAYSIA SECURITIES BERHAD (“BURSA SECURITIES”)
On behalf of the Board of Directors of GBGAQRS, AFFIN Investment Bank Berhad (“AFFIN Investment”) wishes to announce that a waiver application had been submitted to the SC on 3 September 2013 from complying with certain conditions imposed by the SC in relation to the Proposed Acquisition of the Sunway Land (as defined below) (“Proposed Variation”).

By way of background, AQRS The Building Company Sdn Bhd, a wholly-owned subsidiary of GBGAQRS, had on 16 April 2012, entered into a conditional sale and purchase agreement (“SPA”) with Ng Kit Heng and Ow Chee Cheoon, who were the promoters of GBGAQRS (“2 Promoters”) to acquire the following:

(i)         2.18 acres of land (excluding 0.09 acres of land earmarked for a new road) which forms part of the Master Title held under PN 24318 Lot 63977 (formerly HS(D) 148053, PT 2) located in Pekan Penaga, District of Petaling, State of Selangor Darul Ehsan (“Master Title”); and
(ii)        an adjacent parcel of land measuring approximately 0.44 acres currently used as a retention pond (which does not form part of the Master Title),

which are intended to be developed into a commercial development to be known as “Stylo” measuring approximately 2.62 acres collectively (“Proposed Acquisition of Sunway Land”). This was disclosed in the Prospectus dated 29 June 2012 in relation to the listing of GBGAQRS on the Main Market of Bursa Securities (“Listing”).   

On 31 July 2012, GBGAQRS completed the Listing exercise and as stated in the Prospectus dated 29 June 2012, one of the conditions imposed by the SC pursuant to the Listing, vide its letter dated 11 June 2012, was that GBGAQRS and the 2 Promoters are to strictly adhere to the terms and conditions of the SPA. Subsequent thereto, the Company intends to vary certain terms of the SPA for the SC’s consideration.

Further details on the Proposed Variation will be announced in due course upon the receipt of the decision of the SC and the execution of a supplemental SPA in respect to the Proposed Acquisition of Sunway Land.

興建州政府行政大樓 家盟吉料獲3.3億合約

(吉隆坡8日訊)有消息向《中國報》指出,家盟吉(GBGAQRS,5226,主要板建築)料將在本月獲得總值3億3000萬令吉興建合約。

首相拿督斯里納吉于週六(7日)進行動土禮儀式的彭亨州kotasas新行政大廈,此座大廈將包括州議會大廈、中央政府大廈及州政府大廈的行政大樓。

家盟吉所獲得合約內容為,設計與興建上述其中的州政府行政大樓。

知情人士透露,該合約洽談已進入最后階段,預計本月內將簽訂這項合約總值達3億3000萬令吉。

是項建築工程預計在簽署合約后就可開始動工,整項工程為期3年,預計2016年9月份可完成。

家盟吉早在上週三(4日)向馬證交所報備,公司將與Kreatif Selaras私人有限公司成立特別用途公司(SPV)Kreatif Selaras Gabungan(簡稱KSGSB),以承包在彭亨Darul Makmur的彭亨州州政府新行政大樓工程合約。

上述特別用途公司KSGSB的股權分配,以Kreatif Selaras佔65%大部分股權、Sinar Realiti私人有限公司持有5%,及家盟吉持有30%股權。

該消息指出,KSGSB獲得上述彭亨州州政府合約后,將主要分配給家盟吉負責,家盟吉持有合約極大部分獲利份額,約70%至80%;該合約料可為公司收益帶來積極貢獻。[中国报财经]

(吉隆坡10日訊)建築及房地產發展商家盟吉(GBGAQRS,5226,主要板建築)計劃斥320萬令吉,購買位于雪蘭莪雙溪毛糯的2間雙層店屋。

家盟吉向馬證交所報備,家盟吉已和賣家簽署2項買賣協議,以總額320萬令吉分別購買2間面積各達3294平方尺的雙層店屋。

文告指出,家盟吉已為這2間雙層店屋付上頭期款,將在3個月內付款剩余的288萬令吉給賣家。

家盟吉通過文告指出,為了綜合各個業務部門,以助簡化工作流程,並提高生產力,加上員工數量增加,是公司決定斥資購買這2間雙層店屋的原因。[中国报财经]

估值已超越盈利‧家盟吉後市唱淡

(吉隆坡17日訊)家盟吉(GBGAQRS,5226,主板建筑組)上半年核心淨利1千560萬令吉,僅達到預測的32%,儘管管理層表明未來獲更多工程驅動下半年交出更亮眼成績單,興業研究基於其估值已超越盈利,因而維持“賣出”評級。

管理層躊躇滿志可獲彭亨行政大廈的大部份工程,該大廈料斥資4億令吉,另外有2億令吉工程也在最後競標或磋商階段。

興業維持今年所獲新訂單5億令吉預測,截至今年6月,未完成建築訂單達7億零800萬令吉。

家盟吉所獲3億餘令吉雙溪毛糯至加影捷運V1工程進展良好,截至週四22%完成是因改變設計而稍延宕,管理層期望從該工程獲雙位數賺益。

在新山推展之5億5千700萬令吉The Peak公寓發展計劃,已售出50%,未進賬銷售達2億7千900萬令吉;分析員相信柔佛與巴生河流域其他產業計劃,將可鞏固未來2至3年的產業盈利。

興業相信,該產業主要吸引人賣點是接近東部疏散大道(EDL),這對新加坡買家(作為假日度假)或者往返獅城與新山的大馬人,皆有吸引力。

“另外,價格是另一吸引力,每平方英尺售價650令吉(相比市場價800至900令吉);其建築面積大與處於高視野,亦是另一吸引力。”

(吉隆坡26日讯)家盟吉(GBGAQRS,5226,主板建筑股)宣布通过独资子公司AQRS The Building Company私人有限公司,以3564万4712.40令吉收购位于雪邦,面积达19.03英亩住宅产业土地。

该公司今日向马交所报备,它是向其独资子公司Prestige Filed发展私人有限公司和Gemas Idaman私人有限公司董事陈万杰(译音)和其父亲陈正德(译音)购买上述土地。

根据资料,该土地被名为“Air Hitam Lake”湖泊包围,毗邻一项著名的面湖发展计划,家盟吉计划在该土地上打造1142个住宅单位,包括别墅和公寓,发展总值分别是4亿5000万令吉和1亿5000万令吉。

该计划料在完成土地买卖和获得政府批准后动工,于2013年12月31日后,才开始对该公司做出财务贡献,整个发展计划料耗时5年完成。

買進劵商心頭好.增購土地強化盈利 家盟吉前景可期

家盟吉(GBGAQRS,5226,主要板建築)積極增購土地,突顯公司強化房地產業務的決心,同時有助強化未來盈利,業務前景可期。

該公司獨資公司AQRS The Building Company週四(26日)出價3560萬令吉,收購雪州龍溪(Dengkil)19英畝的住宅空地。

家盟吉雖還未敲定這項土地收購的融資方案,但截至2013財年次季,該公司共握有7760萬令吉現金,總債務則為8560萬令吉。凈負債率(net gearing)3.3倍。

據我們計算,以上述土地的位置來看,每平方尺43令吉的收購價屬合理,此次收購案符合家盟吉積極擴張房產決心。

“截至6月底,家盟吉發展中計劃發展總值約達11億令吉,收購土地可助強化未來盈利,這次再收購19英畝土地,可確保未來盈利成長。”

現階段還未取得雪邦市議會批准,我們續維持該公司2013財年至2015財年盈利預估不變,並且維持目標價在1.72令吉。

Further to GBGAQRS's announcements dated 19 February 2013, 19 June 2013 and 18 July 2013 in relation to the Proposed Acquisition, GBGAQRS wishes to update and announce that the Proposed Acquisition has been completed following the full settlement of the balance of Purchase Consideration by GBGAQRS’s 52%-owned subsidiary, Prestige Field Development Sdn Bhd on 25 October 2013 in accordance with the conditions of the SPA dated 18 February 2013.

This announcement is dated 28 October 2013.

家盟吉申请增容积率 The Altium 明年中再推介

(吉隆坡9日讯)家盟吉(GBGAQRS,5226,主板建筑股)澄清,虽然展延超过一年,但The Altium发展计划进展仍如期,预期明年中可重新推介。

家盟吉The Altium的混合用途发展计划坐落在Damansara Perdana中心地带,占地2.66英亩。

家盟吉执行董事欧子聪接受《The Edge》财经周刊访问时表示,公司展缓The Altium计划,以申请更高的容积率(plot ratio)。

公司2011年9月首次推介时,声称可在2013年6月竣工。

不过,早前也有媒体报道称,计划将在2014年第三季完成。

欧子聪指出,公司重新呈交给八打灵再也市政厅的申请书,将取决发展计划的进度。

一旦获批,公司放眼计划可在2014年次季或第三季重新推介。

“我们要采取行动,增加我们的面积,从原定的4倍容积率增至6倍,所以暂停推介。”

公司目前放眼建设超过40层高的大楼,计划总发展价值约5亿令吉,高于此前的3亿令吉。

分析员认为,计划展延有利家盟吉,因为Damansara Perdana范围似乎出现产业供应过剩的问题。

“这地点出现大量产业,地点始终不错。我不认为家盟吉的计划面对融资问题。或许计划经调整后,将有更多需求。”[南洋网财经]

- Proposed acquisition of all that piece of commercial leasehold land expiring 6 September 2100 with a net area of approximately 2.18 acres forming part of Master Title held under PN 24318 Lot 63977 [formerly HS(D) 148053, PT 2] located in Pekan Penaga, District of Petaling, State of Selangor Darul Ehsan together with an adjacent parcel of land measuring approximately 0.44 acres currently used as a retention pond, by the Company’s Wholly-Owned Subsidiary, AQRS The Building Company Sdn Bhd (“Proposed Acquisition”)
(Unless otherwise stated, the terms used herein shall have the same meaning as defined in the Prospectus dated 29 June 2012 and announcements dated 3 September 2013 and 14 October 2013.)

Further to GBGAQRS's announcements dated 3 September 2013 and 14 October 2013 in relation to the Waiver Application and the extension of time to complete the Proposed Acquisition to 15 November 2013 (“Extended Conditions Precedent Fulfilment Date”), GBGAQRS wishes to announce that certain Conditions Precedent as set out in the SPA were not fulfilled as at theExtended Conditions Precedent Fulfilment Date.

In view of the non-fulfilment of the Conditions Precedent, the Board of GBGAQRS (save for Mr Ow Chee Cheoon), after giving due considerations in the best interest of the Company, has decided not to proceed with the Proposed Acquisition by electing to terminate the SPA to avoid any future unascertained liabilities from being realised. Affin Investment Bank Berhad has therefore on even date written on behalf of GBGAQRS to the SC to retract the Waiver Application.

The decision to terminate the SPA does not have any effect on the net assets per share and earnings per share of GBGAQRS for the financial year ending 31 December 2013.

终止购地和发展合约 家盟吉2年财测下调

(吉隆坡19日讯)家盟吉(GBGAQRS,5226,主板建筑股)去年提出的购地和发展合约终止,分析员因而调低2014至2015财年核心净利预测,分别14%和19%。

家盟吉在去年6月份宣布,收购一块面积达2.18英亩、位于八打灵区的土地,预备发展为综合商业计划———Stylo,发展总值(GDV)约2亿6280万令吉。

不过,家盟吉最近宣布,由于买卖双方无法达成协议,而且商谈也超过期限,因而决定终止合约,取消上述发展计划。

艾芬投资银行分析员指出:“由于我们已把Stylo计划纳入业绩预算,所以,当公司宣布计划终止后,我们也决定调整预测。”

龙溪购地抵消损失

分析员抽出Stylo计划的贡献预测,调低家盟吉2014和2015财年营业额分别8%和11%,以及净利14%和19%,至6950万令吉和7113万令吉。

无论如何,分析员相信,公司最近提出收购和发展龙溪(Dengkil)一块土地,有助于抵消失去Stylo计划的部分损失。

“此外,我们也相信,家盟吉也会集中获利,发展大马南部的房地产领域。”

分析员决定维持“买入”评级,并给予较低的1.50令吉目标价。[南洋网财经]
