Announcement Details/Table Section : 1.         Introduction The Board of Directors of HWGB wishes to announce that its 51% owned subsidiary, HWG Consortium Sdn Bhd (1006524-T) (“HWG Consortium”) had, on 27 June 2012, entered into the following PMAs:- (i)         PMA between HWG Consortium and Wawasan MajuJuta Sdn Bhd (1005219-D) (“WAWASAN”) for the purpose of appointing HWG Consortium as the sole and exclusive project manager for the manufacture, supply, installation, maintenance and finance of the energy efficient LED (light emitting diodes) lightings and related green technololgies. (“PMA 1”). (ii)        PMA between HWG Consortium and Optima Tenaga Letrik Sdn Bhd (1005388-X) (“OPTIMA”) for the purpose of appointing HWG Consortium as the sole and exclusive project manager for the supply, installation, maintenance and finance of the patented low carbon energy efficiency refrigeration technology from Australia known as  Hi-Freeze OFR (Frictionless oil-vapor free (OVF) refrigerant oil) Technology  (hereinafter referred to as the “Hi-Freeze OFR Technology”) for air conditioning systems (“PMA 2”). 2.0       Detail of the PMAs 2.1       PMA 1 WAWASAN hereby agrees to award and HWG Consortium hereby agrees to accept the appointment as the sole and exclusive project manager for the manufacture, supply, installation, maintenance and finance of the energy efficient LED lightings and related green technologies in the offices of the Government via WAWASAN, who will procure green projects from the Malaysian government and its agencies, as well as government linked companies (GLCs), multinational corporations and private corporations (“the Project”).   WAWASAN has the expertise, technology and technical know-how of the LED lightings and related green technologies and undertakes to provide the exclusive technology and technical know-how to HWG Consortium without exception. 2.2       PMA 2 OPTIMA hereby agrees to award and HWG Consortium hereby agrees to accept the appointment as the sole and exclusive project manager for the supply, installation, maintenance and finance of the Hi-Freeze OFR Technology for air conditioning systems in the offices of the Government via OPTIMA, who will procure green projects from the Malaysian government and its agencies, as well as government linked companies (GLCs), multinational corporations and private corporations (“the Project”).   OPTIMA undertakes to provide the Hi-Freeze OFR Technology exclusively to HWG-Consortium without exception. 3.0       Rationale The Proposals will provide the HWGB Group with the opportunity to tap into a new business of green technologies to help the nation achieve better energy efficiency and sustainability, which is in line with the Prime Minister’s commitment to reduce Carbon emission by 40% in 2020, in line with the United Nations Framework Convention 2011 Agreement for Malaysia to gain the status of a Green Technology Nation. It also enables the HWGB Group to diversify its income base beyond its current manufacturing, trading and mining operations. 4.0       Financial Effects The Proposals are not expected to have any material effect on the earnings per share, net assets per share, gearing of the Company for the financial year ending 31 December 2012 but are expected to contribute positively to the future earnings of HWGB Group. 5.0       Directors’ and major shareholders’ interest None of the Directors and/or major shareholders and/or persons connected to them has any interest, direct or indirect, in the Proposals. 6.0       Statement by Directors The Board of Directors of HWGB, having taken into consideration all aspects of the Proposals, is of the opinion that the Proposals are in the best interest of the Company and its subsidiaries. 7.0       Press release Enclosed a copy of the press release to be made by HWGB on 27 June 2012 in conjunction with the above.

豪华云顶获绿色能源合约

（吉隆坡27日讯）豪华云顶（HWGB，9601，主板工业产品股）把业务触角延伸至绿色能源领域，获得有关政府办公楼及官联公司绿色计划的合约。

豪华云顶子公司HWG机构私人有限公司，今日和Wawasan MajuJuta私人有限公司及Optima Tenaga Letrik私人有限公司签署协议。

协议下，HWG机构私人有限公司将透过Wawasan Majujuta及Optima Tenaga Letrik，为政府办公楼的发光二极管（LED）及办公楼冷气系统内，一项已获得专利的低排放碳能源科技，提供融资、供应、装置及维护的工作。

根据豪华云顶的文告，Wawasan Majujuta及Optima Tenaga Letrik旗下的绿色能源工程，主要来自政府、相关代理、政府官联公司、跨国公司及私人企业。

HWG机构私人有限公司主席美杰沙里曼说：“大马有越来越多能源，朝向再生能源发展，政府也踏出第一步作出好榜样。政府可因此剩下几百万令吉的金额。”

公司也相信绿色科技部门，将很快成为豪华云顶的主要营收来源。

配合这项宣布，母公司豪华云顶今日暂停交易半天。

新工程資金未定 豪華雲頂有信心獲融資

（吉隆坡3日訊）豪華雲頂（HWGB，9601，主要板工業）回應馬證交所質詢指出，新工程至今未確定財務狀況及資金來源，但公司與銀行關係良好，未來工程欲獲資金不難。

該公司是于上月27日與另兩家公司結盟，藉由節能技術及“能源節省盈利共享”，提供LED燈管更換和冷氣系統節能技術安裝等服務，遭馬證交所提出數項質詢。

豪華雲頂回應質詢時指出，由于Wawasan MajuJuta及Optima能源電力兩家公司至今未開始為工程進行採購，目前工程所需資金未明。

但該公司強調本身是上市公司，故即使業績仍虧損，但情況比上兩家公司來得佳，將確定財務細節后再向馬證交所匯報。

豪華雲頂亦回應質詢指出，公司董事經理兼總執行長張場、財團主席梅甘和執行董事林偉杰（譯音）為項目負責人。

文告指出，豪華雲頂將分別在兩個項目中佔60%股權。[ChinaPress]
