承建商業建築 雙威建築獲2.4億合約

(吉隆坡4日訊)雙威集團(SUNWAY,5211,主要板房產)旗下間接子公司雙威建築有限公司獲得總值2億4369萬1000令吉房產合約。

雙威集團向馬證交所報備,雙威建築今日接获 Architects私人有限公司發出的工程意向書,合約內容是建造和完成一棟商業建築的主要建築工程;雙威建築為雙威建築集團的子公司,后者為雙威集團旗下子公司。

根據報備文件,這棟商業建築包括3層樓的半地下室停車場、3層樓46間商店、4層樓228個單位的辦公室、4層樓的零售空間,及1棟27層樓高的服務式公寓,共318個單位,其中5層樓為停車場。

這項計劃將分為兩個區域,兩個區域將于6月25日開始動工,區域1和區域2分別將于2017年2月28日和2018年3月31日完成,這項計劃預計將為雙威集團2015財年積極貢獻淨利。

“這項計劃將面臨原料價格波動等一般建築風險。根據公司過往的建築經驗,相信這些風險衝擊將可獲得減緩。”【中国报财经】

The Project will be divided into 2 zones. It shall commence on 25 June 2015 with the targeted completion date for Zone 1 and Zone 2 on 28 February 2017 and 31 March 2018 respectively. The Project is expected to contribute positively to the earnings of Sunway Group from the financial year ending 31 December 2015 onwards.

The Project is subject to normal construction risk of materials price fluctuation. However, with the past experiences and expertise of SunCon in construction projects, this risk could be mitigated.
None of the directors or substantial shareholders of Sunway or persons connected with them has any interest, whether direct or indirect in the Project.

6307万卖依区土地 双威与日本大和联营房产

(吉隆坡11日讯)双威(SUNWAY,5211,主板产业股)宣布,依斯干达区子公司与日本大和房屋在马子公司联营,并以6307万令吉将位于蒲莱(Pulai)的13.02英亩土地,脱售予联营公司以发展住宅产业。

根据文告,间接子公司双威依斯干达,与房屋设计与兴建咨询服务公司大马大和房屋,成立联营公司大和双威发展,双威持股30%,而另70%归大和房屋所有。

在联营公司中,大和房屋和双威可分别委任3名和1名董事,大和房屋将选出总执行长和财务总监,而双威可委任副总执行长。

同时,双威依斯干达也将上述土地,以每平方尺111.205令吉,或总额6307万令吉,脱手给该联营公司,以兴建住宅产业。

瞄准马新日买家

上述土地拥有99年的租赁地契,从2012年9月至2111年8月,另有30年的租赁延长期选择权,即可延长至2141年。

双威指出,这项发展计划瞄准本地、新加坡和日本的买家,日本是依斯干达首五大投资国,越来越多日本人看上当地环境与接近新加坡的便利。

双威依斯干达在美迪尼(Medini),拥有691.8英亩的发展土地,被称为双威依斯干达的主要地段,距离马新第二通道只要5分钟车程,25分钟就可到达士乃国际机场。【南洋网财经】

結盟日企聯營產業‧雙威獲益不大

(吉隆坡12日訊)雙威(SUNWAY,5211,主板產業組)與日本大和房屋公司聯營發展有地住宅產業,獲分析員一致唱好將兌現產業價值,並加快柔佛地區產業發展腳步,但對總體盈利貢獻幫助不大。

雙威週四宣佈,將透過聯營方式,和日本大和房屋公司合作在柔佛發展有地住宅產業。首先,雙威將以6千307萬令吉把位於依斯干達經濟特區的13.02英畝租賃地賣給聯營公司——大和雙威發展私人有限公司,然後大和雙威將透過預製技術將土地發展成有地產業。

大和將持聯營公司70%股權,雙威則持30%。

各大證券行對相關消息持正面態度,其中豐隆研究說,基於是柔南地區產業銷售放緩,賣地消息將幫助雙威現金化和加快依斯干達經濟特區的發展。

據悉,相關聯營計劃發展總值(GDV)達到2億1千萬令吉,料在2016財政年初首推。

但肯納格研究指出,聯營計劃的土地成本達到每平方呎111令吉,佔GDV約27%比重,估值相對昂貴。

“排除一次性盈餘,我們相信短期影響中和,因整個工程貢獻並不足以讓我們上調盈利和銷售目標。”

不過,達證券則相對樂觀,看好雙威可利用日本的預製技術加快發展速度。

據悉,日本預製技術只需5至6個月時間即可完成有地產業建設,比大馬平均1年半至2年時間為短,不排除雙方未來可能進一步合作可能。

該證券行指出,雙威管理層預計整個計劃將在今年杪完成,並為公司帶來3千萬令吉盈餘,因此上調2015財政年淨利目標5%以反映相關利多。

但MIDF研究則維持雙威2015財政年盈利目標不變,主要是整個計劃僅有望在2016財政年推介。

“我們相信相關工程將推高雙威2016財政年淨利500萬令吉至5億9千500萬令吉,主要是集團持有聯營公司股權並不高。”

綜合上述原因,各大證券行仍普遍看好雙威前景,豐隆研究認為,雙威建築上市將進一步強化股東價值。

冀在雙威建築上市後派特別息

MIDF研究和達證券則憧憬雙威將在雙威建築上市後派發特別股息,當中MIDF研究預測雙威可能在未來2個月派發特別股息,派息幅度介於22至25仙,但一切取決於雙威建築上市籌資規模。

双威冀获20亿建筑合约

(吉隆坡25日讯)双威(SUNWAY,5211,主板产业股)放眼,可取得额外15亿至20亿令吉的建筑合约。

双威财务总监张振忠表示,该公司目前手上持有的总值40亿令吉订单,可让公司持续忙碌至两年。

张振忠今天出席股东大会后,对媒体发表上述谈话。

他说,由于我国陆续推动多项大型基建,因此建筑领域的展望依然明朗。

至于产业业务方面,他指出,双威今年的产业销售目标是17亿令吉,今年首季产业销售已达2亿4000万令吉,并对全年业绩保持谨慎乐观态度。

根据文告,双威去年的产业销售录得16亿令吉。

双威目前持有地库3800英亩,张振忠透露,计划收购更多合适及具吸引力的土地。

“如今市场疲弱,土地价格下降,我们认为是收购土地的好机会。”

早前,双威以2亿8600万令吉,收购2片位于八打灵再也的土地,面积达17英亩,预计发展综合产业计划,发展总值料达18亿令吉。

双威建筑下周一发招股书

双威旗下建筑业务臂膀双威建筑集团(Sunway Construction Group),将于下周一发布招股书,为首次公开募股揭幕。

张振忠表示,双威建筑预计将于7月底在主板挂牌,股票代号为“SUNCON”。

本次上市活动的规模估计达7.11亿令吉,主要是配合母公司双威的业务分拆,释放建筑业务的价值,并将部分盈利派发给股东。【南洋网财经】

下半年推15亿新盘 双威放眼全年销售达17亿

(吉隆坡9日讯)双威(SUNWAY,5211,主板產业股)计划在今年下半年推出6项总发展价值(GDV)为15亿令吉的產业项目,虽然上半年的销售仅达到5亿令吉,唯公司暂时维持17亿令吉的全年销售目標。

双威大马及新加坡產业发展部董事经理谢燕蒂在今日的记者会上表示,隨著在大马政府的打房措施,及消费税(GST)开跑,加上严格的银行贷款规格,產业市场情绪也受到影响,所以该公司將会紧密留意市场情况,以抓准时机,推出6项新產业项目。

这6项在巴生谷、檳城及柔佛的產业项目,分別是双威Gandaria、CasaKiara3、双威Velocity、双威GeoResidence、双威Cassia及双威EmeraldResidence项目,总发展价值为15亿令吉。

谢燕蒂表示,公司会在第3季开始,分阶段推出这些项目。她指出,政府修改分层地契法令,也是公司延迟推出產业项目的原因。因此,一部份的项目或许会展延至明年。

「我们会在接下来继续观察情况,在掌握情况之后,才推出公司產业项目。」

谢燕蒂透露,虽然市道欠佳,公司今年上半年仍取得5亿令吉销售,公司目前仍维持其17亿令吉的全年销售目標,並会在未来的1至2个月內继续观察进度,再决定是否重新检討销售目標。

暂时而言,谢燕蒂披露,儘管產业市场交易活动放缓,该公司会继续努力,以期达成公司的17亿令吉销售目標。

另外,该公司未入账销售为25亿令吉。同时,她也披露,该公司目前地库为3343英亩,总发展价值可达504亿令吉。

截至去年12月杪,双威总资產规模(AUM)为70亿令吉,而可出租总面积(NLA)则达到830万平方尺。由於產业投资业务持续成长,谢燕蒂表示,该公司依然有稳定的经常性收入来源,即使產业市场情绪不佳。

同时,该公司也会积极改善双威社区的设施,提升旗下產业的价值,而刚建成的双威快捷巴士系统就是其中一个例子,更完善的交通系统,也促使周遭產业增值。另一方面,双威城私人有限公司总经理袁仁伟透露,虽然產业市场交易放缓,但以居住为主要的买家,依然在增加,並且寻找有良好概念的產业项目,因许多家庭规模扩大后,都需要寻找更好的居住环境。【东方网财经】

或派特別息‧擁廣大地庫‧雙威前景看俏

(吉隆坡15日訊)雙威(SUNWAY,5211,主板產業組)分拆雙威建築上市,可能派發特別股息,加上該公司手握大片地庫待發展,大馬研究相信產業市場放緩不會影響該公司長遠計劃。

大馬研究表示,該公司將建築業務上市後,可能派發25仙至28仙的特別股息,意味著可獲得7%至8%的回酬。

截至今年3月,雙威建築未執行訂單為27億6千萬令吉,預計建築業業務每年可從母公司雙威攫取5億至8億令吉的合約。

在私人領域及基建領域龐大合約下,預期該公司每年可獲得18億令吉合約,2015至2017財政年預計可取得1億1千700萬至1億3千700萬令吉稅後盈利。

“雙威建築股息政策為35%,2015財政年的周息率預期為2.6%左右。”

大馬研究表示,雙威目前地庫的發展總值(GDV)為500億令吉,可供公司15至20年的發展,其中依斯干達的地庫是該公司在柔佛最龐大的發展計劃,發展總值預計為300億令吉,發展期限預期超過20年。

雙威上半年的營業額為5億令吉,分析員預計該公司下半年將維持同樣的營業額。

“目前該公司的未入賬銷售為25億令吉。”

此外,分析員也引述《商業時報》報道,雙威確認會將部份商業資產如商場、酒店、醫院及主題公園注入有關雙威產業信托(SUNREIT,5176,主板產業投資信托組)。

目前雙威產業信託資產管理價值(AUM)介於55億至60億令吉。

雙威下調銷售目標‧延遲推產業計劃

(吉隆坡12日訊)雙威(SUNWAY,5211,主板產業組)料因市場疲弱情緒下調2015財政年產業銷售目標及延遲推出一些產業發展計劃,被分析員下調財測。

達證券指出,該公司在上半年取得5億令吉產業銷售,料在下半年推出總值21億令吉新發展計劃,同時也維持2015財政年17億令吉銷售目標。

“不過,管理層還在密切觀察市場走勢,估計目前市場疲弱情緒可能導致該公司延遲推出一些發展計劃至明年,尤其是高樓住宅,促使我們下調2015至16財政年銷售預測,從原本的15至24億令吉,降至12至20億令吉。”

該行認為,2015財政年12億令吉銷售預測按年收窄29%屬合理,因截至目前為止,銷售已下滑37%。

另外,達證券表示,雙威成功推出全馬首個快捷巴士系統(BRT),交通連接系統改善料有助於雙威South Quay土地增值,而且提早3週完成,將令雙威競標國內BRT工程更具優勢。

不過,達證券認為,受投資者預期特別派息支撐,該公司股價下行空間有限。

雙威建築或派特別息

雙威建築(SUNCON,5263,主板建筑組)於今年7月27日上市,雙威計劃回饋上市所得予股東,料可獲取25至28仙特別股息。

“預計特別息講高於22至25仙預期,主要是較高首次公開售股價格及分配率,加上預測的11仙正常股息,該股料提供10%以上的週息率。”

該公司料在8月杪或9月初宣佈除權日,享有日則在此後的一個月。

因銷售預測改變,達證券調低2015至17財政年盈利預測2至8%,不過卻因更高特別息預期,調高股息預測,從33仙增至36仙,目標價則因較低銷售預測,下調至3令吉54仙,維持“持有”評級不變。(星洲日報/財經‧報導:郭曉芳)

雙威次季凈利料持平1.2億‧或派特別息

(吉隆坡20日訊)雙威(SUNWAY,5211,主板產業組)將於本月27日公佈第二季業績,馬銀行研究估計第二季凈利介於1億2千萬至1億3千萬令吉,按年和按季比較皆持平,不過,投資者和小股東可期待派發特別股息。

將公佈每股25仙特別息

據瞭解,來自建築子公司上市的每股25仙特別股息,料在8月尾、9月初公佈。

雙威上半年核心淨利有望達致2億5千萬令吉,接近馬銀行的預測。

馬銀行研究表示,雙威2015首半年新的產業銷售比預期少,主要是雙威管理層基於市場人士購買力疲弱,新的產業銷售計劃展延至2015下半年推出。

截至2015年6月杪,新的鎖定銷售值為3億5千萬令吉,包括在雙威依斯干達的3千300萬令吉土地銷售,買家是大和與雙威的聯營公司,各持70%與30%股權。

馬銀行指出,3億5千萬令吉佔2015財政年銷售目標的29%。

雙威管理層仍維持2015年12億令吉銷售的目標,不過,可能在第三季尾進行檢討,視市場情況而定。

不過,馬銀行下調雙威2015財政年的銷售總值18%至10億7千萬令吉,主要是延遲推出新的產業計劃,以及市場對依斯干達的產業吸購步伐放緩。

馬銀行研究也因此削減2015-2017財政年的盈利預測,分別降低5.6%、9.5%、7.4%,不過,資產凈值/股價則調升至5令吉89仙,增長4.8%。

馬銀行維持雙威“持有”評級,目標價格3令吉48仙,股價資產凈值保持在0.59倍。

(吉隆坡28日讯)双威集团有限公司(SUNWAY,5211,产业组)截至6月杪的2015财年次季净利,按年扬升30%至2亿3791万令吉,上财年次季净赚1亿8253万令吉。

双威集团向马交所报备,净利增加主要是双威实业投资信托(SUNREIT,5176,实业投资信托)的合理价值收益走高所致。

不过,双威集团次季营业额则由上财年同季的12亿令吉,按年下跌13.6%至10亿4000万令吉,主要归咎于内部施工活动,以及贸易与制造领域的营业额走低。

此外,双威集团也建议派发每股5仙的股息,派息日将于日后决定。

综合2015财年上半年的业绩表现,随着双威集团首季脱售两项产业获得2290万令吉的资本收益,加上双威实业信托的合理价值收益企高,促使双威集团净利按年扬升34.2%至3亿8445万令吉,上财年同期净赚2亿8652万令吉。

合共6个月营业额下滑5.8%至21亿令吉,上财年同期营业额报22亿3000万令吉。

展望未来,双威集团指出,将继续采取审慎业务策略来加强营运效率,以应对未来的经济挑战。【南洋网财经】

新合約及股息加持‧雙威下半年看俏

(吉隆坡28日訊)產業市場雖放緩,但下半年大型基建合約浮現,可抬拉雙威(SUNWAY,5211,主板產業組)建築業務,再加上特別股息可期,分析員看好該公司下半年表現。

達證券表示,雙威上半年核心淨利共2億6千萬令吉,佔全年財測43%,大致符合預期。

或展延推出一些計劃該行指出,雙威放眼2015財政年17億令吉的銷售額,惟產業市場放緩,不排除將展延部份項目,並維持早前12億令吉銷售預測。

今年上半年,雙威新產業銷售萎41%至4億7千800萬令吉。

建築業務方面,雙威持股55.6%的雙威建築(SUNCON,5263,主板建筑組)在上半年取得5億2千萬令吉合約,管理層有信心在2015年攫取20億令吉合約。

聯昌研究表示,雙威建築有良好機會在2016年贏得大型基建工程,包括總值90億令吉的輕快鐵三線工程以外,以及捷運二線的高架橋工程,總值10億至15億令吉。

大馬研究表示,雙威業務包含產業投資項目,可在產業市場放緩時減緩公司壓力,長遠前景依然可期。

截至今年6月,該公司未入賬產業銷售達23億令吉,建築合約訂單為26億9千萬令吉。

此外,雙威有意在下半年推介21億令吉發展項目。

豐隆研究表示,該公司美元貸款額約18億5千萬令吉,美元走強影響並大,因該筆貸款已護盤。

此外,豐隆說,該公司早前將雙威建築分拆上市,假設將上市募集的資金全部以特別股息方式派發,預期可派發25至28仙,該公司料在9月初公佈決定。

The exercise price of the Warrants 2011/2016 (“Warrants”) will be adjusted for the Special Cash Dividend in accordance to the Deed Poll dated 28 June 2011 (“Deed Poll”).
According to the Deed Poll, the computation for the adjustment to the exercise price of Warrants is as follows:
“Exercise price of the Warrants x (C - D) / C”

where
C = current market price, being the five (5)-day weighted average market price of the ordinary shares of RM1.00 each in Sunway ("Sunway Shares") up to and including the market day immediately preceding the date of announcement of the entitlement date for the capital distribution

D = fair market value of the portion of capital distribution attributable to one (1) Sunway Share

Based on the Special Cash Dividend of RM0.26 per Sunway Share and the five (5)-day weighted average market price of Sunway Shares up to and including 1 September 2015 (being the market day immediately preceding the date of the announcement of the entitlement date for the Special Cash Dividend (“Entitlement Date”) as announced on 2 September 2015) of RM3.37, the exercise price of the Warrants shall be adjusted from RM2.43 to RM2.25.

The adjustment to the exercise price of the Warrants is expected to take effect on 3 October 2015, being the day next following the Entitlement Date.

A notice setting out the details of the adjustment of the exercise price of the Warrants will be despatched to the holders of the Warrants within seven (7) market days after the effective date of the said adjustment.

雙威派息推高股價‧盈利成長看好

(吉隆坡3日訊)雙威(SUNWAY,5211,主板產業組)每股派發26仙特別息,總金額4千480萬令吉。

分析
達證券表示,特別股息比預期中的25仙高,主要由於較高上市價和派發比率,加上預期中的正常11仙股息,雙威將提供逾10%周息率。

MIDF研究指出,26仙特別息比股東通知書中指引的22至25仙高,預料短期將推高其股價,直至10月2日除權,因這相等於7.7%周息率(以週三閉市價3令吉38仙計算)。

至於長期股價表現則胥視下半年達致的銷售,該公司上半年銷售共4億7千800萬令吉,只佔全年17億令吉銷售目標的28%。

豐隆研究對此宣佈看法正面,這符合該行預期的25至28仙特別息。

派息資金來自於雙威建築(SUNCON,5263,主板建筑組)的上市計劃,獻售雙威建築股票以回饋股東。

該公司今年至今已派發43仙,包括以股息方式派送雙威建築股票,預料在第四季將派發5仙股息,全年股息達48仙或潛在周息率14%。

今年上半年,該公司的有效產業銷售共3億5千300萬令吉,未入賬銷售為17億令吉,預期今年產業銷售將保持適中,而管理層仍保持全年12億令吉銷售和預計在下半年推出21億令吉產業項目。

據瞭解該公司有12億美元貸款,但已全面護盤。

興業研究基於重組估值方式而下調目標價,雖然產業發展領域面對逆風,但仍看好雙威將繼續取得出色盈利成長,因它具綜合及良好多元化的業務結構。

(吉隆坡14日訊)雙威(SUNWAY,5211,主板產業組),安聯星展研究指出,大馬及新加坡產業市場疲弱,相信不容易達到其2015年全年17億令吉的銷售目標,特別是今年上半年銷售額僅為4億7千800萬令吉(按年下跌41%)。

安聯星展研究指出,雙威未入賬銷售保持在23億令吉健全水平,或等於2015年營業額1.9倍,料可支持其短期盈利透明度。

大馬研究表示,雖然旗下雙威建築取得16億令吉新合約,惟該行將雙威財測暫時保持不變,主要是它面對產業發展業務放緩的窘境,即今年至今為止的銷售額僅為4億7千800萬令吉。雙威計劃在今年下半年推出21億令吉的新產業單位。

We refer to our announcement dated 9 April 2015 in relation to the execution of the Share Sale Agreement (“Winstar SSA”) between Sunway Holdings Sdn Bhd (“SunHoldings”), a wholly-owned subsidiary of Sunway and the Winstar Vendors for the acquisition of 6,717,472 ordinary shares of RM1/- each, representing 100% of the total issued and paid-up share capital of Winstar Trading Sdn Bhd (“WTSB”) at an estimated purchase consideration of approximately RM130,953,294/- ("the Proposed Winstar Acquisition").

The Board of Directors of Sunway is pleased to announce that SunHoldings has on 15 September 2015, entered into a Second Supplemental Agreement in respect of the Winstar SSA with the Winstar Vendors for the purposes of inter alia:-
(1)      providing for a variation to the number of shares to be acquired by SunHoldings whereby SunHoldings shall acquire 80% of the issued and paid-up share capital of WTSB (“Sale Shares”), instead of the entire issued and paid-up share capital of WTSB and accordingly, to incorporate consequential amendments to the purchase consideration, the quantum of the Sale Shares to be acquired by SunHoldings and the manner of payment of the purchase consideration;
(2)      incorporating a call option to be granted by the Winstar Vendors to SunHoldings where SunHoldings may exercise the call option to acquire the remaining 20% of the issued and paid-up share capital of WTSB under certain events for a period of 3 years and 1 month following the completion of the third tranche of the Sale Shares in accordance with the terms and conditions of the Winstar SSA;
(3)      incorporating a put option to be granted by SunHoldings to the Winstar Vendors where the Winstar Vendors may require SunHoldings to acquire the remaining 20% of the issued and paid-up share capital of WTSB for a period of 1 month after the third anniversary of the  completion of the third tranche of the Sale Shares; and
(4)      incorporating 6 dormant subsidiaries of WTSB, namely I Star Electrical Sdn Bhd, The Venue International Sdn Bhd, Weld Star Sdn Bhd, Aptstar Sdn Bhd, McStar Sdn Bhd and North Star Marketing Sdn Bhd as part of the subsidiaries of WTSB which are to be acquired by SunHoldings as part of WTSB group of subsidiaries (“WTSB Group”).

The estimated amended purchase consideration for the Sale Shares of RM104,762,635/- was arrived at based on 80% of the aggregate net asset value (excluding minority interests) of WTSB Group as at 31 December 2013 of RM125,953,294/- together with goodwill. The amount of the purchase consideration for each of the three tranches for completion are subject to adjustments that will be payable by SunHoldings for the Sale Shares.

The adjusted First Tranche Consideration has been determined to be RM76,465,130 based on the completion management accounts provided as at 30 June 2015. The shareholding to be acquired by SunHoldings for the second tranche and third tranche are revised to 10% instead of 20%, the consideration of which shall be determined based on the future profitability of WTSB Group.
