觸犯上市條例‧亞洲資源陷困

（吉隆坡17日訊）亞洲資源（ASIAEP，0039，創業板科技組）因觸犯創業板上市條例第2.1（j）條文，宣佈即日起被大馬交易所列入GN3陷困公司，需在12個月內提交並落實重組計劃。
該公司發文告說，根據創業板上市規定的GN3和8.04條例，公司需在宣佈GN3地位後12個月內提呈完整重組計劃，並取得交易所批准，同時於3個月內委任擔保人，有關擔保人須被保留至公司完全脫離GN3地位為止。
文告提及，公司目前正制定完成重組計劃，會在必要時做出相關宣佈。
根據交易所條例，若GN3公司無法在限定期限內達成脫困條件和項目，交易所將在發出停止交易通知的第六個交易日，停止相關股票交易並可能除牌，惟相關公司保有上訴權力。（星洲日報／財經） |

SUSPENSION AND/OR DELISTING | Description | We refer to the company’s First Announcement pursuant to Guidance Note 3 (“GN3”) of Bursa Malaysia Securities Berhad (“Bursa”) ACE Market Listing Requirements (“ACE LR”) dated 17 May 2012.
One of the obligations as a GN3 Company is to appoint a sponsor within 3 months from the
above-mentioned date. As announced on 17 August 2012, the Company had applied to Bursa seeking an extension of time for appointing a Sponsor. Bursa had on 13 September 2012 rejected the Company’s application.
In this circumstances and pursuant to Rule 8.04(5) of the ACE LR, the company wishes to announce that:-
(a) the trading in the securities of the Company will be suspended with effect from 24 September 2012; and
(b) the securities of the Company will be de-listed on 26 September 2012 unless an appeal is submitted to Bursa on or before 21 September 2012 (“the Appeal Timeframe”). Any appeal submitted after the Appeal Timeframe will not be considered by Bursa.
(c) In the event that the Company submits an appeal to Bursa within the Appeal Timeframe, the removal of the securities of the Company from the Official List of Bursa on 26 September 2012 shall be deferred pending the decision on the Company’s appeal.
With respect to the securities of the Company which are currently deposited with Bursa Malaysia Depository Sdn Bhd ("Bursa Depository"),the securities may remain deposited with Bursa Depository notwithstanding the de-listing of the securities from the Official List of Bursa. It is not mandatory for the securities of a company which has been de-listed to be withdrawn from Bursa Depository.
Alternatively, shareholders of the Company who intend to hold their securities in the form of physical certificates, can withdraw these securities from their Central Depository System (CDS) accounts maintained with Bursa Depository at anytime after the securities of the Company have been de-listed from the Official List of Bursa. This can be effected by the shareholders submitting an application form for withdrawal in accordance with the procedures prescribed by Bursa Depository. These shareholders can contact any Participating Organisation of Bursa and/or Bursa’ General Line at 03-2034 7000 for further information on the withdrawal procedures.
Upon the de-listing of the Company, the Company will continue to exist but as an unlisted entity. The Company is still able to continue its operations and business and proceed with its corporate restructuring and its shareholders can still be rewarded by the Company’s performance. However, the shareholders will be holding shares which are no longer quoted and traded on Bursa. |

陳文岳：沒欠債有營運 亞洲資源上訴抗除牌

（吉隆坡14日訊）亞洲資源（ASIAEP，0039，創業板科技股）創辦人兼董事經理陳文岳表示，該公司將極力爭取上訴機會，力保公司不被除牌；亞洲資源今日因除牌消息而跌入谷底，股價大瀉逾83%，跌剩0.5仙。
陳文岳今日在電話中回應《中國報》提問時說：“公司沒欠債，一切營運正常，怎么可能不上訴。”
他說，停牌不等于除牌，公司下星期肯定會上訴，再看馬證交所結果如何；他指出，公司已經跟幾個合作對象洽談，只是未有完整結果，公司營運一切如常。
遭受龐大賣壓
根據馬證交所文告，亞洲資源因不符合要求規定，沒有在限期3個月內成功委任一名保薦人（又稱贊助商，sponsor），該公司將會遭停牌和除牌。
馬證交所文告指出，亞洲資源將在9月24日開始停牌，該公司若沒有在21日前提呈上訴，將自動在26日遭除牌。
文告在昨日5時閉市后發出，亞洲資源今早就因這項宣布而遭受龐大賣壓，場上交投激烈，成交量大幅跳升。
亞洲資源今日以1仙價格開市，跌2仙，該股早盤幾度跌低至0.5仙，股價大瀉逾83%；休市報1仙，閉市跌2.5仙至0.5仙，成交量3115萬4800股。
亞洲資源股價已經跌近低位，該股一週以來都收在2.5仙至3仙的價位上，無法再往上升，今日更因停牌和除牌消息受挫，回天乏術。[ChinaPress] |

看来陈文岳是想把公司占为己有， 先从股市中卖出一批股票以套现一两百万， 再故意不上诉使公司除牌， 反正公司不欠债， 除牌后公司的CEO照样是他来当。 |

（吉隆坡25日訊）亞洲資源（ASIAEP，0039，創業板科技組）宣佈，大馬股票交易所決定准許該公司，對其股票暫停交易及除牌的上訴。
該公司文告指出，交易所志期2012年10月25日信函中，決定准許該公司對暫停交易及除牌的上訴。惟若是該公司未能遵守進行重組改善財務的承諾，它仍有權力將公司除牌。
亞洲資源之前因延長委任保薦人期限遭拒而面臨除牌命運，該公司過後委任KAF投行為保薦人並提出上訴。（星洲日報／財經） |
