The Board of Directors of Straits wish to inform that SCS and D1 had on 13 May 2025 signed a Shareholders' Agreement to govern the parties’ relationship as shareholders of a company named Straits D1 Cloud Sdn Bhd Please refer to the attachment for further details. Reference is made to the announcement dated 18 June 2025 in relation to the signing of Memorandum of Agreement between TMD Energy Limited, a 65.08%-owned subsidiary of Straits and Double Corporate Sdn Bhd. The Company wishes to provide further information on the said announcement in relation to the said MOA under item 6 of the announcement as follows:- 6.           FINANCIAL EFFECTS OF THE MOA               6.1        Issued share capital and substantial shareholders’ shareholdings                            The MOA will not have any effect on the issued share capital of the Company as well as the direct and indirect shareholdings of its substantial shareholders as the                                   MOA does not involve any issuance of new ordinary shares in Straits.              6.2        Net Assets (“NA”), NA per share and gearing                           The MOA is not expected to have a material effect on the consolidated NA, NA per share and gearing of Straits Group for the financial year ending 30 June 2025.             6.3        Earnings and earnings per share (“EPS”)                          The MOA is not expected to have a material effect on the consolidated earnings and EPS of Straits Group for the financial year ending 30 June 2025.
