Description	MKH BERHAD - Disposal of Subsidiary Company
The Board of Directors of MKH Berhad (“MKHB” or the “Company”) wishes to announce that Srijang Indah Sdn. Bhd. (198101001586 (67695-P)) (“SISB”), a wholly-owned subsidiary of the Company had on 7 September 2023 disposed off 400,000 ordinary shares, representing 100% of the total issued shares of Metro eMart Sdn. Bhd. ("MESB") to Mr. Seow Kiat Wee for a total cash consideration of RM1.00 only (“Disposal”). MESB was principally involved in electronic commerce and is currently dormant. The sale consderation of RM1.00 was arrived at based on a "willing-buyer willing-seller" basis after taking into consideration the net asset value of MESB as at 30 June 2023 of RM0.50 only. The cost and date of investment by SISB in MESB are as follows: - Date of Investment Particular Original Cost of Investment (RM) 29 July 2016 2 Ordinary Shares 2.00 26 August 2016 99,998 Ordinary Shares 99,998.00 9 June 2017 200,000 Ordinary Shares 200,000.00 27 September 2017 100,000 Ordinary Shares 100,000.00 Total : 400,000 Ordinary Shares 400,000.00 The total impairment loss of investment incurred by SISB in MESB was RM399,999.50 as at 30 June 2023. Subsequent to the Disposal, MESB will cease to be a subsidiary of the Company. The Disposal is in line with the Group's direction to focus on its core businesses in property development and construction, oil palm plantation and property investment. The Disposal has no effect on the issued and paid-up share capital and substantial shareholders’ shareholdings of MKHB and has no material effect on the earnings, net assets and gearings of MKHB Group for the financial year ending 30 September 2023. None of the directors and/or major shareholders of MKHB and/or persons connected with them have any personal interest, direct or indirect, in the Disposal.
