Material Claim

Material Claim against Tenaga Nasional Berhad (TNB) in Arbitration Proceeding between TNB and Prai Power Sdn. Bhd. (PPSB) Background On 28th March 2007, PPSB commenced arbitration proceedings against TNB on the basis that TNB had allegedly wrongfully deducted a sum of RM11,863,061.15 from available capacity payments due and payable to PPSB for the month of November 2006. It is TNB’s response that such sum was legally deducted in accordance with the terms of the power purchase agreement between TNB and PPSB following the latter’s failure to generate electricity for an extended period of time. In addition, TNB had also filed in a counterclaim against PPSB in the matter. During the preliminary meeting for the said arbitration held on 16th January 2008, the arbitral tribunal allowed an application by both PPSB and TNB to amend and re-file the Statement of Claim, Defence and Counterclaim, Reply and Defence to the Counterclaim. Amended Statement of Claim TNB now wishes to announce that it had on 15th February 2008 received from its solicitors a copy of the amended Statement of Claim whereby PPSB had revised the claim from RM11,863,061.15 to RM113,713,227.03. It is PPSB’s claim that the additional sum of RM101,850,165.88 is an amount that is outstanding due and payable by TNB to PPSB in respect of available capacity payments from June 2003 to October 2006. TNB will vigorously defend the claim and has been advised by its solicitors that it has strong grounds to do so.

DIVESTMENT OF DYNAMIC ACRES SDN BHD’S ENTIRE 99% SHAREHOLDING IN PT DASA EKA JASATAMA TO PT PAMAPERSADA NUSANTARA Tenaga Nasional Berhad (“TNB”) wishes to refer to its earlier announcement dated 30th April 2007 in relation to the execution of the Share Sale Agreement (“SSA”) by and among Dynamic Acres Sdn Bhd (“DASB”), PT Pamapersada Nusantara (“PAMA”) and PT Dasa Eka Jasatama (“DEJ”) for the divestment of DASB’s entire 99% shareholding in DEJ to PAMA. DASB is an investment holding company of DEJ and a wholly owned subsidiary of TNB Coal International Ltd (“TCIL”). TCIL is a wholly owned subsidiary of TNB. TNB hereby wishes to announce that all conditions precedent under the SSA have been fulfilled and confirm the completion of the SSA. Upon completion, DEJ has ceased to be a subsidiary of DASB and an indirect subsidiary of TNB. This divestment does not have any effect on the issued and paid-up capital and it does not have any material effect on the earnings and net tangible assets of TNB Group or on the shareholding of the substantial shareholders of TNB. None of the Directors or Major Shareholder of TNB or persons connected to the Directors or Major Shareholders of TNB have any interest, direct or indirect in the said divestment.

我想：
1. Tenaga的外资持股应该很重，所以外资卖，她就很伤；
2. 也可能外资是撤退部分资金而已，所以选最容易兑现的股票来卖，选了Tenaga；
3. Tenaga的前景不是很好呀，原料涨价，电费未必能起。

我想应该是国政失去2/3议席，
投资者担心短期内电费不能调整而做出的过分反应吧
