On behalf of the Board, RHB Investment Bank wishes to announce that the Board has fixed the issue price for the placement of up to 28,000,000 new Placement Shares at an issue price of RM3.64 per Placement Share pursuant to the Restricted Issue.
The issue price represents a discount of approximately ten percent (10%) or RM0.404 to the five (5)-day volume weighted average market price of KPJ Shares up to and including 26 February 2015 of RM4.04, being the market day immediately preceding the price-fixing date.

柔佛医药保健425万售地

(吉隆坡19日讯)柔佛医药保健(KPJ,5878,主板贸服股)今日宣布,其旗下子公司--KPJ私人有限公司与KPJ伊斯兰房地產(ALAQAR,5116,主板房產信託股)达成买卖协议(SPA),前者將以总值425万令吉出售位于芙蓉的一幅永久业权土地。
根据文告指出,公共信託有限公司(Amanahraya Trustee Berhad)作为KPJ伊斯兰房地產的信託人,將处理这项出售事宜。
同时,KPJ也与公共信託和白沙罗房地產投资信託经理(Damansara REIT Managers)私人有限公司达成附加租赁协议,主要是出售上述资產,卖方继续租用土地。
根据资料显示,该位於芙蓉佔地5644平方公尺的永久业权土地,毗邻KPJ伊斯兰房地產的几幅永久业权及租赁土地,约佔地1万6823平方公尺。
管理层表示,柔佛医药保健和其子公司將可以从买卖活动中获得约62万令吉的收益,並將作为营运资金的用途,包括经营和管理费用。

再注資ALAQAR保健信託‧柔醫保短期難有作為

(吉隆坡20日訊)柔佛醫藥保健(KPJ,5878,主板貿服組)再向ALAQAR保健信托(ALAQAR,5116,主板產業投資信托組)注入資產,但分析員對此反應中和,主要是資產脫售利多將遭租金成本稀釋,而短期業務盈利增長續緩,未來前景仍未撥雲見日。
柔佛醫藥保健週四宣佈,以425萬令吉出售森美蘭佔地1萬6千823平方公尺土地予ALAQAR保健信托,並後回租用來擴充芙蓉專科醫院。
大馬研究認為,這不過是柔佛醫藥保健又再向ALAQAR保健信托注入資產,對整體計劃持中和態度。
“自2006年以來,柔佛醫藥保健共向ALAQAR保健信托的注入8次資產,我們預期在更多新醫院趨向成熟後,資產注入行動陸續有來。”
興業研究則認為,這項脫售計劃是柔佛醫藥保健推進芙蓉專科醫院的必要舉措,同時也將為其釋出62萬令吉一次性盈餘。
但肯納格研究說,基於資產脫售利多將遭租金成本稀釋,加上未來數季盈利增長持續緩慢,因此維持柔佛醫藥保健盈利目標不變。
同時,大馬研究補充,消費稅(GST)下月上路,以及新醫院陸續投入營運可能對柔佛醫藥保健的盈利賺益帶來衝擊。
柔佛醫藥保健計劃在2015財政年在玻璃市和彭亨開設專科醫院,而沙巴、麻坡和萬撓新醫院仍在開業損失(Startup Losses)階段,以及印尼業務短期恐難轉虧也可能持續拖累其盈利表現。
另外,大馬研究基於上述計劃對ALAQAR保健信托的影響有限,而維持其“守住”評級和1令吉50仙目標價。

简化印尼业务 柔医药保健购ALAQAR 2资產

(吉隆坡31日讯)柔佛医药保健(KPJ,5878,主板贸服股)宣布,旗下全资子公司KUMPULANPERUBATAN(柔佛)私人有限公司与KPJ伊斯兰房地產(ALAQAR,5116,主板房產信託股)签署股权买卖协议,建议以471万8000令吉收购后者旗下两家子公司的100%股权。
这两家子公司分別为Crossborder Hall(马)私人有限公司和Crossborder Aim(马)私人有限公司。
该公司今日发文告指出,上述两家公司分別持有印尼Permata Hijau和Bumi Serpong Damai公司股权,后两者是用来持有產业资產的特別用途公司。
Permata Hijau和Bumi Serpong Damai分別持有Permata Hijau医院和Bumi Serpong Damai医院,而这两家医院目前是出租给柔佛医药保健旗下两家印尼独资子公司--PT Khidmat Perawatan Jasa Medika和PT Khasanah Putera Jakarta Medica,每年毛租金约750万令吉。
根据文告,两家Crossborder公司和两家印尼医院,分別拖欠KPJ伊斯兰房地產2443万和5392万令吉款项,加上约472万令吉的收购价,柔佛医药保健的总收购价为8307万令吉。
柔佛医药保健表示,建议收购主要是简化印尼的业务,提高营运效率,以及让公司更有灵活性地管理印尼业务。该公司预计在今年第3季完成上述收购计划。
ALAQAR售资產减债
此外,KPJ伊斯兰房地產也在文告中指出,出售资產主要释放该公司在印尼资產的价值,以及將脱售所得的资金用来偿还债务、降低负债率,让该房產信託有更大的空间融资,进行新的投资机会。
文告指出,脱售总价8307万令吉,其中7995万令吉將用来偿还贷款、237万令吉充当营运资本和剩余的75万令吉则支付以上企业活动的开销。【东方网财经】

柔佛醫保購2印尼醫院貢獻不大

M&A證券對該項收購展望正面,因保健業屬抗跌領域,無論貧富都需要保健服務。
目前無法確定收購對柔佛醫藥保健的財務影響,因詳情有限。
不過,該行認為兩家醫院財務貢獻微小,因收購可能是為了在印尼保健領域佔有一席之地及優化品牌,而非以財務為目標。

(吉隆坡17日訊)柔佛醫藥(KPJ,5878,主要板貿服)將發行8億令吉伊斯蘭中期票據(MTN)。
柔佛醫藥向馬證交所報備,旗下獨資子公司Point Zone(馬)私人有限公司,將在總值15億令吉中期票據計劃下,發行第一批8億令吉的伊斯蘭中期票據。
該公司通過是項伊斯蘭中期票據所籌集的資金,用作醫療相關業務的營運資本,以及再融資現有的貸款,包括過渡性貸款。

(新山27日讯)柔佛医药保健(KPJ,5878,主板贸服股)放眼医药旅游营业额提高至9000万令吉,上财年同期为7800万令吉。
柔佛医药保健企业与融资服务副总裁默沙希拉马表示,为达到目标,公司将持续创新和引进新技术,以满足患者需求。
“我们与几个国外代理商接洽,帮助患者选择到我们这里就医。”
默沙希拉马日前出席柔佛医药保健第三届国际社会日时指出,这些代理商与公司旅游保健团队合作,安排外国游客在柔佛医药保健旗下医院住宿和就医。
他引述旅游与文化部的数据表示,大马是世界医药旅游最受欢迎的国家之一,2013年已吸引77万名医药保健旅客,去年已吸引79万名,盈利贡献近7亿3000万令吉。

看好国内安老院潜能 柔医保评估最佳模式

(吉隆坡29日讯)柔佛医药保健(KPJ,5878,主板贸服股)看好国内安老院业务的潜能,因此寻找适合我国采用的业务模式。
主席兼董事经理阿米鲁丁昨天在该公司的股东大会后说,面对国内日益增长的需求,该公司仍在评估安老院这个市场的规模。
“这是时机的问题,因为我们看到这市场的前景,但是,要何时推行则要看市场的接受程度。”
“相信在接下来的两三年,我们将确定这个市场的规模,并推行这项服务注入市场。”
他说,安老院业务对公司营收贡献还是很小,因此,公司将找出最佳的模式,让市场更容易接受,尤其是国内市场。
目前,柔佛医药保健在澳洲昆士兰Jeta花园拥有一家安老院,在吉隆坡则是道华佳医疗保健(Tawakkal Health Centre),在砂拉越则是诗巫老人保健及护理中心。
今年营业额看涨10%
截至12月31日的2014财年,公司在澳洲安老院业务的营业额,稳健增长5%至2950万令吉。
与此同时,阿米鲁丁说,由于公司过去5年来都取得双位数成长,所以,今财年的营业额放眼10%增长。
他指出,如今公众都倾向于选择私人医院和购买医药保险,因此,私人医院的需求日益强大,为柔佛医药保健创造更多商机。
他强调,公司将继续专注开拓国内市场。
由于公司拓展规模大多数在国内,医院持续成为营业额的最大贡献,达到总营业额的90%。

(吉隆坡8日讯)柔佛医药保健(KPJ,5878,主板贸服股)股东特别大会在即,该公司近期建议脱售地段和收购公司的建议将受到质疑。
小股东权益监管机构(MSWG)发表文告指出,该大会于明日举行,届时会针对两项交易矛盾之处提问。
柔佛医药保健之前建议脱售位于森美兰的地皮,以及收购Crossborder Aim私人有限公司。
但小股东权益监管机构发现,该公司提供的数据有偏差;柔佛医药保健指目前利率4.6%,但在开会通知书中第2.8项第二、三条,却阐明是每年5.75%。两者偏差必须获得合理解释。
“该公司脱售土地部分所得,将用作偿还贷款,而利率成本介于4.6%至5.75%。”
作为脱售土地的交换条件,柔佛医药保健大学学院(KPJUC)和森美兰特殊医院(SSH)将回租有关产业,但成本每年至少7.1%。
小股东权益监管机构要求柔佛医药保健解释,为何偿还了利率成本低的贷款,却以比利率成本更高的贷价回租脱售的产业。
此外,该机构也询问,Al-Aqar's NAC的管理费用。

(吉隆坡8日讯)柔佛医药保健(KPJ,5878,主板贸服股)把吉隆坡238大厦的优先购买权,颁给Al Salam产业信托公司的管理公司。
根据文告,柔佛医药保健把子公司Kumpulan Perubatan(柔佛)私人有限公司,旗下的238大厦优先购买权,颁给白沙罗产业信托管理公司。
早前,柔佛机构创立了Al Salam产业信托公司,且有意注入总值9亿令吉的31项资产。
而且,该机构也预计帮助Al Salam产业信托公司,于今年第三季上市大马交易所主板。
这是柔佛机构在2006年,透过旗下柔佛医药保健推出回教实业投资(ALAQAR,5116,主板产业信托)后,成立的第二个回教产托公司。【南洋网财经】

次季淨利增7% 柔佛醫藥派息1.75仙

(吉隆坡27日訊)受旗下醫院亮眼營業額帶動,柔佛醫藥(KPJ,5878,主要板貿易)截至2015財年6月底次季淨利按年增長7%,達3599萬令吉。
該公司建議每股派息1.75仙,除權日定于9月23日;付款日于10月19日。
柔佛醫藥向馬證交所報備,隨著公眾對于醫療保健的警覺性提高,旗下醫院業績在第2季仍增長,帶動公司整體營業額由6億6282萬令吉按年起7.8%至7億1427萬令吉。
文告指出:“由于客戶需求不斷提升,擴充現有醫院和增建新醫院將是公司未來主要政策。我們將致力提高生產力,為顧客提供更完善的服務。”
柔佛醫藥上半財年淨利按年上揚9.3%至6989萬令吉;營業額成長12.5%至14億2415萬令吉。

放緩拓展‧轉嫁成本‧柔醫保戰略奏效

(吉隆坡15日訊)柔佛醫藥保健(KPJ,5878,主板貿服組)放緩拓展計劃及轉嫁成本應對潛在醫藥成本上漲問題,分析員看好這些策略可以維持獲利。
MIDF研究指出,目前該集團正在進行首期的新醫院及現有醫院拓展計劃,以推動營業額成長。預計這些拓展將在2020年完成,5年資本開銷為15億令吉,相等於年每年3億令吉,包括建築及器材成本,完成後料提昇約1千800張床位。
該集團的新醫院專注於2至3級型醫院,以讓其業務遍及所有州屬(登嘉樓除外)。
不過,分析員說:“上述拓展計劃已延後及重整,原本該集團預計每年開兩家新醫院,但管理層表示,未來5年將放緩拓展步伐,當中彭亨的丹絨隆坡(Tanjung Lumpur)及玻璃市拓展計劃延展一年更是最佳例子。”
丹絨隆坡醫院計劃延遲主要是受2014年水災影響。
分析員表示,若令吉持續走疲,該集團也擔心2016年營運開銷將走高,尤其是藥物成本,約80%從歐美國家進口,因此為了維持現有營運利潤,料將轉嫁高成本予病人。
“儘管醫藥潛在服務價格潛在上揚,我們預計受保的病人依然會選擇私人醫院甚於政府醫院,同時也隨拓展計劃,受惠於大馬醫療旅遊市場成長。”
分析員說,目前大馬醫療旅客人數區域排名東南亞第三,僅次於泰國及新加坡,預計大馬將在2020年超越這兩個國家。
“該集團與大馬政府合作關係強穩,放眼在2020年達到25%醫療旅遊營業額貢獻,目前該業務僅貢獻集團營業額約3至4%。”
MIDF因看好該集團可在面對潛在高成本時維持7%獲利,而維持財測、“中和”評級及目標價4令吉27仙不變。(星洲日報/財經‧報導:郭曉芳) |
