(吉隆坡16日讯)消息指出,玛拿第一(MAGNA,7617,主板产业股)大股东架构将大洗牌,当前大股东有意退出,而中国某大型建筑企业相关人士将入驻,并将在管理层方面扮演重大角色。
根据《The Edge》财经周刊的不具名消息来源,目前,玛拿第一的两大股东———持股25.12%的Fatastic Realty私人有限公司,以及持股9.91%的Muafakat Kekal私人有限公司,都在减持股权中。
消息指出,相信股东架构的改变,源自于玛拿第一位于安邦路的18亿令吉豪华产业发展计划,该地点离国油双峰塔不远,现址为黎明小学和幼儿园,占地2.6英亩。
预计玛拿第一将在未来数周,获得上述再发展计划的开放令(Development Order)。
两大股东脱售良机
目前未能确定股东架构改变,会否是收购玛拿第一,或有其他激烈的转型计划,但预计新大股东将会在管理层扮演更大的角色,因该公司将负责此发展计划的大部分工程。
Muafakat Kekal和Fantastic Realty的领军人物———拿督阿都哈尼夫阿都拉、李煜辉和李兴利(人名皆译音)均非玛拿第一董事部成员,而玛拿第一董事也未与这两家公司有关联。
这两家大股东是在我国最新一轮的产业热潮前入驻玛拿第一,由于自身正进行的产业发展计划需要更多时间与资源,相信此刻为最佳退场时机。
玛拿第一的豪华产业发展计划,包含两栋60层楼高的建筑,一栋为办公楼,另一栋则包含豪华服务公寓、五星级酒店和办公楼。

(吉隆坡18日訊)麥納首要(MAGNA,7617,主板產業組)否認將引進中國大型建築集團相關公司成為新大股東。
該公司發文告說,在可見的未來,上述消息並不屬實。
“就董事部所知,他們並未接獲任何大型企業計劃的建議,所有業務如常營運。”
此前市場盛傳,麥納首要現有大股東――Fantastic Realty私人有限公司(25.12%)和Muafakat Kekal私人有限公司(9.91%)正脫售持股,與中國大型建築公司有關聯的公司可能崛起成為公司大股東。
第三季淨虧510萬
另外,該公司宣佈,產業發展、建築、貿易等業務蒙受虧損,截至9月30日止第三季蒙受509萬6千令吉淨虧損,前期為淨虧損945萬2千令吉。
首3季計,在產業發展業務帶動下,淨利從666萬8千令吉大增近兩倍至1千948萬8千令吉。

INVESTMENT IN NEW SUBSIDIARY COMPANY
- PAVILION UPTREND SDN BHD | 1. INTRODUCTION The Board of Directors of Magna Prima Berhad (MPB) wishes to announce that MPB has acquired 70% of the issued and paid up share capital of Pavilion Uptrend Sdn Bhd (Pavilion Uptrend) (Company No. 1075159-M) on 15 January 2014 comprising 140,000 ordinary shares of RM1.00 each fully paid up for a total cash consideration of RM140,000.00 (“MPB Acquisition”). The cash consideration would be funded through internally generated funds.
Dato’ Rahadian Mahmud bin Mohammad Khalil, the CEO of MPB has acquired the remaining 30% of the issued and paid up share capital of Pavilion Uptrend on 15 January 2014 comprising 60,000 ordinary shares of RM1.00 each fully paid up for a total cash consideration of RM60,000.00 (“DRM Acquisition”).
2. INFORMATION ON PAVILION UPTREND SDN BHD Pavilion Uptrend was incorporated in Malaysia as a private limited company under the Companies Act 1965 on 24th December 2013. The authorised share capital of Pavilion Uptrend is RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each, of which RM200,000 has been fully paid up.
Pavilion Uptrend has been dormant since its incorporation. The intended principal activity of Pavilion Uptrend is property development and property investment.
3. FINANCIAL EFFECTS The acquisition of Pavilion Uptrend will not have any material effect on the earnings per share, net tangible per share or gearing of the Group. There will be no change to the share capital or interest of the substantial shareholders of MPB.
4. LIABILITIES There are no liabilities to be assumed arising from the Acquisition.
5. CONDITION TO THE ACQUISITION The Acquisition is not subject to any Malaysian Government authority or shareholders’ approval.
6. DIRECTORS’ AND SUBSTANTIAL SHAREHOLDERS’ INTEREST Save for Dato’ Rahadian Mahmud bin Mohammad Khalil’s interest in 30% equity of Pavilion Uptrend, none of the other Directors and/or substantial shareholders of the Company and/or persons connected with the Directors and/or substantial shareholders of the Company have any interest, direct or indirect, in the Acquisition.

Accordingly, Crossborder has filed a notice of discontinuance dated 2.12.2013 at the Court of Appeal through their solicitors, and a copy thereof has been served and accepted by the Respondent.
Crossborder has received additional compensation of RM3,159,000 ("Additional Compensation") as awarded by the Shah Alam High Court. Interest on the Additional Compensation at a rate of 8% p.a from the date on which the land administrator took possesion of the land to the date of payment of the Additional Compensation.

玛拿第一合约纠纷案 2180万付Bina BMK

(吉隆坡13日讯)根据仲裁庭的议决,玛拿第一(MAGNA,7617,主板产业股)以及Perembun(马)私人有限公司,必须支付2180万令吉给BinaBMK私人有限公司。
玛拿第一向马交所报备,独资子公司Magna Prima建筑私人有限公司以及Perembun(马)私人有限公司,须在冲裁议决后30天内,支付上述款项给BinaBMK。
若公司无法在限期内支付款项,将被征收8%的年息。
Bina BMK在2004年10月,获得Magna Prima建筑和Perembun联营的MPC-Perembun公司,颁发总值5640万令吉的综合发展计划的次级承包合约。
委任律师上诉由于三方因上述次级承包合约的问题而引起纠纷,因而交由仲裁庭处理。

The Final Award save as to costs was made and published on 21st April 2014 and our solicitor informed us on 9th May 2014 evening which was handed to the Company Secretary to make announcement on 12th May 2014.
Perembun (M) Sdn Bhd was initially awarded a project known as “Cadangan Pembangunan Bercampur yang mengandungi 56 units kedai/pejabat, 567 unit tempat letak kereta dan 397 unit apartment di atas Lot 4086 dan sebahagian lot-lot (Fasa 3B(i)) di Jalan Kepong Mukim Batu, Kuala Lumpur (“the Project”) for a lump sum of RM56,361,730.40 by way of letter of award dated 25.09.2004 by Magna Park Sdn Bhd (‘the Main Contract”)
Magna Prima Construction Sdn Bhd a wholly owned subsidiary of Magna Prima Berhad and Perembun (M) Sdn Bhd entered into a Joint Venture Agreement dated 26.10.2004 (“the Joint Venture Agreement”)and set up an unincorporated company known as “MPC-Perembun JV” as the main contractors to carry out the works under the said Main Contract.
By a letter of award dated 30.10.2004, Magna Prima Construction Sdn Bhd and Perembun (M) Sdn Bhd awarded Bina BMK Sdn Bhd the sub-contract works (“the Sub-Contract Works”) of the Project for a lump sum of RM54,861,730.40 (“the Sub-Contract”)
Dispute arose between Magna Prima Construction Sdn Bhd and Perembun (M) Sdn Bhd and Bina BMK Sdn Bhd in respect of the Sub-Contract Works. The dispute between the parties were referred to a single Arbitrator.
The Arbitrator delivered his award that Magna Prima Construction Sdn Bhd ( “1st Respondent”) and Perembun (M) Sdn Bhd (“2nd Respondent”) shall pay Bina BMK Sdn Bhd (“Claimant”), within thirty (30) days upon the day which either party shall have taken up the final award save as to costs, the sum of Ringgit Malaysia Twenty One Million Eight Hundred Nineteen Thousand Three Hundred Fifty and sen Forty One only (RM21,819,350.41)
In the event the 1st /2nd Respondent have not paid and settled the payment amount of RM21,819,350.41 at the expiry of 30 days from the date the parties take or either of the parties takes up the Final Award save as to costs, interest at simple interest rate at eight percent (8%) per annum will be charged and will continue to accrue until the date of actual realization of the full payment by the 1st and/or 2nd Respondent.
We have instructed our Solicitor to file the necessary proceedings in the High Court in respect of the decision of the Learned Arbitrator.

传玛拿第一3.88亿 脱售黎明小学校地

(吉隆坡14日讯)消息传出,玛拿第一(MAGNA,7617,主板产业股)有意脱售位于安邦路、现址为黎明小学与黎明幼儿园(简称黎明小学)的黄金地段。
财经周报《The Edge》向四家房地产经纪公司洽询,确认这块土地已在市场上待售。
在5月7日时,房地产销售网站iProperty,也有黎明小学地段的售地广告,当时的询问价为3亿8803万令吉。
玛拿第一5年前以再发展为由购置黎明小学土地,并在近期获准在这块面积达2.62英亩地段,进行发展总值达18亿令吉综合发展计划。
报道指出,由于这块土地在去年底已取得开放令(Development Order),加上吉隆坡市议会已批准1:12的容积率(Plot Ratio),据悉玛拿第一希望售地价格可达每平方尺3500令吉,或最低3300令吉。
不过,该公司并未回应媒体询问。
相关地段在ZoukClub对面,毗邻Renaissance酒店与Maya酒店。
每方尺RM3500 有难度
早前,Oxley控股早前以每平方尺3300令吉向Loke Wan Yat房产公司购下安邦路的一块地皮;KSK集团在去年底以每平方尺3299令吉,买下吉隆坡葛莱路(Jalan Conlay)的一块地皮。
玛拿第一当初是以1亿9000万令吉的代价购下黎明小学地段,除了购地,该公司也承担学校搬迁以及校舍重建费用。
当时,上述地段的市价为1亿9400万令吉,或每平方尺1702令吉,有经纪指出,要达到每平方尺3500令吉售价极具挑战,因校地后面建有一座坟场。

LTAT认购优先股 成麦纳首要大股东

(吉隆坡12日讯)麦纳首要有限公司(MAGNA,7617,产业组)计划,透过发行新可赎回可转换优先股予武装部队基金局(LTAT),引入后者成为大股东,同时筹集4000万令吉资金,以融资其产业发展计划。
在致给大马交易所的文件中,麦纳首要表示,它已与武装部队基金局签署一份有条件附属协议,以每股1令吉发行价,发行4000万的新优先股。
一旦武装部队基金局选择全面转换所有优先股为麦纳首要新股,麦纳首要的股票资本将从目前的3亿3290万股提高到3亿7500万股。全面转换也将看到武装部队基金局成为麦纳首要的大股东,持股11.23%。
该发展商说:“上述优先股将以每股1令吉发行,相等于每1优先股1仙面值的99仙溢价。”
这家综合生活主题产业计划发展商补充,发行价是经过与武装部队基金局的商讨后达成。
它指出,发行价也考虑了优先股的流通性,即后者不可交易或转换,以及附带有限的投票权。
麦纳首要有意利用上述资金于其产业发展计划(3800万令吉)、普通营运资本(160万令吉)及偿还上述活动相关开销(40万令吉)。该集团的计划包括Istana计划、Boulevard商业园发展计划、以及Desa Mentari发展计划。
麦纳首要和武装部队基金局将设立一个联营,而Istana计划的4640万令吉净销售资金将在认购协议日期起的3个月内导入这个联营账户。
在持股时期,每股优先股的转换价将胥视麦纳首要5个交易日平均市价的5%至10%折价而定。
它补充:“优先股的转换价将不会低于麦纳首要25仙的每股面值。”

萬拿第一今日向馬證交所報備,公司與大馬武裝部隊基金局已達成協議,決定將上述建議延長兩個月至明年1月10日,以完成該認購協議的條件。
