INTRODUCTION Pursuant to paragraph 9.19(5) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of TCB wishes to announce that Kuasa Cekapmas Sdn Bhd (Company No. 781254-K) (“KCSB”), a wholly-owned subsidiary of TCB had, on 30 June 2015, acquired 100 ordinary shares of RM1.00 each representing 100% of the total issued and paid-up share capital of Antara Tuah Sdn Bhd (Company No. 1006465-V) (“ATSB”) for a total cash consideration of RM100.00 only (“Acquisition” or “Changes in TCB Group Structure”).
Upon the Acquisition of the entire equity interest in ATSB by KCSB, ATSB has become a wholly-owned subsidiary of KCSB, which in turn is a wholly-owned subsidiary of TCB.
2. BACKGROUND INFORMATION ON ATSB ATSB was incorporated in Malaysia on 18 June 2012 under the Companies Act, 1965 as a private limited company. The authorised capital of ATSB is RM100,000.00 comprising 100,000 ordinary shares of RM1.00 each and its present issued and paid-up share capital is RM100.00 comprising 100 ordinary shares of RM1.00 each. ATSB was a 51%-owned subsidiary of TCB prior to the Acquisition and has not commenced operations since incorporation.
3. RATIONALE FOR THE CHANGES IN TCB GROUP STRUCTURE The Changes in TCB Group Structure is to facilitate the operations of TCB Group.
4. FINANCIAL EFFECTS The Changes in TCB Group Structure do not have any effect on the issued and paid-up share capital or the substantial shareholders’ shareholdings in TCB and is not expected to have any material effect on the net assets, gearing and earnings of the TCB Group for the current financial year ending 31 December 2015.
5. APPROVALS REQUIRED The Changes in TCB Group Structure was not subject to the approval of the shareholders of TCB or any other relevant authorities.

丽阳Tropicana Aman 放眼今年推7亿项目

(莎阿南23日讯)丽阳机构(TROP,5401,主板产业股)放眼今年内,为Tropicana Aman计划,推出总值7亿令吉的项目。
Tropicana Aman是综合城镇发展项目,邻近哥打甘文宁(Kota Kemuning)的附近,面积占863英亩,发展总值达130亿令吉,分20期。
这不仅是国内最大的产业发展计划,也是该机构首次在莎阿南发展的项目。
董事经理江文俊为Tropicana Aman产业展览厅开幕后指出,已在5月推出的首期产业,为拥有432间排屋的Arahsia Residences,发展总值3亿42000万令吉,预计在3年内完工。
第二期则是372间双层和三层房屋,将在8月推介。双层房屋价位在85万令吉,三层则从100万令吉起跳。
“哥打甘文宁的附近有其他商区,我们要先观察发展情况,才会在之后推介商业中心。”
此外,丽阳机构也和Tenby School签约,在Tropicana Aman附近兴建国际学校,建筑面积达22万5000平方尺,能容纳近1800位学生。

丽阳机构次季净利挫74%

(吉隆坡13日讯)丽阳机构(TROP,5401,主板产业股)截至6月底次季,净利达2317万令吉,大跌74.1%,上财年同期为8946万令吉。
文告指出,次季净利表现逊色,是因为去年同期,有产业投资脱售收益贡献,因此比较基础较高。
不过,次季营业额达3亿1234万令吉,微增3.6%,归功于巴生谷主要工程营收更高。
累积首半年,净利达4244万令吉,下滑56.37%;营业额则涨26.9%,录得7亿326万令吉。
尽管产业领域情绪低迷,但销售和业绩仍具韧力。
5月在莎阿南首个项目Tropicana Aman获得热烈反应,至今,认购率节节上升。
首半年内,销售额达7亿8740万令吉,未结账销售达30亿令吉,将支撑未来表现。
丽阳机构有信心,虽然今年市场不景,但仍相信可达到15亿令吉的销售额目标,有地产业和地点优越的综合产业计划需求不变。【南洋网财经】

前期基礎高導致半年淨利跌‧麗陽財測不變

(吉隆坡14日訊)麗陽機構(TROP,5401,主板產業組)首半年淨利下挫,主要是之前脫售資產賺益造成,淨業績符合預期,但分析員對展望不一,惟維持財測不變肯納格研究表示,該公司目前手握30億令吉未入賬銷售,可支撐該公司未來2年半至3年的業績。而艾芬黃氏研究則看好該公司持有的策略地點土地、低估值和進行中的資資重塑計劃。
分析員維持財測不變,但艾芬黃氏看好展望,肯納格認為成本和可能貸款緊縮措施會打擊銷售。
麗陽機構目前淨負債率從0.7倍降低至0.58倍,管理層將透過脫售地庫,並希望在2015財政年末季時,負債率可降低至0.4倍。
艾芬黃氏表示,撇除上季脫售資產賺益造成盈利下跌,麗陽首半年淨利表現也僅持平,預期下半年銷售可改善,加上脫售更多地庫,有助加強淨利表現。
2億待進賬
分析員表示,該公司目前已經完成12億令吉的資產銷售,並淨賺2億零500萬令吉,該筆盈利目前待進賬。
該公司首半年營業額達7億9千萬令吉,肯納格認為有望達到全年15億令吉的預測銷售目標。
該公司管理層預計全年銷售目標為14億令吉。
該公司將在下半年推出12億4千萬令吉的產業銷售計劃。惟分析員憂慮產業市場目前備受挑戰,打擊投資產業的意願。
艾芬黃氏表示,該公司需面對的風險為延期銷售。

丽阳终止4.4 亿买地计划 于依海合作告吹

(吉隆坡23日讯)丽阳机构(TROP,5401,主板产业股)旗下Tropicana Danga Senibong私人有限公司(TDSSB),终止了4亿4431万2000令吉的土地收购计划。
根据文告,由于无法符合土地买卖合约的条件,TDSSB在今日放弃这项交易。
这意味着,丽阳机构早前建议的联营项目和地皮交易作废。
TDSSB前称Renown Dynamic私人有限公司,是丽阳机构子公司Golddust United私人有限公司(简称GUSB)与依斯干达海滨城(IWCITY,1589,主板产业股)成立的联营公司。
丽阳机构在2013年杪,与当时还称为地不佬公司的依斯干达海滨城,设立这间联营公司,计划在新山兴建发展总值(GDP)37亿令吉的综合房产项目。

中止柔佛买地正面 丽阳机构评级维持

(吉隆坡25日讯)分析员看好丽阳机构(TROP,5401,主板產业股)周三(23日)宣布中止柔佛一项土地收购的举动,因为这符合该公司降低负债的策略,以及柔佛房市面临供应过剩隱忧。
不过,基于產业领域缺乏利好因素,因此分析员维持丽阳机构的投资评级。
丽阳机构周三宣布,基于无法符合协议条款,该公司持有70%股权的联营公司--Tropicana Danga Senibong私人有限公司(TDSSB),中止一项在柔佛避兰东(Plentong)的购地协议。
该地佔地84.5英亩,是租赁地皮,原本计划发展一项总值37亿令吉的综合项目。
TDSSB是依海城(IWCITY,1589,主板產业股)和Golddust United私人有限公司,分別持股30%和70%的联营公司。
Golddust United私人有限公司,是丽阳机构的独资子公司。
无论如何,针对以上购地交易告吹,肯纳格研究分析员感到正面。
该分析员指出,他们之前预计丽阳机构就该项购地活动,將独自融资贷款约3亿1100万令吉。
对于该项目中止的决策,分析员感到正面,因为:一、这表示较低的借贷,符合该公司减债的策略,其2015財政年负债率料可降至0.37倍,相比去年的0.47倍,这也意味著该公司的借贷成本將在2015和2016財政年减少14.5-17%,至3700至3100万令吉。

麗陽機構旗下公司最近終止收購避蘭東的84.5英畝的地皮,分析員看好這項最新進展,主要是避免增加負債及融資成本,因而略為上調其財測。
肯納格研究指出,麗陽機構原本全面借貸3億1千100萬令吉進行上述收購土地計劃。隨著購地計劃合約終止,將有助於其進行中的減債計劃,使其2015年財政年負債率,從0.47倍下降至0.37倍。

(吉隆坡26日訊)歸功於脫售資產和子公司,麗陽機構(TROP,5401,主板產業組)截至2015年9月30日止第三季淨利增長414.17%至1億5千178萬3千令吉,拉高首9個月淨利53.17%至1億9千422萬6千令吉。

第三季營業額則因房產發展項目進展減速影響,下跌18.67%至2億4千457萬6千令吉,但9個月營業額仍走揚10.87%至9億4千783萬2千令吉。

未入賬銷售13億創紀錄
麗陽發文告表示,儘管房市放緩,但集團中馬綜合城鎮房產計劃購興依舊強勁,截至9月杪新增13億令吉銷售,擴大未入賬銷售至創紀錄的31億令吉。
“整體來說,集團現財政年突破前期15億令吉銷售目標仍上軌。
展望未來,集團相信市場對地點理想、交通便利,以及可負擔價位的有地房產和綜合房產需求依舊殷切,將繼續採取市場推動策略來迎合需求。
集團現有地庫為1千600英畝,未來發展總值達500億令吉,加上高未入賬銷售,以及負債比從0.68倍減至0.28倍,總體資產負債表趨向穩健,相信短期內將繼續交出可持續性盈利表現。(星洲日報/財經)
