ACQUISITION OF SUBSIDIARY | The Company wishes to announce that the Company has on 9 March 2015 acquired two ordinary shares of RM1.00 each for a cash consideration of RM2.00 in the capital of Solid Chef Sdn. Bhd. (1125672-M).
Solid Chef Sdn. Bhd. is a private limited company incorporated in Malaysia under the Companies’ Act 1965 on 5 January 2015 with an authorised capital of RM400,000.00 divided into 400,000 ordinary shares of RM1.00 each, of which 2 ordinary shares of RM1.00 each had been issued and fully paid-up.
Subsequent to the aforesaid acquisition of shares, Solid Chef Sdn. Bhd. will become a wholly owned subsidiary of the Company. Solid Chef Sdn. Bhd. is currently dormant and its intended principal activity will be restaurant business.
None of the Directors and/or substantial shareholders of the Company, and persons connected to them, have any interest, direct or indirect, in the said acquisition of the two shares in Solid Chef Sdn. Bhd.

展延30億產業‧UOA發展今年銷售料平平

(吉隆坡7日訊)受產業市場疲軟影響,UOA發展(UOADEV,5200,主板產業組)展延其怡保路30億令吉重量級產業計劃,今年只推介4項總值17億令吉的新盤,分析員預期該公司今年產業銷售平平,惟良好周息率可支撐股價。
推4產業總值17億
艾芬黃氏研究表示,UOA發展將推遲吉隆坡怡保路的下一個重大綜合產業發展計劃,從原訂的2015年展延至2016年,該建議中的產業計劃面積28英畝,鄰近捷運站和淡江大使路大道(DUKE)。
“由於目前產業市場前景疲軟,我們認為展延該計劃是合理的。”
目前,該公司估計該計劃的發展總值為30億令吉,據瞭解發展總值將進一步增強。
艾芬黃氏指出,儘管減少推出新盤,但UOA發展今年盈利應可獲現有計劃所支撐。
截至2014年杪,UOA發展的未入賬銷售增至20億令吉。
今年該集團計劃推出4項新產業計劃,發展總值17億令吉,包括Desa商業套房、甲洞V第一期和北加拉Boulevard,以及只供出租的孟沙Vertical企業塔樓。
UOA發展2014年的產業銷售下跌至16億4千300萬令吉,今年料持平,以及明年在產業前景和融資改善下將回升。
艾芬黃氏研究微幅下調UOA發展2015年每股盈利,以反映怡保路發展計劃展延,但將2016至2017年盈利預測上修2至8%,以反映該計劃的發展總值增加。
該行繼續看好UOA發展具強勁管理層、良好產品品牌和強勁現金地位。但是,這些利好因素己反映在股價上,該股已接近合理價位,因此保持“守住”評級,但目標價從2令吉18仙上調至2令吉25仙,該公司今年料派發12仙股息,相等於5.3%周息率,應可扶持股價。(星洲日報/財經‧報道:李勇堅)

產業進賬帶動‧UOA發展首季淨利揚76%

(吉隆坡27日訊)受發展中產業計劃進賬驅動,UOA發展(UOADEV,5200,主板產業組)截至2015年3月31日首季淨利起75.8%至7千848萬2千令吉。
營業額揚79.3%至3億1千370萬令吉;高營業額主要由興建中的Desa Green、South View服務型公寓、The Vertical辦公產業、Scenaria@North Kiara Hills、Southbank Residence和Desa Sentul產業計劃持續進賬推動。
“今年迄今,新產業銷售達1億4千600萬令吉,缺乏新產業推展是產業銷售這季走低主因。”
UOA發展董事部預期未來幾季,將有約21億令吉的產業推展而改善銷售,包括發展值1億2千萬令吉的武吉加拉北區Suria計劃、靠近甲洞電動火車地帶的15億令吉綜合商產計劃,文良港有2億3千萬發展值和3億令吉的帝沙商產。(星洲日報/財經)

巴生谷推24亿房产 UOA本财年业绩有助力

(吉隆坡27日讯)虽然预计今年产业市场表现疲弱,但在巴生谷推出数项发展总值达24亿令吉的综合发展项目下,UOA发展(UOADEV,5200,主板产业股)料可在2015财年维持一贯的营业额。
集团总经理李尤金(译音)表示,2015财年的营业额前景将企稳,但销售会比去年底。
“我们有数项发展计划在手,所以营业额入账的速度将会相当快。营业额展望将稳定,接近我们去年取得数额。”
集团在2014财年的营业额和净利,分别达10亿8000万令吉和3亿5684万令吉。
针对产业市场展望,他表示今年将会缺乏动力,因4月执行的消费税,以及去年收紧银行贷款条例,将影响产业前景。
他指,公司去年取得17亿令吉的销售额,但预计今年会减少。
此外,他表示,公司将会在今年下半年推出发展总值达24亿令吉的计划。
“目前,我们拥有数项将会推出的发展计划,我们会放更多焦点在可负担产业,介于60万至70万令吉。这是我们自去年开始采用的策略。”
他指,发展项目主要落在能够轻易连接至高速公路或公共交通,如捷运和电动火车(KTM),或轻快铁的地区。
他强调,公司主要的发展项目位于甲洞,这是一项综合发展计划,占地10英亩,发展总值达15亿令吉,预计在今年下半年推出市场。
此外,也会在今年末季於文良港(Setapak)推出另外一项综合发展项目,发展总值达2亿3000万令吉。
目前,公司的地库规模达120英亩,发展总值接近240亿令吉,将会让公司繁忙到未来5至10年。
首季净赚7848万
受到持续进行的发展计划带动,UOA发展截至3月31日首季,净利按年增长75.77%。
公司首季净赚7848万2000令吉,或每股盈利5.48仙,高于上财年同期的4465万令吉或3.33仙。
同时,营业额则从1亿7499万令吉,按年上涨79.27%,达3亿1370万令吉。【南洋网财经】 |

UOA发展重组子公司

(吉隆坡10日讯)UOA发展(UOADEV,5200,主板产业股)为了提升业务效率和更有效管理,针对旗下的子公司进行内部重组活动。
该公司向马交所报备,已将旗下SolidChef私人有限公司全数股权或50万股普通股,转到另一家独资子公司UOA Hospitaly私人有限公司旗下。
UOA发展指出,重组后,公司的饮食业务营运就会统一在UOA Hospitality旗下,以有效管理和提升营运效率。
无论如何,相关业务内部重组活动,不会对公司股权等有影响。【南洋网财经】

次季营业额虽增UOA发展净利反跌

(吉隆坡23日讯)产业发展商UOA发展有限公司(UOADEV,5200,产业组)次季净利按年跌14%,主要因为较高的税务和少数权益。
UOA发展向大马交易所报备,截至6月底次季净利跌至6893万令吉,较去年同期的8019万令吉为差,主要是缺少产业重估收益打压净利表现。
次季营业额则达3亿2571万令吉,高于去年同期的2亿1626万令吉。
首半年净利按年从1亿2484万令吉扬至1亿4741万令吉;营业额从3亿9424万令吉增至6亿3941万令吉。
“今年迄今的新产业销售达5亿400万令吉,贡献来自South View服务公寓、Southbank Residence、Scenaria @ North Kiara Hills、Desa Sentul、The Vertical Office Suites 和 The Vertical Corporate Tower。”
“下半年的新产业销售预计将会继续提高。截至6月底的未进账销售约为18亿令吉。”
根据UOA发展,次季税前盈利从去年同期的1亿338万令吉,增至1亿920万令吉。
税务增至2708万令吉,相比去年同期的1904万令吉,而少数权益从415万令吉增至1320万令吉。
