（吉隆坡7日訊）成功集團（BJCORP，3395，主要板貿易）脫售成功食品（BJFOOD，5196，主要板貿易）6.61%股權給國家企業控股（PNS）。

成功集團向馬證交所報備，獨資子公司成功集團公司與PNS簽署股權買賣協議，將成功食品的1745万2000股或6.61%股權脫售，售價為2999万9988令吉或每股1.719令吉。

另外，成功食品（國際）與Deluxe Daily食品公司簽署聯營兼股東協議，成立成功食品Supreme公司，以在汶萊經營星巴克咖啡。[中国报财经]

Description	DISPOSAL OF 17,452,000 ORDINARY SHARES IN BERJAYA FOOD BERHAD FOR A TOTAL CASH CONSIDERATION OF RM30.00 MILLION
1.0        INTRODUCTION 1.1        The Board of Directors of Berjaya Corporation Berhad (“BCorporation”) wishes to inform that its wholly-owned subsidiary company, Berjaya Group Berhad (“BGroup”), has today entered into a Sale and Purchase of Shares Agreement (“Agreement”) with Perbadanan Nasional Berhad (“PNS”) and has on the same day disposed, via a direct business transaction, a total of 17,452,000 ordinary shares of RM0.50 each (“Sale Shares”) representing 6.61% equity interest in Berjaya Food Berhad (“BFood”) for a total cash consideration of RM29,999,988 or at RM1.719 per Sale Share (“Disposal Price”) to PNS (“Disposal”).   Dato’ Zurainah binti Musa (“Dato’ Zurainah”), an Executive Director of BCorporation  has an interest in the Disposal as she has entered into a put and call option arrangement with PNS with regard to the Sale Shares over a period of five (5) years from the completion date of the Disposal (“PNS Arrangement”).    2.0        INFORMATION ON BFOOD 2.1        BFood was incorporated in Malaysia under the Companies Act, 1965 on 21 October 2009 as a private limited company under its present name. On 3 December 2009, BFood was converted to a public limited company and listed on the Main Market of Bursa Malaysia Securities Berhad (“Bursa Securities”) on 8 March 2011. 2.2        The principal activity of BFood is investment holding whilst its subsidiaries are involved in the development and operation of restaurant chains and retail outlets in Malaysia, Indonesia and Singapore as well as investment holdings.   As at 1 October 2013, BFood has an issued and paid-up share capital of RM132,030,810 comprising 264,061,620 ordinary shares of RM0.50 each (“BFood Shares”).   2.3        The substantial shareholders of BFood as at 1 October 2013 are as follows:-             <--Direct Interest--> <---Indirect Interest--> No. of BFood Shares % No. of BFood Shares % BGroup 157,219,860 59.54 200,000(i) 0.08 BCorporation - - 157,419,860 (ii) 59.61 Tan Sri Dato’ Seri Vincent Tan Chee Yioun 1,000,000 0.38 157,419,860 (iii) 59.61 Notes:- (i)        Deemed interested by virtue of its deemed interests in Berjaya Philippines, Inc. (iii)        Deemed interested by virtue of his interests in BCorporation. 3.0        DETAILS OF THE DISPOSAL 3.1        BCorporation via BGroup has on 7 October 2013 disposed, via a direct business transaction, a total of 17,452,000 Sale Shares representing 6.61% equity interest in BFood for a total cash consideration of RM29,999,988 or at RM1.719 per Sale Share to PNS. Upon completion of the Disposal, the shareholding of the BCorporation Group in BFood will decrease by 6.61% to 53.01% comprising 139,967,860 BFood Shares. 3.2        The price of RM1.719 per Sale Share was computed based on a 3% premium over the 5-day volume weighted average price of BFood Shares from 30 September 2013 to 4 October 2013, being the last traded market price prior to the date of this Announcement of RM1.6689 per share. 3.3        The Disposal Price represents the following :- (a)        a premium of 1.9 sen or 1.12% above the last traded price of BFood Shares of RM1.70 on 4 October 2013; (b)        a premium of 116.9 sen or 212.55% above the audited net assets per BFood Share of 55 sen as at 30 April 2013; and (c)        a price-earnings multiple of 21.04 times based on the net earnings per BFood Share of 8.17 sen during the financial year ended 30 April 2013. 3.4        The BFood Shares were disposed of free and clear of all liens, charges and claims of any kind or restriction.  PNS does not assume any liability relating to Sale Shares pursuant to the Disposal. 3.5        The proceeds from the Disposal will be utilized for working capital and/or repayment of borrowings of the BCorporation Group. 3.6        The BGroup’s cost of investment in the Sale Shares since January 2011 is about RM8.52 million. 4.0        RATIONALE FOR THE DISPOSAL 4.1        The Disposal represents an opportunity for the BCorporation Group to realize part of the value accretion in its investment in BFood. 5.0        EFFECTS OF THE DISPOSAL 5.1        The Disposal does not have any effect on the issued and paid-up share capital and substantial shareholders' shareholdings in BCorporation. 5.2        The reduction in the BCorporation Group’s equity interest in BFood arising from the Disposal is not expected to have any material effect on the net assets, gearing and earnings of the BCorporation Group in the future. The Disposal results in an increase in the reserves of the BCorporation Group by about RM21.64 million during the current financial year ending 30 April 2014. 6.0        APPROVAL REQUIRED 6.1        The highest applicable percentage ratio as per the Main Market Listing Requirements of Bursa Securities relating to the Disposal is about 1.64%. 6.2        The Disposal is not subject to the approval of any authority or shareholders of BCorporation. 7.0        DIRECTORS' AND MAJOR SHAREHOLDERS' INTERESTS 7.1        Dato’ Zurainah, an Executive Director of BCorporation, has interest in the PNS Arrangement.          Save as disclosed, none of the other Directors and major shareholders of BCorporation or persons connected to them has any interest, direct or indirect, in the Disposal. 7.2        The Board of Directors of BCorporation (save for Dato’ Zurainah) is of the opinion that the Disposal is in the best interest of the BCorporation Group. 8.0        DOCUMENT FOR INSPECTION 8.1        The Agreement is available for inspection at the Registered Office of BCorporation at Lot 13-01A, Level 13 (East Wing), Berjaya Times Square, No.1, Jalan Imbi, 55100 Kuala Lumpur, during normal office hours from Mondays to Fridays (except public holidays) for a period of three (3) months from the date of this Announcement. （吉隆坡18日訊）成功集團（BJCORP,3395,主板貿服組）旗下成功汽車（BAUTO）預訂11月上市，籌措5千790萬令吉資金。

每股70仙售8276萬新股

根據招股書，該公司預計下月18日於大馬股票交易所主要交易板上市，公開發售8千276萬3千股新股，每股面值50仙、售價70仙。

新股當中，1千915萬7千股分配給符合資格的成功集團股東，其餘4千144萬9千股保留給機構及指定投資者、1千200萬股給成功汽車公司董事及雇員、1千零15萬7千股或給貿工部認可的土著投資者。

該公司計劃從中籌措約5千790萬令吉資金，主要用於集團運作資本。其中72%或4千100萬令吉用於運作資本，12.9%或750萬令吉是融資資本開銷，7.8%或450萬令吉投資Bermaz汽車，其餘420萬令吉或7.3%作為上市開銷。（ 星洲日報／財經）

The Acquisition which was completed on 22 November 2012 was satisfied by an issuance of RM170 million ICULS together with 170 million warrants (collectively referred to as “Consideration Securities”). All the Consideration Securities are unlisted. The issuance of the Consideration Securities then avoided an immediate cash outflow and gave Berjaya Corporation Berhad ("BCorporation") time as well as the flexibility to fulfill its financial obligation when Cipta Nirwana (M) Sdn Bhd (“CNSB”), holder of the Consideration Securities, exercises the put option during the option period. The Board of Directors of BCorporation wishes to inform that CNSB has, vide its letter dated 21 October 2013, exercised the put option requiring BCorporation to purchase the Consideration Securities for a total cash consideration of RM170 million from CNSB. The mutually agreed payment/completion dates  for the purchase of the Consideration Securities by BCorporation are as follows:- (a)        RM51 million ICULS together with 51 million Warrants on 6 November 2013; and (b)        the remaining RM119 million ICULS together with 119 million Warrants on 15 February 2014. BCorporation proposes to finance the purchase of the Consideration Securities from the Group’s internally generated funds and/or borrowings.  The Consideration Securities will be cancelled once BCorporation completes the purchase from CNSB. This Announcement is dated 21 October 2013.

Oct 25 (Reuters) - Malaysian tycoon Vincent Tan is also considering Singapore as a venue for the listing of his English Premier League club Cardiff City.

The listing of the football club is likely to come in the second half of next year, industry sources told the Straits Times.

Tan, 61, who bought the club three years ago, is looking at two options: to list on home turf on Bursa Malaysia, which is largely dominated by big state-owned funds and domestic investors, or pitch the offering to a wider investor base on the Singapore Exchange.

我猜测，大家交流而已：

现在陈先生把BJauto从BJcorp分出来上市，而且又每个股东都要出钱买，不是送。现在BJCorp公司有BJAuto的资产，被分拆出来的话，而且BJCorp股东没有免费拿到分拆出来的股权，你说这对小股东好吗？

现在市值有23亿，其中包括BJauto，好像BJAuto上市是市值5亿，这5亿是从BJCorp的现有市值拿出来卖的，你觉得说的过去吗？

而且现在BJCorp的PE是21，处于高位，如果下季成绩还是不好，RM0.45都很有可能。很多人宁愿放弃现在，等待未来。

假如…7-11，u  mobile ...都真的分拆上市的话，那么bjcorp 会不会更加有往下掉的可能性？

（吉隆坡27日讯）消息指丹斯里东尼费南德斯和丹斯里陈志远，想利用梳邦Skypark机场，提供商务专机服务。

《星报》报导称两人都虎视眈眈这个利基市场，相信会联手或各自营运；但这么一来，会使航空营运赚幅受压。

报道指两人最初是在2011年洽谈此事，惟当时没有协议。近期，市场再度传出，他们重新洽谈配合，只是至今仍未定案。

市场人士指东尼的Caterham Jets或会购入陈志远旗下成功航空（Berjaya Air）51%股权，现阶段正等待有关当局的首肯。

尽管两方会否一起合作还是个未知数，但可预见的是，成功航空已检讨计划，据悉，该公司有意设立本身的商务专机服务单位。

传成功航空聘梁振栋

据悉成功航空已聘请飞荧航空（Firefly）前总执行长拿督梁振栋，领导这个商务专机服务，估计最早会在明年3月份开始运作。

成功航空目前有飞往热浪岛、刁曼岛及其他地点，但最近有意停飞泰国华欣、邦咯岛、兰卡威和槟城等亏损航线，并计划只专注于海岛航班。

陈志远旗下的商务飞机也将用于该运作，成功航空也将购入新飞机，市场也传陈志远将会和庞巴迪（Bombardier）洽谈配合。

尽管成功航空有自己的一套计划，惟市场并不排除会拍伙Caterham Jets，这对东尼和陈志远都是好事。[南洋网财经]

可是赚钱能力不行 （p/e不理想）

价值是有低估的迹象，反不反弹就要看这个月的业绩。成功汽车上市对NTA的影响也必须在要来的业绩考量内。

BJCorp老板有1%的facebook share，是过bjcorp的全球MOL公司拥有的。现在facebook市值1200亿美金，1%就是12亿美金，要私有化BJCorp绰绰有余。

如果你有时间跟老狐狸斗长命，可以买入等，这股要上是很快的，只是老板买够票了没有而已。
