SC ESTATE BUILDER BERHAD ("SCBUILD/0109" OR "COMPANY")HEADS OF AGREEMENT ("HOA")
The Board of Directors of SCBUILD/0109 wishes to announce that SCBUILD/0109 had on 15 July 2025 entered into a HOA with Koay Seok Chin (“Vendor”) to purchase 20,000,000 ordinary shares in Sentosa Club Hotel Sdn Bhd (“SCH”), representing 25.00% of the issued share capital of SCH free from all charges, pledges, liens, and other encumbrances of whatsoever nature now or hereafter and attaching thereto including with all rights of whatsoever nature now or hereafter attaching thereto at the purchase consideration to be determined upon the completion of the valuation of SCH (“Purchase Consideration”), by way of issuance of redeemable convertible preference shares (“RCPS”) in SCBUILD/0109 (“Consideration RCPS”) to the Vendor. The Consideration RCPS shall be issued at a price of RM0.01 per RCPS, such price having been determined based on the five-day volume weighted average market price of the SCBUILD/0109’s ordinary shares immediately preceding the date of the HOA. Each Consideration RCPS shall be convertible into 1 ordinary share in SCBUILD/0109 (“Conversion Shares”), and the issuance and conversion of the Consideration RCPS and Conversion Shares shall be subject to the terms and conditions to be set out in the definitive share sale agreement (“SSA”) and upon the terms and conditions hereinafter contained (“Proposed Acquisition”).

(the Vendor and SCBUILD/0109 shall collectively be referred to as the “Parties”).

The HOA sets out the principal terms and conditions agreed in principle between the Parties in relation to the Proposed Acquisition and serves as a basis for the preparation and negotiation of a definitive SSA.
