交易告吹‧麗陽和嘉德一起一跌

(吉隆坡30日訊)儘管麗陽機構(TROP,5401,主板產業組)和嘉德商托(CMMT,5180,主板產業投資信托組)的交易告吹,然而兩者股價宿命卻大不同,麗陽機構反起4仙到1令吉45仙,並以該最高點收市;嘉德商托卻挫1仙到1令吉50仙。
嘉德商托和麗陽機構的產業交易因無法達成共識而終止,令分析員感到失望,因這顯示麗陽機構的減債計劃受到挫折,分析員相信,麗陽機構的管理層將繼續尋求新買家。
麗陽機構週三在飆升3仙至1令吉44仙後一度遭套利,但卻臨危不亂,以收紅劃下句點;嘉德商托則一度起1仙到1令吉52仙,最終反收黑。
麗陽機構於8月時,獻議售出兩項資產予嘉德商托,不過,該公司未透露脫售價,市場粗略估計交易價可能介於5億5千萬至6億5千萬令吉。
艾芬投資銀行認為,麗陽機構的高淨債務比0.8倍可能持續較預期久,相信管理層會持續尋求買家,惟預計至未來兩年才有著落。
無論如何,艾芬保持麗陽機淨利預測,並維持該股“加碼”評級,目標價為1令吉80仙。艾芬也看好麗陽機構積極的管理層、策略性地段和估值廉宜。(星洲日報/財經) |

售商场办公楼洽谈破局 丽阳机构觅新买家

(八打灵再也20日讯)虽然丽阳机构(TROP,5401,主板产业股)脱售Tropicana City Mall商场和Tropicana City办公楼予大马凯德产托(CMMT,5180,主板产业信托股)的洽谈破局,但丽阳机构仍会继续寻找新买家推进脱售计划。
丽阳机构总执行长拿督游国成在丽阳机构与万豪国际(Marriott International)签署策略伙伴协议的仪式时向记者表示:“很不幸,我们与大马凯德产托在一些条件上无法达至协议,但我们仍会继续减债策略,积极脱售非核心资产,设法以最好方式释放价值。”
询及是否正与潜在买家洽谈脱售Tropicana City商场和办公楼,以及预计何时完成脱售时,他表示,公司正进行好几项减债举措,希望可以尽快完成。
游国成也说:“我们希望可在12个月内,把目前约0.7倍的资产负债率,减至0.5倍。”
早前,由于双方无法达成协议,大马凯德产托收购丽阳机构旗下Tropicana City Mall商场及Tropicana City办公楼计划告吹。
大马凯德产托是在8月接获丽阳机构子公司发出意向书,探讨收购后者位于八打灵再也市镇两项产业。
出席签约仪式的代表,包括丽阳机构执行副主席丹斯里陈志成、董事经理拿督陈永隆、槟城掌管地方政府行政议员曹观友、万豪国际亚太区酒店发展总监彼得嘉斯纳,和万豪国际营运副总裁罗拔史塔克。
未入账销售22亿
游国成也说,公司目前已超越今年20亿令吉的销售目标,而目前未入账销售达22亿令吉。
丽阳机构的地库主要在槟城、依斯干达特区和吉隆坡,未发展的地库发展总值可达800亿令吉,足够让公司忙碌15年。
随着丽阳机构与万豪国际建立的策略伙伴关系,将联手在槟城打造全马首家Courtyard by Marriott酒店。
这家酒店在丽阳机构在Tropicana218Macalister综合发展项目内,发展总值达3亿令吉。
整个Tropicana218Macalister项目发展总值达5亿1100万令吉,除了15层Courtyard by Marriott酒店,也包含211个商用套房单位、88个服务式住宅单位和零售单位。
建筑工程在今年开始,预计2018年竣工。
除了槟城的项目,游国成说不排除在吉隆坡与依斯干达特区与万豪国际合作。[南洋网财经] |

丽阳机构1.32亿卖隆大楼

(吉隆坡29日讯)丽阳机构(TROP,5401,主板产业股)宣布以约1亿3200万令吉,脱售位于吉隆坡嘉炳路(Jalan Kia Peng)的5861平方米土地及2层楼高建筑物。
根据文告,丽阳机构独资子公司丽阳嘉炳私人有限公司,与City View Ventures私人有限公司签署合约,以1亿3243万5156令吉,或相等于每平方尺2100令吉,脱售上述地段和建筑物。
丽阳机构表示,这块土地是在2012年4月时以7977万令吉购入,预计可赚4200万令吉,所得将用作营运资本和偿还银行贷款。
Q3派息4.5仙
另一方面,丽阳机构在截至9月30日的第三季内,写下58.98%的净利跌幅,即从去年同期的5782万7000令吉,滑落至2372万令吉,每股盈利也从12.55仙跌至2.2仙。
同时,公司宣布派发每股4.5仙的中期股息。
营业额方面,依斯干达特区和大吉隆坡主要计划,带动营收年增125.62%至3亿6343万9000令吉,上财年为1亿6108万6000令吉。
该公司在今年首9个月创下18亿5000万令吉的新销售额,有信心将可达到全年20亿令吉的目标。
首三季净利微跌2.88%至1亿585万5000令吉,营收则报10亿3082万3000令吉,按年涨幅高达160.31%。[南洋网财经]

倒置收购总值增至48亿 陈志成再售6地予耀贝多

(新加坡14日讯)丹斯里陈志成领军的丽阳机构(TROP,5401,主板产业股),再脱售6块地予新加坡上市公司耀贝多(Albedo),将此倒置收购计划的总额,翻倍加码至18亿6000万新元(47亿9000万令吉)。
继8月份出价7亿7410万新元(19亿9331万令吉),收购陈志成旗下Infinite Rewards的7块土地后,耀贝多昨天宣布,再增购6块土地,其中还包括柔佛新山Lido Waterfront的主要商业地段。
据了解,此次收购价较市价低16.6%,地点距离柔佛长堤仅10分钟车程,也可步行至金海湾碧桂园的住宅产业。
在这项新协议下,耀贝多当前在依斯干达特区持有的地库增至13块,共1182.58英亩。
本为钢铁铸造公司的耀贝多,因面临激烈的市场竞争和消费者需求疲软,进一步压缩赚幅,因此计划将业务多元化至房地产发展领域,以确保未来收益来源,以保障长期投资者的利益。
陈志成持股95%
根据8月的协议,耀贝多收购Infinite Rewards机构子公司———Reflections Oasis机构,以持有位于依斯干达特区的7块土地。
同时,该公司将以每股0.0224新元(6仙)的价格,发行345亿5000万附加股予Infinite Rewards机构。
这意味着陈志成可通过Infinite Rewards,持有耀贝多95%股权。
耀贝多表示,在此倒置收购协议中,独立估价报告中的估值不的少于65亿令吉,该公司也将在完成收购后整合股票,将现有的7股普通股整合成1股。
另一方面,耀贝多也正与Kawasan Mestika私人有限公司协商,欲收购位于努沙再也的228英亩产业。[南洋网财经] |

丽阳机构联手地不老 新山建37亿综合房产

(吉隆坡26日讯)丽阳机构(TROP,5401,主板产业股)联手地不老(TEBRAU,1589,主板产业股)设立联营公司,计划在新山兴建发展总值(GDP)达37亿令吉的综合房产项目。
丽阳机构子公司Golddust United私人有限公司(简称GUSB)于23日,与地不老子公司Tebrau Bay私人有限公司(简称TBSB),签署协议,以拟定在联营公司———Renown Dynamic私人有限公司(简称RDSB)的股东关系。
RDSB是两者为了收购新山地皮,并将其发展为综合产业而设立的联营公司。
合资4.4亿购地
根据协议,TBSB将持联营公司的30%股权,而GUSB则将持有其余的70%股权。
同时,RDSB也与TBSB签署了一项买卖协议,以4亿4431万2000令吉购入一片位于新山,面积达60英亩的地皮,收购价格相等于每平方尺170令吉。
若将地皮面向全海景及沙滩的优势纳入考量范围内,初步估计该项目的发展总值达37亿令吉。
此活动将为双方未来的净利带来正面贡献,同时符合丽阳机构要在柔佛增加地库的目的。
该公司在柔佛的总地库已达671英亩,发展总值接近380亿令吉。如无意外,此活动料在2015年次季完成。
而地不老也表示,这将将该公司释放土地价值,同时也能通过联营,持续享有综合房产项目在未来所带来的好处。
在完成了地皮脱售活动后,地不老估计可取得1亿5700万令吉的收益,相等于每股24仙。[南洋网财经]

中國和新加坡發展商進入大馬房產市場,有利市場將資產貨套現,我們看好麗陽機構(TROP,5401,主要板房產)可釋放土地價值,並在今年開始衝刺,維持買入投資評級。
隨著政府近來宣布緊縮政策,房產市場情緒走低,但對優質土地的需求依然強勁,這部分得益于近來大規模進入大馬的新加坡和中國發展商。
我們相信,誘人的地價、中國和新加坡對大馬房產興趣高,及兩國政府實施房產緊縮政策,將持續推動兩國發展商進入我國房產市場。
同時相信優質土地市場依然強勁,有利麗陽機構釋放土地價值。
該公司去年脫售總值5億600萬令吉地庫,邁入2014年,該公司管理層了解到脫售資產和一些地庫,可獲得總值18億令吉的潛在價值。
我們相信,貨幣化計劃最早會在今年上半年開始進行。儘管如此,公司管理層目前未有明確目標,將資產套現會以市場條件來決定。

全球丽阳双溪毛糯建国际学校

(吉隆坡15日讯)丽阳机构(TROP,5401,主板產业股)与新加坡国际学校管理公司--拉萨尔亚洲伙伴国际学校(Lasallian Asia Partnership for International Schools,LAPIS)签署股东协议,以在双溪毛糯兴建圣约瑟国际学校。
LAPIS分別和丽阳机构旗下的丽阳SJII教育管理私人有限公司,及丽阳教育管理私人有限公司,和Warisan Istimewa私人有限公司签署股东协议。
有关协议下,LAPIS將和丽阳机构分別持有丽阳SJII教育管理51%及49%的股权。
同时,丽阳机构、LAPIS及Warisan Istimewa也將分別持有丽阳教育管理80%,10%及10%的股权。

丽阳机构2013年净利报3亿6230万8000令吉,高于2012年的1亿7105万7000令吉,增幅高达111.81%。
公司全年营业额,从2012年6亿3036万3000令吉,按年暴增134.07%,达到2013年的14亿7550万3000令吉。
丽阳机构去年末季净利飙升3.13倍,达到2亿5645万3000令吉。
2012年同期净利为6206万8000令吉。
相比2012年2亿3436万2000令吉,公司营业额末季按年涨升89.74%,至4亿4468万令吉。
全年销售额21.6亿
丽阳机构在依斯干达特区和大吉隆坡主要计划,录得高销量和脱售多片土地,刺激2013年表现。
公司2013全年销售刷更新纪录,达到21.6亿令吉;目前未入账销售高达21.8亿令吉,高于2012年的9亿5200万令吉。
接下来,丽阳机构将继续在大吉隆坡、槟城和依斯干达特区推出新计划。
该公司在文告中指出:“考虑到目前市场需求,计划将专注在有地住宅和城镇发展计划。”
随着今年将有更多新计划推介,丽阳机构相信现财年可维持高销量和未入账销售。
目前,该公司在大马主要城市拥有2268英亩的土地,发展总值料高达818亿令吉。

麗陽機構上財年淨利按年增長11%至1億8820萬令吉,比我們預期更來得高,上財年末季收益在土地銷售和高進度收賬推動下報佳績。
該公司收益前景依然備受看好,上財年銷售總值達21.6億令吉,未進賬銷售額高達21.8億令吉。
該公司希望在本財年推出高達32億令吉項目,雖然可能會因房產前景走軟受影響,但該公司仍有信心本財年新銷售額可達20億令吉。

陳志成兒子轉任麗陽副CEO

(吉隆坡14日訊)麗陽機構(TROP,5401,主板產業組)宣佈晉升兩位高級管理人員,其中拿督陳永隆從集團董事經理轉升副集團首席執行員,而洪文俊從副集團董事經理升任集團董事經理。

該集團也委任郭光政為集團董事經理,從2014年3月14日起生效。
麗陽機構創辦人兼集團執行副主席丹斯里陳志成表示,晉升陳永隆和洪文俊是合時及配合集團的策略轉型計劃以加速成長和釋放集團資產和地庫的價值。再加上拿督游國成於去年1月加盟出任集團首席執行員,以及新委任郭光政,將繼續推動該公司轉型成為大馬首要發展商之一。
現年32歲的陳永隆為陳志成的兒子。
郭氏在東盟金融服務業有逾23年經驗,並在聯昌銀行集團任職逾10年,最後擔任聯昌期貨公司主席。

配合重大宣佈 麗陽機構停牌

(吉隆坡19日訊)麗陽機構(TROP,5401,主要板房產)基于重大宣布,向馬證交所報備,將在今日暫停交易半天。
報備文件指出,配合重大事項宣佈,該公司將于今日從下午2時半停牌至下午5時。
不過,在這之前,麗陽機構股價過去兩個交易日,呈現攀升格局。
週一(17日)當天,該股全日微揚1仙或0.76%,收市報1.33令吉,成交量達77萬4400股;昨日則收在1.38令吉,漲5仙或3.76%,全日交易達204萬6300股。
麗陽機構今早開市先微揚2仙至1.40令吉,隨后節節走高,停牌前最后報1.43令吉,揚5仙,半日交投588萬9700股。
