Tricor Investor & Issuing House Services Sdn Bhd (“TIIH”) wishes to announce that the 19,693,000 Issue Shares available for application by the Malaysian public have been oversubscribed.

A total of 12,438 applications for 1,173,893,100 Issue Shares with a value of RM363,906,861.00 were received from the Malaysian public, which represents an overall oversubscription rate of 58.61 times.

  
The notices of allotment will be posted to all successful applicants on 18 April 2024.

The Board of Directors of Topmix (“Board”) wishes to announce that Topmix Resources Sdn. Bhd. (Registration No. 200601018697 (738450-T)) (“TRSB” or “the Vendor”), a wholly owned subsidiary of the Company, had on 14 March 2025, entered into a Sale and Purchase Agreement (“SPA”) with Navabuild Contract Sdn. Bhd. (Registration No. 201001010804 (895464-K)) (“NCSB” or “the Purchaser”) for the proposed disposal of a piece of freehold vacant industrial land held under Geran 340344 Lot 53758 in the Mukim Senai, District of Kulai, State of Johor containing an area measuring approximately 7,807 square metres, located at 551, Jalan Seelong, Taman Perindustrian Senai, 81400 Seelong, Johor (“the Property”) for a total cash consideration of RM6,100,000.00 only (“Sale Consideration”), subject to and upon all the terms and conditions as stipulated in the SPA (“Proposed Disposal”).

TRSB and NCSB are, collectively, the “Parties” and individually, a “Party”.

Topmix and its subsidiaries shall hereinafter be referred to as "Topmix Group” or the “Group”.

Description
PROPOSED ACQUISITION OF 2 PIECES OF LAND BY TOPMIX RESOURCES SDN. BHD., A WHOLLY OWNED SUBSIDIARY OF TOPMIX BERHAD ("TOPMIX" OR "THE COMPANY")
The Board of Directors of Topmix ("Board") wishes to announce that Topmix Resources Sdn. Bhd. (Registration No. 200601018697 (738450-T)) ("TRSB" or the "Purchaser"), a wholly owned subsidiary of the Company, had on 31 March 2026, entered into 2 separate conditional sale and purchase agreements ("SPA") with Kesas Kenangan Sdn. Bhd. (Registration No. 200601026062 (745817-H)) ("KKSB" or the "Vendor" or the "Developer") for the acquisition of the following lands:

(i) a piece of freehold vacant land held under HSD 621170 PTD 219518 Mukim of Pulai, District of Johor Bahru, State of Johor measuring in area approximately 5,058.6054 square meters ("Said Land 1") for a total cash consideration of RM9,485,000, together with a detached factory to be erected on the Said Land 1 ("Said Building 1") ("Proposed Acquisition 1"); and

(ii) a piece of freehold vacant land held under HSD 621171 PTD 219519 Mukim of Pulai, District of Johor Bahru, State of Johor measuring in area approximately 5,058.8217 square meters ("Said Land 2") for a total cash consideration of RM9,485,000, together with a detached factory to be erected on the Said Land 2 ("Said Building 2") ("Proposed Acquisition 2").

The Proposed Acquisition 1 and Proposed Acquisition 2 are collectively referred to as the Proposed Acquisitions.

The total purchase price for the Proposed Acquisitions amounts to RM18,970,000 ("Total Purchase Price").

Description
PROPOSED ACQUISITION OF 2 PIECES OF LAND BY TOPMIX RESOURCES SDN. BHD., A WHOLLY OWNED SUBSIDIARY OF TOPMIX BERHAD ("TOPMIX" OR "THE COMPANY")
Reference is made to the Company's announcement dated 1 April 2026 in relation to the Proposed Acquisitions. Unless otherwise stated, the definitions and terms used herein shall have the same meaning as defined in the earlier announcement.

The Board of Directors of the Company wishes to provide the following additional information pertaining to the Proposed Acquisitions as requested by Bursa Securities: -

1. To clarify that the lands and detached factories are still under development, including details of the commencement date and expected completion date.

The 2 pieces of land form part of the Setia Versa 2 project, which is currently in reinforced framework development stage of the Said Property. Development has already commenced since 24 November 2025, with the practical completion period targeted within 36 months, i.e., by March 2029.

2. To further elaborate on Section 3, particularly regarding the following points:
- The market value of the properties in the vicinity of the lands that available for sale.
- No valuation has been carried out on the lands as the property is newly purchased from an established Vendor at prevailing commercial price.

The Company has reviewed recent market transaction data available for industrial properties in the vicinity of Gelang Patah, Johor extracted from the Brickz report, which indicates that comparable industrial properties in the surrounding area is generally offered at prices ranging from RM189psf to RM292psf. The purchase consideration was assessed against this market range and is considered commercially reasonable taking into account the location, accessibility and development characteristics of the Said Property.

Pursuant to Rule 10.04(1)(b)(i) of the AMLR of Bursa Securities, no formal valuation has been conducted for the Said Property. However, the Company obtained an indicative value from KGV International Property Consultants (Johor) Sdn. Bhd. which estimates the indicative value of the Said Property (subject to title being free from legal encumbrances and with benefit of vacant possession) at RM9,500,000, each. The indicative value provides additional market support that the purchase consideration is within a reasonable range.

The Total Purchase Price reflects a strategic value that is justified by its prime industrial zone with good connectivity to major highways, port facilities, border crossings and airport infrastructure, which is expected to support the Company's long-term operational and investment objectives. Accordingly, the Board considered the purchase price to be fair, reasonable and justifiable in view of the strategic location and long-term benefits.
