On behalf of the Board of Directors of Pekat, Public Investment Bank Berhad wishes to announce that Pekat is proposing to undertake the following: (i) proposed acquisition of 75,000 ordinary shares in Apex Power Industry Sdn Bhd (“Apex Power”), representing 60% equity interest in Apex Power by Pekat Teknologi Sdn Bhd (“PTSB” or “Purchaser”), a wholly-owned subsidiary of the Company for a total cash consideration of RM96.00 million (“Proposed Acquisition”); and (ii) proposed diversification of the existing business of Pekat and its subsidiaries to include design and fabrication of power distribution equipment and related activities (“Power Distribution Equipment Business”) (“Proposed Diversification”). The Proposed Acquisition and Proposed Diversification are collectively referred to as the “Proposals”. Further details on the Proposals are set out in the attachment below. The Board of Directors of Pekat is pleased to announce that Pekat Teknologi Sdn.Bhd. (“Pekat Teknologi”), a wholly-owned subsidiary company, together with C.N.C. (HK) International Limited (“CNC”) had incorporated a company in the Federal Territory of Labuan, namely Solaroo Green Tech (Labuan) Ltd. (“Solaroo Green Tech”). The incorporation of Solaroo Green Tech has been approved by Labuan Financial Services Authority on 9 May 2025. The Certificate of Incorporation of a Labuan Company was received by the Company on 14 May 2025. INFORMATION OF CNC CNC is a private limited company incorporated in Hong Kong Special Administrative Region and having its business address at 1115, 11/F, Shatin Galleria, 18-24 Shan Mei Street, SHA TIN, NEW TERRITORIES HONG KONG. CNC is principally involved in the general trading business. INFORMATION OF SOLAROO GREEN TECH Solaroo Green Tech was incorporated as a company limited by shares under the Labuan Companies Act 1990 with an initial share capital of USD1,000.00 (United States Dollar: One Thousand) comprising 1,000 ordinary shares, of which Pekat Teknologi holding 91% equity interest and CNC holding the remaining 9% equity interest in Solaroo Green Tech. The intended principal activity of Solaroo Green Tech is to operate as an investment holding company. The director of Solaroo Green Tech is Mr. Oh Keng Jin. RATIONALE FOR THE INCORPORATION The incorporation of Solaroo Green Tech is mainly to facilitate the future expansion plan and/or operations of Pekat group of companies (“Pekat Group”). FINANCIAL EFFECTS The incorporation of Solaroo Green Tech has no effect on the share capital or the substantial shareholders’ shareholdings of Pekat and is not expected to have any material effect on the net assets, gearing and earnings of Pekat Group for the current financial year ending 31 December 2025.
