On behalf of the Board of Directors of SRHB (“Board”), Mercury Securities Sdn Bhd (“Mercury Securities”) wishes to announce that the Company had on 28 February 2025 entered into a conditional share sale agreement (“SSA”) and a profit guarantee agreement (“PGA”) with Vincent Gan Kean Cheang for the Proposed Acquisition, subject to the terms and conditions as set out in the SSA and the PGA. Please refer to the attachment for further details on the Proposed Acquisition. This announcement is dated 28 February 2025.

We refer to the announcement made on 28 February 2025 and 7 March 2025 in relation to the Proposed Acquisition (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein. On behalf of the Board, Mercury Securities wishes to announce that the Parties had, on 28 March 2025, entered into a Supplemental Agreement to vary certain terms of the SSA and Profit Guarantee Agreement (“Supplemental Agreement”). Please refer to the attachment for further details in relation to the Supplemental Agreement. Pursuant thereto, on behalf of the Board, Mercury Securities has submitted an application to Bursa Securities for the withdrawal of the additional listing application in relation to the Proposed Acquisition on 28 March 2025. The Board shall make the necessary announcement upon the re-submission of a new additional listing application. This announcement is dated 28 March 2025.
