We refer to the announcements dated 21 November 2017 and 9 January 2018 on the above matter. The terms herein shall bear the same meaning as defined in the said announcements. The Board of Directors of Turbo wishes to announce that the consideration of THB28,941,000 (or equivalent to approximately RM3,668,000) had been settled by the Purchaser on 28 February 2018, and therefore, the Proposed Acquisition was completed on 28 February 2018 (“Completion Date”). Subsequent to the Completion Date, TMT shall become a 99.8%-owned sub-subsidiary of Turbo. This announcement is dated 7 March 2018.

INTRODUCTION The Board of Directors of Turbo-Mech Berhad wishes to announce that the Company had on 27 February 2018 submitted its unaudited results for the 4th quarter ended 31 December 2017 (“4QFYE2017”) to Bursa Malaysia Securities Berhad (“Bursa Securities”). DEVIATION BETWEEN UNAUDITED RESULTS AND THE AUDITED RESULTS In compliance with Paragraph 9.19(35) of the Main Market Listing Requirements of Bursa Securities, the Company wishes to announce that there is a deviation of more than 10% between the Group’s net profits after tax attributable to the equity holders and the audited financial statements for the financial year ended 31 December 2017(“AFS 2017”) as follows:- AFS 2017 4QFYE2017 Variance Variance RM RM RM % Profit net of tax attributable to : Equity holders of the parent     3,095,829        2,734,029     361,800 13% Non-controlling Interests (“NCI”)           26,249           220,360 (194,111) -88% Profit net of tax for the financial year     3,122,078        2,954,389     167,689 6% The reconciliation of the deviation in profit attributable to equity holders of the parent is set out below:- Reconciliation RM Equity holders of the parent as per 4QFYE2017 2,734,029 (a) Employee benefit expenses not taken up by subsidiary (115,815) (b) Audit consolidate adjustment on the intercompany foreign exchange (“forex”) difference 235,636 (c) Audit adjustment in profit attributable to NCI 194,111 (d) Changes in share of associate profit 69,318 (e) Changes in share of Joint Venture (“JV”) profit (1,010) (f) Recognition of tax expenses not taken up by subsidiary (20,440) Equity holders of the parent as per AFS 2017 3,095,829 The cause of the variance is due to the following:- (a)          Employee benefit expenses not taken up by subsidiary The Group operates a defined benefit plan covering all regular full-time employees in a subsidiary, Rotodyne Phil. Inc. The amount has been under taken up by the Group during fourth quarter reporting. (b)          Audit consolidation adjustment on the intercompany forex difference The Group has under taken up of the forex difference amount arose from the intercompany balance as at 31 December 2017. (c)           Audit adjustment in profit attributable to NCI The difference arose from the prior year consolidation workings on the acquisition of 26% equity interest in Turbo-Mech Thailand ("TMT"). Upon acquisition, TMT becomes a subsidiary of the Group. The forex difference arose from the acquisition in prior year which should be historically taken up in foreign currency translation reserve. However, this has been wrongly taken up in current year NCI. Hence, the reversal in AFS 2017 as above. (d)          Changes in share of associate profit The Group has taken up the actual share of associate profit based on associate's finalised AFS in finalisation of TURBO’s AFS 2017. (e)          Changes in share of JV profit The Group has taken up the actual share of JV profit based on JV's finalised AFS in finalisation of TURBO’s AFS 2017. (f)           Recognition of tax expenses not taken up by subsidiary The Group has taken up the actual tax expenses based on subsidiaries’ finalised AFS in finalisation of TURBO’s AFS 2017.
