Bhd., to acquire a commercial unit known as B-08-01, Empire Soho, Empire Subang, Jalan SS 16/1, SS 16, 47500 Subang Jaya, Selangor held under Strata Title, GERAN 238145/M1-B/10/278, Lot 62011, No. Bangunan M1-B No. Tingkat 10 No. Petak 278 dan Petak Aksesori A431, A432, Bandar Subang Jaya, Daerah Petaling, Negeri Selangor measuring approximately 21,183 square feet  for a purchase consideration of RM16.5 million only ("Proposed Acquisition"). The Board of Directors of KPS Consortium Berhad ("KPSCB" or "the Company") wishes to announce that the Company's wholly-owned subsidiary, KPS Plywood Sdn. Bhd. had on 19 August 2025 entered into a sale and purchase agreement with Pelangi Technowood Sdn. Bhd. for the purchase of all that leasehold land held under HS(D) 316719 PT 163969 Mukim Klang, Daerah Klang, Negeri Selangor measuring approximately 16,363 square metres in area with the single factory erected therein bearing the address known as PT 141922 (Lot 163969), Lebuhraya Pulau Indah 9KS/13), Kawasan Perindustrian Pulau Indah, 42000 Klang, Selangor Darul Ehsan for a total cash consideration of Ringgit Malaysia Thirty Million (RM30,000,000.00) only. Description	ACQUISITION OF PROPERTY BY KPS PLYWOOD SDN. BHD., FOR A TOTAL CASH CONSIDERATION OF RM30.0 MILLION
We refer to our announcement made on 19 August 2025 in relation to the Acquisition (“Announcement”). Unless otherwise defined, the definitions set out in this announcement shall carry the same meanings as defined in the Announcement. Further to the Announcement, the Board wishes to provide the following additional information: 1.      Basis of Purchase Consideration The prevailing market value of comparable properties in the Pulau Indah area was taken into consideration during negotiations. Management consulted a valuer to assess the market value of factory land and buildings based on a per square foot rate. The assessment showed that the negotiated purchase price of RM30.0 million was below the market value for similar properties in the area, prompting KPS Plywood to proceed with the purchase. 2.      Risk Factors and Rationale The Company would like to clarify that the Property is acquired for investment purposes and may potentially be used as a warehouse for plywood imports, given its proximity to Port Klang. The Board of Directors of KPSCB is not aware of any specific risks associated with the acquisition, other than the usual market and operational risks. This announcement is dated 21 August 2025.
