NON RELATED PARTY TRANSACTIONS | Description | PROPOSED ACQUISITION OF A COMMERCIAL BUILDING KNOWN AS “JAYA SHOPPING CENTRE” IN DAERAH PETALING, BANDAR PETALING JAYA BY PRIMADANA UTAMA SDN BHD, A WHOLLY OWNED SUBSIDIARY OF ASIAN PAC HOLDINGS BERHAD, FOR A TOTAL CASH CONSIDERATION OF RM100 MILLION | Pursuant to Chapter 10 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad , the Board of Directors of Asian Pac Holdings Berhad ("APHB") wishes to annoucne that Primadana Utama Sdn. Bhd. [Company No. 199101002007 (212318-T)], a wholly owned subsidiary of APHB, had, on 28 February 2025 entered into a Sale and Purchase Agreement (“SPA”) with Jaya Section Fourteen Sdn. Bhd. [Company No. 200501023660 (705792-K)], for the acquisition of Jaya Shopping Centre, a seven storeys shopping mall with a lower ground floor and four levels of basement car park having 786 car park bays measuring an approximate area of 92,712 sq ft, held under No. Hakmilik 173945, Daerah Petaling, Bandar Petaling Jaya for a total cash consideration of RM100,000,000 (Ringgit Malaysia One Hundred Million Only) subject to the terms and conditions as stipulated in the SPA.

NON RELATED PARTY TRANSACTIONS | Description | ASIAN PAC HOLDINGS BERHAD ("APHB" OR "THE COMPANY") PROPOSED ACQUISITION OF THE ENTIRE ISSUED AND PAID-UP SHARE CAPITAL OF PRESTASI KEMAS SDN BHD ("PKSB") BY KOTA PLATINUM SDN BHD, A WHOLLY OWNED SUBSIDIARY OF APHB FOR A CASH CONSIDERATION OF RM42,000,000.00 ("PROPOSED ACQUISITION") | The Board of Directors of APHB wishes to announce that Kota Platinum Sdn Bhd (Company No. 201901032514 (1341844-P)) (“the Purchaser”), a wholly owned
subsidiary of APHB, has today entered into a Sale and Purchase Agreement for Shares with Dato’ Ding Pei Chai (NRIC No.: 560101-08-7631) and Salcon Development Sdn Bhd (Company No. 200601032295 (752054-M)), a wholly owned subsidiary of Salcon Berhad, (hereinafter collectively referred to as “the Vendors”), to acquire 3,322,865 ordinary shares in PKSB, representing 100% of the issued and paid-up share capital of PKSB, from the Vendors for a total cash consideration of RM42,000,000.00.
