Dato' Mohd Izani Ghani was appointed as Executive Director of UEM Group Berhad on 1 January 2019 and later redesignated as Managing Director on 1 August 2019. Description	MALAYSIA AIRPORTS HOLDINGS BERHAD (“MAHB” OR THE “COMPANY”) - UNCONDITIONAL VOLUNTARY TAKE-OVER OFFER BY GATEWAY DEVELOPMENT ALLIANCE SDN BHD (“GDA”), PANTAI PANORAMA SDN BHD (“PPSB”), KWASA AKTIF SDN BHD (“KASB”) AND GIP AUREA PTE LTD (“GIP AUREA”) (COLLECTIVELY, THE “JOINT OFFERORS”) TO ACQUIRE, THROUGH GDA, ALL THE REMAINING ORDINARY SHARES IN MAHB NOT ALREADY HELD BY THE JOINT OFFERORS (“OFFER SHARES”) FOR A CASH CONSIDERATION OF RM11.00 PER OFFER SHARE (“OFFER”)
We refer to the offer document dated 6 December 2024 which contains the details of the Offer (“Offer Document”). Unless otherwise stated, the terms used herein shall have the same meaning as defined in the Offer Document. We wish to announce that the Company had on 14 February 2025, received a press release from AmInvestment Bank, on behalf of the Joint Offerors, informing that the Joint Offerors have on 14 February 2025 posted the notice to the Dissenting Holders (whose names appear in the Record of Depositors of MAHB as at 5:00 p.m. (Malaysian time) on Wednesday, 12 February 2025), notifying them of the Joint Offerors’ desire to compulsorily acquire all of their MAHB Shares in pursuance of the provisions of Section 222 of the CMSA (“Compulsory Acquisition Notice”). The statutory declarations by the Joint Offerors that the conditions for the giving of the Compulsory Acquisition Notice have been satisfied and were also posted together with the Compulsory Acquisition Notice. The compulsory acquisition exercise will be made on the same terms as set out in the Offer Document or such other terms as the High Court thinks fit, on an application made to it by the Dissenting Holders. Subject to the provisions of the CMSA, GDA shall be registered as the holder of all the remaining MAHB Shares not already held by the Joint Offerors: after the expiration of one (1) month from the date of the Compulsory Acquisition Notice; or if applicable, 14 days after the statement of the names and addresses of all other Dissenting Holders as shown in the register of members and/or record of depositors of MAHB, are posted to the Dissenting Holder upon his/her/its request, whichever is later.
