Remarks :

The Board of Directors of NEXGRAM HOLDINGS BERHAD ("the Company") has approved the change in the financial year end of the Company from 31 January to 31 July to facilitate better management of resources for smooth flow of business operations and financial reporting. The new financial year will commence from 1 February 2024 to 31 July 2025, covering a period of 18 months. Thereafter, the financial year of the Company shall revert to 12 months ending 31 July for each subsequent year.

Subject	TRANSACTIONS (CHAPTER 10 OF LISTING REQUIREMENTS) RELATED PARTY TRANSACTIONS
Description	PROPOSED RATIFICATION
We refer to the Company’s announcements dated 10 March 2023, 13 March 2023, 17 March 2023 and 8 May 2024. Bursa Malaysia Securities Berhad (“Bursa Securities”), after taking into consideration the interest of the interested party (as detailed in Section 8 of this announcement), advised the Company that the acquisition of the management rights of the hotel known as Wings By Croske Resort Langkawi (“Acquisition”) is deemed to be a related party transaction falling under Rule 10.08 of the ACE Market Listing Requirements of Bursa Securities (“Listing Requirements”). Accordingly, on behalf of the Board, Malacca Securities wishes to announce that the Company shall seek the approval of its non-interested shareholders for the ratification of the Acquisition (“Proposed Ratification”). In view that the Acquisition is deemed to be a related party transaction pursuant to Rule 10.08 of the Listing Requirements, Asia Equity Research Sdn Bhd has been appointed as the independent adviser (“Independent Adviser”) to advise the non-interested directors and non-interested shareholders of Nexgram in relation to the Proposed Ratification. Please refer to the attachment for further details. This announcement is dated 11 June 2025.
