与Blackrockme合作 NetX进军伊朗阿联酋

（吉隆坡28日讯）NetX控股（NetX Holdings Bhd）子公司Payaliz私人有限公司已与阿联酋注册的Blackrockme Pvt Lte合作，在伊朗和阿联酋经销流动支付软件、解决方案和/或服务，不包括硬件。
NetX向大马交易所报备，双方将开发一个联合“市场营销”计划，鉴定商业和技术活动，以推出一款产品。
据此，双方在6月23日签订了谅解备忘录（MoU），并将在最终协议执行或3个月后逾期。
这项MoU预计不会对集团截至6月杪财政年的每股盈利、每股资产、负债、股本和大股东持股有任何实质影响。
“如果联营成事，预计对未来盈利作出贡献。”

Introduction The Board of Directors of NetX Holdings Berhad wishes to announce that Payallz Sdn. 3. Rationale for the MOU The Parties would develop a joint go-to-market plan to define the commercial and technical activities that would be carried out for the launch of the Product.
4. Effects of the MOU The MOU is not expected to have any material effect on the earnings per share, net assets per share, gearing, share capital and substantial shareholders’ shareholding of the Company for the financial year ending 30 June 2016. Should the joint venture materialize, it is expected to contribute positively to the future earnings of the Group.
5. Directors’ and major shareholders’ interest None of the Directors and/or major shareholders of the Company and/ or any persons connected to them have any interest, direct or indirect, in the MOU.
6. Statement by Directors The Board of Directors of the Company, having taken into consideration all aspects of the MOU, is of the opinion that the MOU is in the best interest of the Company and its subsidiaries.

这家资讯科技公司今日向大马交易所报备，该集团已撤销与阿联酋注册公司Blackrockme私人有限公司签署的谅解备忘录（MoU），因双方未能就最终协议达成共识。
“双方已同意终止这项谅解备忘录，因两家公司皆无法就最终协议的条款达至共识。”
NetX控股在6月28日宣布，子公司Payaliz私人有限公司和Blackrockme合作，在伊朗和阿联酋分销流动支付软件，以及提供解决方案及硬件以外的服务。

NETX再减股票面值60%
（吉隆坡22日讯）NETX控股（NETX,0020,创业板科技组）继3月削减股票面值后，短短半年再建议将股票面值从目前的5仙削减至2仙，降低60%或3仙。
NETX控股在文告中表示，削减面值可带来最多5629万9773万款项，计划用于抵销累积亏损，也方便发股。
截至2016年6月杪，该集团累积亏损共3887万5998令吉。
完成削减股票面值后，NETX控股的发行与缴足资本将从目前的6255万5303令吉削减至2502万2121令吉。
该公司预计在2017年首季完成这项建议。
在2016年3月1日，该公司完成将股票面值从10仙削减至5仙。

NetX控股与XOX说联手开发电子付费手机交易平台

（吉隆坡12日讯）NetX控股（NetX Holdings Bhd）与XOX说（XOX Bhd）合作开发一个电子付费手机交易平台，促使XOX说的用户成为电子商务（e-commerce）商家，并与国内及国际支付网关互联互通。
创业板上市公司NetX控股今日向大马交易所报备，该集团子公司--PayAllz私人有限公司与XOX说子公司--XOXWallet私人有限公司今日签署一项技术合作协议，以促进这项合作。
这项协议的有效期为一年，可每年续约。NetX控股补充道，这个项目预计将从截至2018年6月30日止的财政年起，为集团带来正面贡献。
NetX控股在另一则文告中指出，PayAllZ将通过为每名XOX说用户提供电子自动终端服务（e-kiosk），致力让全国网络的商家加入其中，以支持这个项目。
PayAllZ也能与多个平台的支付网关链接，像是支付宝（Alipay）、Wepay、Apple Pay和 Samsung Pay。

（吉隆坡19日讯）NetX控股（NetX Holdings Bhd）子公司PayAllZ私人有限公司与M3科技（M3 Technologies (Asia) Bhd）子公司M3 Online私人有限公司（M3O）签订一项技术合作协议，以联手开发一个电子支付流动交易（EPEX）。
该集团今日向大马交易所发文告报备，这个流动交易可让每位XOX说（XOX Bhd）的手机用户成为电子商务（e-commerce）商家，他们也具有本地及国际网关的互联能力。
根据这项协议，Payallz将提供多个支付网关，而M3O将负责开发手机应用程式和电子商务平台的前端接口。

（吉隆坡6日讯）Netx控股（NETX，0020，创业板）宣布，子公司与中国广州E-DO Business Technology Corporation签署科技伙伴协议。
该公司昨日向交易所报备，子公司Payallz私人有限公司与E-DO Business Technology Corporation签署协议，在柬埔寨、大马及泰国提供电子商务网上付款、电子钱包（e-wallet），及忠诚计划解决方案服务。
E-DO Business Technology Corporation的主要业务是为支付宝（Alipay），WePay以及银联国际（UnionPay）提供付款服务。

5亿新股售麦格理银行
Netx控股筹2550万
2017年6月18日
（吉隆坡17日讯）Netx控股（NETX，0020，创业板）与澳洲麦格理银行达成有条件认购协议，建议向后者发出最多5亿新股，筹资2550万令吉，用于手机支付交易系统（MPex）研发和营销。
Netx控股昨天向交易所报备，新股数量是现有股本12亿5110万6066股的39.96%，发售价料相当于截至本月14日的5天交易量加权均价（VWAP）折价90%。
Netx控股指出，假设发售价为每股5.1仙，料能筹得2550万令吉，用于企业发展活动。
当中2000万令吉，用于未来24个月手机支付交易系统的研发和营销开销；465万令吉用于24个月的营运资本，剩余则为发行新股的开销。
Netx控股指出，以上述方式集资，能够让该公司在不必向银行贷款及支付利息下，通过资本市场快速集资。
无意成控制权股东
完成认购活动后，在所有Netx控股凭单还未转化为普通股的情况下，麦格理银行将持有Netx控股28.55%股权。
不过，该银行无意成为控制权股东。【e南洋】

NETX 控股 – 消息面炒作
NETX创办于2000年，在2003年上市于大马创业板。集团的前身为【GLOBAL SOFT】以及【ARIANTEC】环球，曾前后两次换名，以摆脱投资者不好的印象。其主要业务支柱来自于100%持有的【ARIANTEC】 - 网络设备和基础设施供应商，以及60%持有的【PAYALLZ】 - 上网支付解决方案供应商。
回顾一些集团的历史，NETX曾在2012年接获母公司【MTRONIC】致函董事局要求召开股东特別大会，寻求罢免当时的董事和管理层，以及提名新董事人选。这主要因为NETX长期蒙受亏损，而管理层经营不善。结果，挑战派投票失利，无法通过罢免。然而，集团在这期间先后有4名董事自动辞职，以及2名新成员被委任进入董事局。
在2013年，NETX私下配售10%缴足股本给予第三方投资者，大约筹得RM26m。这笔资金主要用来融资总值USD10m的合约，在印尼供应及安装高速宽频网络，为期3年。同年，其外部稽查师对集团的账目保留意见 (Qualified Opinion)，因为无法取得充足和适当的稽查证据。
在2014年，NETX建议收购移动付款方案供应商【SPRING WORKS】的51%股权，同时也宣布发行附加股送凭单。然而，这项收购在半年后遭到终止，但附加股等企业活动仍继续进行。这次的筹资主要用于电子支付平台和解决方案的发展活动、以及作为扩展现有业务和未来收购项目的资金。
在2015年，NETX增加一项建议削减面值活动，把每股10仙的面值削减至每股5仙。半年后，集团再次把面值从每股5仙削减至每股2仙。一年展开两次削减面值活动在本地股市实属前所未有。同年，集团再次遭到独立审计师发表”保留意见”，显示出账目出现疑点。
在2017年，NETX与【XOX】合作开发一个电子付费手机交易平台，促使【XOX】的用户成为电子商务 (E-Commerce) 商家，并与国内及国际支付网关互联互通。这可与多个平台的支付网关链接，包括【ALIPAY】、【WEPAY】、【APPLE PAY】和【SAMSUNG PAY】。通过这合作，NETX有望成为大马新成立的数字自由贸易区 (DFTZ) 的一份子。
之后，NETX与【M3TECH】签订一项技术合作协议，以联手开发一个电子支付流动交易平台。这项合约的初始周期为一年，收入共享结构比例分别为【XOX】40%、NETX 30%和【M3TECH】 30%。根据管理层，这项合作预计最早可在FY18开始为集团带来进账。
作为业务发展的一部分，NETX与中国广州【E-DO】签署科技伙伴协议，在柬埔寨、大马及泰国提供电子商务网上付款、电子钱包 (E-Wallet)，及忠诚计划解决方案服务。 值得一提，【E-DO】的主要业务是为【ALIPAY】、【WEPAY】以及银联国际【UNION PAY】提供付款服务。
虽然曾在FY13获得总值USD10m的合约，以及与多方成立合作关系，但是NETX却未能在过去4年交出盈利的表现。其4个财年的营业额更是只有大约RM19m，甚至还低于USD10m (RM40m) 的合约。这确实令人怀疑这家公司到底在干什么？
无可否认，NETX的核心业务在近两年从网络硬体服务，逐渐转型成手机支付系统和社交媒体行销，以跟随时代科技的步伐。集团除了提供支付服务外，更为客户提供附加价值，也就是帮助顾客扩大客源。然而，集团迟迟无法转亏为盈却是不争的事实。
唯一有看点的是，管理层在FY17Q4季报中强调，乐观看待集团可在数字自由贸易区实施后，交出合理的业绩表现。根据与【XOX】和【M3TECH】的伙伴协议，这项合作最早也得在FY18才看到贡献。
由于集团在过去几年推出一系列企业活动，包括附加股及私下配售筹资，其股数已暴增至1.25b。若要配得起成长型企业约20倍的PE，以目前4仙的股价计算，NETX必须交出RM2.81m的税后盈利，才称得上合格。
显然的，没有稳定业绩支撑的NETX更多时候只是数字自由贸易区主题的炒作。同时，集团也在过去4年前后两次遭到独立审计师发表“保留意见”。若要脱胎换骨，首先NETX必须连续几个季度交出盈利的表现，要不然以上一切合作皆是空谈，难以说服投资者。
