白武士现身 张培根晋综合橡胶大股东

（吉隆坡11日讯）陷入财务危机的综合橡胶机构（IRCB，2127，主板工业产品股）获白武士搭救！

今日宣布刚晋身为大股东的张培根，正式受委为董事经理。

随着张培根的走马上任，原董事经理陈敬敏则宣布离职，理由为专注于自家的橡胶加工业务。

综合橡胶机构昨日向马交所报备，张培根在本月4日透过场外交易，购入了综合橡胶机构共6500万股或相等于10.98%股权，该批股权的每股售价为15仙，总值975万令吉。

而这批股权的卖家，则是该公司大股东集南成有限公司（Chip Lam Seng Bhd）及董事成员，包括陈敬敏和家族成员。

在完成上述交易后，陈氏家族透过集南成仍然持有综合橡胶机构11.3%股权。

随后，张培根本月8日在公开市场购入148万股，持股权提升至11.23%。

手套业老将
至于新大股东张培根为何人？
经过《南洋商报》的查询，张培根为此前在2007年被速柏玛（Supermx，7106，主板工业产品股）私有化的斯保利工业（Seal Polymar Industries）的前任董事经理。

曾在2004年上市马交所主板的斯保利工业，当时是一家高级手套制造和贸易商。

由此不禁让人连续联想，曾拥有相关领域经验的张培根，或许是综合橡胶机构的白武士。

去年陷PN17
综合橡胶机构在去年杪，因拖欠了3家银行债务，款项均超过公司净资产的5%，触犯马交所PN17的2.1（f）条文，而被列入PN17行列。

该公司近年的业绩表现也差强人意，截至2012年10月31日第三季，净亏损从上财年的529万5000令吉，扩大至993万7000令吉；营业额则从2483万令吉，增长35.32%至3360万令吉。

首9个月，公司营业额增长9.26%至9505万1000令吉，净亏损则有1799万9000令吉，较上财年的1793万令吉来得高。

董事部更变
除了张培根和张敬敏之外，综合橡胶机构董事部更变，还包括张培根之子张开盛（译音），受委为执行董事。

另一位新加入非执行董事，则为林文发（译音），持3万8000股普通股。

此外，陈敬敏堂兄弟陈伦冠（译音）辞去非独立非执行董事一职，而陈敬敏父亲陈坤鹏（译音），则因逝世而辞去同样董事席位。[南洋财经]

（吉隆坡22日讯）马银行（Maybank，1155，主板金融股）向综合橡胶机构（IRCB，2127，主板工业产品股）追讨1689万1004.53令吉欠款。

综合橡胶机构向大马交易所报备，公司收到马银行发出的通知，马银行要求综合橡胶机构在接获通知起的3个星期内付清欠款（联同利息），否则，综合橡胶机构或面临清盘。

文告指出，上述发展将影响综合橡胶机构的财务状况和营运。

答：
該公司在去年12月28日宣佈，旗下公司——Comfort膠手套工業，因無法履行償還銀行債務，數目高達6千420萬令吉，並超過綜合淨資產的5%水平，触及上市條例而被列人PN17公司行列。

該公司的違約情況，先是源自大馬銀行指其企業擔保人Chip Lam Seng公司違約，大馬銀行因而決定不再借貸，接著也獲得馬來亞銀行的追討債務通知。

最近該公司出現企業變動，即公司董事部改革，大股東陳氏家族全面退出公司董事部，由新的大股東張培根領導，並成為公司的董事經理。

外部审计师保留意见 综合橡胶营运成疑

（吉隆坡3日讯）由于无法确定债务重组及公司重组能否成功，因此，外部审计师对PN17公司———综合橡胶机构（IRCB，2127，主板工业产品股）截至2013年1月31日的账目有所保留，并认为公司能否继续营运已成疑问。

外部审计师———Messers Baker Tilly Monteiro Heng在独立审计报告中指出，截至2013财年1月31日，综合橡胶机构集团与公司，分别出现3868万4474令吉和3355万1741令吉亏损，此外，集团项目下的短期贷款已高于短期资产1396万890令吉。

该集团与公司在上述财年也无法偿还银行贷款，因此在去年12月27日被列入PN17。

审计师认为，这存在相当大的不确定性，加上公司实施的重组计划仍还未肯定，促使他无法取得公司能否持续营运的计划等审计资料，因而无法提出意见。

其次，综合橡胶机构进行中的债务重组计划，仍在寻求债主的批准，审计师不知道这些计划能否及时和成功执行。

第三，由于厂房的租赁权还无法确定，因此，审计师对该账目持保留看法。[南洋网财经]

综合橡胶透支4480万

（吉隆坡3日讯）综合橡胶机构（IRCB，2127，主板工业产品股）向两名投资者透支4480万令吉的现金偿还债务。

综合橡胶机构向马交所报备，公司与董事经理张培根与KeenSetup私人有限公司签署协议，向后者分别透支2240万令吉的现金。

一旦取得上述现金，公司的负债率将从截至2013年1月31日的1.6倍，提高至2.7倍。

这项行动是公司重组财务情况的计划之一。公司已从债权人获取收债的通知，所以这项现金透支主要是为了偿还债务给马银行、马银行回教公司、大马银行，以及联昌国际银行。

（吉隆坡4日訊）綜合橡膠（IRCB，2127，主板工業產品組）繳清拖欠4家銀行的貸款，重組計劃取得重大突破，激勵母股及憑單價量齊升，各一度攀升18.03%及27.03%。

交易商認為，綜合橡膠大受熱捧，主要相信能在不久後脫離PN17陷困行列。

母股一度走高5.5仙或18.03%至36仙，終場掛35仙，起4.5仙；憑單綜合橡膠WA（IRCBWA，2127WA，憑單）則一度上升5仙或27.03%至23.5仙，閉市起23仙，揚4.5仙。

同時，兩者的交投量也格外活躍，綜合橡膠WA以9千零1千200張憑單成為全場最熱門股，而綜合橡膠則以6千792萬1千900股排在熱門榜的第三位。

興業研究指出，若綜合橡膠成功突破33仙，接下來目標價將訂在35仙，即今日的收市水平。

“不過，若該股無法持穩於35仙以上水平，則可能會向下滑，而且一旦觸及停損水平，下滑空間也將擴大。”

新大股東張培根預支4千480萬令吉資金予綜合橡膠，協助該公司償還拖欠4家銀行的債務，而不再持有任何違約債務。

這是重組計劃的重要環節，預計在還清債務後，盈利表現將有所改善。

綜合橡膠和旗下子公司是於去年遭銀行發出索債信，並在同年12月27日遭貶為PN17公司。（星洲日報／財經）
